Sale and Purchase Contract for Steam Coal(Signed By ETM)煤炭购销(电子签)合同Contract No: FJHM-NMCM/A601C-NOV10合约编号：FJHM-XX/A601C-NOV10The contract is signed and stamped by the seller and the buyer through electronic method (ETM) and deemed to be original and have the same validity with Original Hardcopy 本合同以电子签章方式由买卖双方签约视同正本,并与纸本正本合约具有相同效力This contract is made on 18th November 2010 by and between:本合同由如下双方于 2010 年 11 月 18 日签署：SELLER 卖方NAME : GADDRESS :TELEPHONE :BUYER 买方NAME :ADDRESS :TELEPHONE :FAX :DEFINITIONS定义：In this Agreement unless the context otherwise requires:在此协议中除非有其它要求：1. "adb" means air dried basis.“adb” 是指空干基。
2. "arb" means as received basis.“arb” 是指收到基。
3. "Cargo" means delivered Korea blind coal of each shipment approximately 6500 MT(+/-10%) as per seller’s option.“Cargo” 是指交运的每船装运约60,000 吨 +/-10％的朝鲜无烟煤。
4. "Coal" means Korea blind coal produced for the Seller from D.P R .Korea“Coal” 是指卖方产的。
朝鲜无烟煤5. “C&F” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time).“C&f” 含义等同于（随时修正的）INCOTERMS 2000 确定的相同术语的含义。
6. “CFR” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time).“CFR” 含义等同于（随时修正的）INCOTERMS 2000 确定的相同术语的含义。
7. "Loading Port" means the vessel loading port,it is Nampo,Korea, or such other port as the partiesmay agree to in writing.“装货港” 是指船装货港口，即朝鲜南浦港或由双方书面同意的其它港口。
8. “Discharge Port” means RIZHAO PORT, CHINA“卸货港” 是指中国日照港。
9. "Kcal/Kg" means kilocalories of energy per kilogram of coal.“Kcal/Kg” 是指每公斤煤炭的发热量。
10. When calculating any price or adjusted price, or component thereof, the results of such calculationshall be rounded to the nearest cent and on half of a cent shall be rounded up. When calculating any tonnage, the results of such calculation shall be rounded to the nearest tonne and one half of a tonne shall be rounded up.当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5 美分应当四舍五入到1 美分。
当计算任何吨数时，这类计算的结果应当按照最接近的吨数四舍五入，并且 0.5 吨应当四舍五入到 1 吨。
11. "US$" means (unless otherwise specified) the currency of the United States of America.“US$” 是指美元（除非有其它规定）。
12. "Party" or "Parties" means Seller or Buyer or Both.“Party” 或者“Parties” 是指卖方或买方或双方。
13. “Metric Tonne” or “MT” or “Tonne” shall mean 1,000 kilograms.“公吨” 或“MT” 或“吨” 是指 1,000 公斤。
14. “Base Price” means the base price for Coal fixed in accordance with Clause 3.1, 3.2, 3.3.“基准价格” 是指按照本合同第 3.1、3.2 、3.3 条款确定的煤炭底价。
15. Delivery time at the Discharging Port means the first day when ship sail to discharge port oranchorage.在卸货港交货时间意为船到达卸货港或者锚地的第一天。
16. Unless the context otherwise requires, the singular shall including the plural and vice versa.除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。
17. The contract signed through electronic method shall be valid as original contract and can be sentthrough email to each other.电子签章合约视同正本合约，并以网络寄送为依据。
18. Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordance withthe terms and conditions set out below. The Seller and Buyer mutually agree as follows:买卖双方均同意根据如下条款和条件购销煤炭：CLAUSE 1 COMMODITY AND QUANTITY 商品与数量1.1 Commodity: Steam Coal, Net Calorific Value over 6300kcal/kg (ARB).商品：无烟煤指低位收到基基准（收到基净值）大卡数为6300KCAL/KG以上1.2 Origin: D.P R.KOREA原产地:朝鲜1.3 Quantity: 数量:1.3.1 Trial/First Shipment:6500MT (+/-10%)试单数量6500MT (+/-10%)1.4 Loading Port:Nampo,D.P.R.Korea装货港: 朝鲜南浦港1.5 Discharging port: Rizhao/Lanshan PORT, CHINA.卸货港: 中国日照或岚山港.CLAUSE 2 DELIVERY 交货：2.1 Goods must arrive Discharging Port within 30 days upon the contract is signed by Buyer’sand Seller.在买卖双方签订合同后 30天内，货物必须抵达卸货港。
2.4 Weight for invoicing purposes shall be established by the actual net weight. In case short/overweight exceeds10%，Buyers and sellers should arrange the settlement according to actual quantity发票重量应按实际净重开具，允许提单重量10%的允差,买卖双方按照实际数量进行结算CLAUSE 3 PRICE 价格3.1 The base price for Coal Net Calorific Value over 6300 Kcal/kg (ARB) CFR China, PORTwill be USD142/MT (United States Dollar NINETY ONL Y) per metric ton.单价以收到基低位发热量6300Kcal/kg以上为基准,CIF中国,到岸价142美元/吨。
3.2 Prices will be reviewed for every Three (3) months and finalized by Both Parties. BothParties would do their best to renegotiate and agree on a new price 15 days prior to the beginning of every three months.价格评估是由双方以每3个月一次定价来确定。
双方应尽最大努力重新确定新的价格和该在三个月开始之前15天确定价格。
CLAUSE 4 QUALITY SPECIFICATIONS 品质规格：4.1 The quality of Coal delivered hereunder shall conform to the following typical specificationdetermined in accordance with ISO Standards by CCIC at the loading port: 在本合同项目下交付的煤炭质量应符合按照装货港CCIC根据 ISO 标准所确定的以规格：Net Calorific Value (ARB) OVER 6300Kcal/kg高发热量收到基低位发热6300Kcal/kg以上Total Moisture (ARB) ＜8％ Max (>12%> Reject)全水份所收到的基准＜8% Max (>12%>拒收)Inherent Moisture (ADB) 12% Max (>12% Reject)内在水份空气干燥基12% Max (>12%>拒收)Ash Content (ADB) ＜13% Max灰份空气干燥基＜13% MaxFixed Carbon (ADB)79%固定碳空气干燥基79%Volatile Matter (ADB) 6% Max挥发份空气干燥基6% MaxTotal Sulphur (ADB) 0.5% Max (>1%Reject)总含硫量空气干燥基0.51% Max (>1%拒收)Hardgrove Index Min哈氏可磨指数% MinSize Distribution 0.3 mm - 30 mm颗粒度: 0.3 mm - 30 mmAsh Fusion Temperature (IDT,deg.C) > deg.C灰熔点(IDT, deg.C) > deg.CCLAUSE 5 PRICE ADJUSTMENT/PENALTIES价格调整In regards to each shipment of Steam Coal which does not meet the Specifications set forth in Clause 4, the base price in Clause 3 shall be adjusted in accordance with the Specification as stated in Clause 5: 每批装运的动力煤, 如果成分不能满足本合同第4项条款的规定,在第3条款中所阐述的基价将由在第5条款中所规定的内容进行调整:5.1 If the actual Total Moisture (ARB) of the cargo exceeds 8%, then the invoice weight of thecargo for payment shall be adjusted in following formula:Invoice Weight = Weight of Cargo in CIQ Certificate of Draft Survey x[1- (Total Moisture in CIQ certificate - 16%)]如果全水分(ARB) 大于8%,那么对于交货数量应该按照如下公式调整:结算实际重量 = CIQ重量证书上的水尺计重量 x 【1-（CIQ测量全水-8%）】。
