EQUIPMENT PROCUREMENT CONTRACT
本合同于2010 年xx 月xx 日由山西XXXX 集团国际发展有限公司(以下简称买方)为一方，与XXXX（以下简称卖方）为另一方签订。

3. 本合同价格包括进口设备的FOB 价格，该价格是固定的总价格，不会随
着合同履行期间内运输、劳动力、材料以及设备等的市场价格变化而进行调整。
The Contract Price include the FOB cost of imported equipment which is a fixed lump sum price and will not be adjusted with the changes in market price of the transportation, labor, materials and equipment etc during the performance of the Contract..
4. 卖方应按照如下进度要求，履行本合同下的所有工作，包括但不限于按
照以下规定进行设计、供货及保修服务。
Seller shall perform all works under the Contract, including but not limited design, procurement and warranty service in accordance with the schedule below:
●交货时间: 卖方按照FOB 汉堡港价格条款将38 个进口分项工程中
的第一套设备交付。
Time of Delivery: Seller shall deliver the first lot
out of 38 imported Gensets FOB Hamburg.交付时间为收到第一笔分

●保修期：卖方将在委托之日起，提供24 个月的设备保修期，或货物

four (24) months after the date of commissioning, or 30 months after the
Goods are delivered according to Incoterms (Edition 2000), whichever
period expires first.
5. 对于双方已确定的技术方案和工作范围，如卖方有任何的调整与更改，
必须事先取得买方的认可和批准，由此而引起价格变化，将由卖方自行
承担，合同总价将不做改变或调整。
Seller must get Buyer’s review and approval in advance for any changes and adjustments of the confirmed technical plan and scope of works. Seller shall bear any price change resulting from above activities and the Contract Price shall not be changed and adjusted.
6. 付款条件参见合同条件中的相关条款。
Payment terms are referred to the
provision in Contract Conditions.
7. 本合同以中英文书写，2 套正本，买卖双方各执一份，如有任何不一致之
处，以英文为准。
