孟加拉贸易注意事项
关于出口化工产品到孟加拉国的事宜。
这只是给针对一些没有接触过孟加拉市场的一些人的提前注意事项。
如果你们已经有过和孟加拉国做生意的成功经验,那么请忽略这些。
Dear....,我们已经收到了关于你们出售化工产品的邮件。
但是因为一些原因我们不能明确的回复你们。
我们在孟加拉国,我们的政府对于进口的产品有特殊的规定,如下:1.付款方式:任何出口到孟加拉国的货物都必须通过即期L/C的付款方式。
如果不通过L/C 方式进口就会被罚款,罚金至少为货物市场价的21%。
2.装船前检验:任何出口到孟加拉的化工产品在未装入集装箱前都应该在生产厂家检验通过。
从今年七月开始针对从中国和远东国家进口货物孟加拉国制定了一个附有SGS检验标准的监管措施。
SGS确认了厂家在合同上所承诺的关于产品质量和重量的描述。
同事,SGS 也写明了产品在中国的市场价。
孟加拉海关通过SGS估价报告计算进口关税。
如果进口到孟加拉国的货物没有SGS的检验证明,那么进口商就会被处货物市场价41%的罚款。
注意:A.即使有政府的严格限制,但是如果货物总量少于1到2个柜子买家有时可以通过其他方式以T/T进行一部分预付。
但是在进行预付之前买家必须确定收款人的信用。
B. 一些在孟加拉国主要出口服装和纺织品的厂家都有特别的许可证。
他们进口时可以没有装船检验证明。
如果那样的话,装船检验证明应该在货物已经到保税仓库之后做好。
通常这样的货量会很大,在100吨到800吨这样,通常在没有集装箱的整批运输时采用这种方式。
但是同样需要以L/C为付款方式。
他们只接受即期L/C.他们不会允许任何形式的预付款。
在以上的两个条件的约束下,任何想和孟加拉国做生意的中国的贸易公司就会变得很少甚至会没有人愿意同孟加拉国合作。
如果任何一个贸易公司想要和孟加拉国做生意,他们就要设法处理好这些事,否则他们就会面临许多问题,那是他们就会被买家知道是贸易公司了。
1.原产地证明和SGS报告必须注明生产商名称,地址等。

国际工程项目的本地成分要求有哪些?
很多国家针对本国境内实施的工程项目均有保护本国产品、企业和就业的强制性法律法规,即本地成分(local content)要求,且这一要求并非政府采购类项目和PPP 项目所独有的特征,很多私人投资的项目同样需要遵守。
(1)物资采购本地化要求。
例如,印度尼西亚相关法律规定,该国境内建设工程项目至少30%的物资和服务供应商应为印度尼西亚本国企业或个人。
(2)服务采购本地化要求。
包括金融服务、保险服务、运输服务等。
例如,尼日利亚相关法律规定,尼日利亚境内的油气类项目所涉及的保险,应由在尼日利亚注册的保险经纪办理,油气类项目所需的金融服务一般应选择尼日利亚当地金融机构。
(3)投标人资格本地化要求。
在马来西亚,外国承包商需要先注册成立建设工程公司,获得马来西亚建筑发展局(CIDB)的批准后,才能从事建筑工程项目和参与投标。
尼日利亚法律规定,国际承包商在尼日利亚境内承揽油气类项目时,至少50%的施工设备的所有权应登记在国际承包商驻尼日利亚子公司的名下。
(4)人员本地化要求。
例如,马来西亚对外国劳工获得工作许可及签证的要求严、难度大,用人单位录用外国劳工前,需向马来西亚政府证明该国国内没有符合要求的人才。

(F)‖臨時工‖-指其工作性質是臨時的―Casual‖ employee is a person whose employment is of a casual nature.第四節PART-4服務記錄SERVICE RECORD4.聘用書:除了臨時工外,在雇用時應發給所有員工騁用書,註明其服務條件,工作性質,薪資及其他應給該員工的相關福利Appointment letter: an appointment letter mentioning the terms and conditions of service, nature of work, pay and/or any other relevant matter shall be given to an employee concerned on his appointment, excepting in the case of casual employees.5.服務記錄的保存:每一員工的服務記錄應保存在其‖服務記錄本‖內,該本應記有該員工之姓名,其他個人資料,雇用日期,工作性質,薪資,休假及其行為記錄等Maintenance of service records etc: service records of the workers shall be maintained in a―service book‖ which will contain names & other par ticulars of the persons employed, date of employment, nature of work, rate of wages, leaven taken & records of conduct etc.第五節PART-5休假及假日Leave and holiday6.請休假的權力Right to leave etc:(A)請休假是恩典不應被斷言是權力.經理,或任何被付予准休假權力的人,基於工作需要應有權拒絕或取消任何性質的休假Leave is a privilege and cannot be claimed as a matter of right. The manager of the person empowered to grant leave shall have the discretion to refuse of revoke the leave of any description when the exigencies of his services so require.(B)休假的計算應以西洋年為準Leave entitlement shall be calculated on the basis of English calendar year.(C)在此指令內,‖服務‖意指For the purpose of these instructions, the expression ―service‖ means:(1)實際工作天數actual days of work;(2)有薪請休假天數period of leave with pay;(3)強制性請休假天數compulsory ―off‖ days;(4)成為正式員工前的試用期間period of probation of the employee who is confirmed in a permanent post on the expiry of the probation period and.(5)十天以內的無薪請休假天數the period of leave without pay not exceeding ten days.(D)在一年服務期間內不管有任何中斷,若該中斷是被批准的,應視為該員已完成滿一年的服務an employee shall be deemed to have completed a year‘s service notwithstanding any interruption in service during the year on account of authorized absence.(E)若在原被批准的任何請休假期滿後仍然缺席,應被採取懲處行動,除非該員能提出令人滿意的解釋,此種缺息應被當做‖不端行為‖且應被處以其下的處罰.an employee whoremains absent for any period in excess of the period of leave originally sanctioned orsubsequently extended shall be liable to disciplinary action unless he is able to explain hisoverstay in a satisfactory manner to hi manager. Such absence shall be treated, as―misconduct‖ and the employee shall be liable to such punishment as may be specified herein.(F)星期五或假日若介於請休假的第一天到最後一天之間,應算為請休假的一部份Fridayor holiday falling I between the first & the last days of any leave period shall count as part of the leave.(G)若該‖休假日‖是被管理單位要求在星期五或假日來加班的調休,應視為特別休假來批准a ―day of days off‖ which an employee becomes entitled to by virtue of having worked onea Friday or holiday notified by the management shall be allowed to be affixed of prefixed toprivilege leave.(H)若要請病假,要附上醫生證明,若醫生沒空,要有其雇用的合格登記開業者的證明if theapplication for leave is on medical ground, the employee shall submit with his application a certificate from the doctor of the company at stations where such doctor is available of from a qualified registered medica l practitioner at places where his employer‘s doctor is not available stating the probable period for which leave is required.7.事假跟病假Casual leave and sick leave(A)每位員工每年都應有10天的有薪全薪事假every worker shall be entitled to casual leavewith full wages for ten days in a year.(B)每位員工每年都應有14天的有薪全薪一半的病假every worker shall be entitled tofourteen days‘ sick leave on half average wages in a year.但此假以西洋年為限,不可延續到下一年provided that sick leave or casual leave admissible under this section shall not be accumulated and carried forward to the succeeding year.8.休息日day-off員工若被要求在星期五或假日來上班的,可任選一天做替代的‖休假日‖an employee when required to work on a Friday or holiday a day off shall be given as a substitute on any other day.9.產假:maternity benefit服務滿10個月以上的女性員工可申請12週付底薪產假(生產前後各6週),一生中最多可請2次且2次要間隔至少3年a female employee who has completed a minimum of tenmonths service shall be entitled, on application, to maternity leave with pay for six weeksbefore a six weeks after the confinement on ground of maternity(child-birth).this benefit may be granted only twice in the whole period of service life of a female employee. Providedfurther that maternity leave for the second time shall be admissible only after a period of 3years from the date of availing of first such leave.10.年假earned leave服務滿1年後,在下列條件可享有付底薪休假an employee shall be eligible for earned leave with pay for every completed year of service as under:(A)在前12個月的服務中,每22天的工作日可有一天年假one day for every twenty two days of work performed by him during the previous period of 12 months.(B)年假沒有休完可累積到下一年度,但最多不可超過30天,若公司基於業務需要,不給請年假,員工可換領現金if an employee does not in any such period of 12 months service, takes such leave to which he is entitled under sub-para either in whole or in part any such leave not taken by him shall be allowed to be added to the succeeding year provided that an employee shall cease to earn any leave when the earned leave due to him amounts to thirty day. if earned leave is refused in the interest of the company, employee shall have the option to en-cash the leave so refused.11.節慶假日festival leave(A)在一西洋年內每位員工應有10天的節慶假日.日數及日期由管理單位視員工一般情況來訂定every employee shall be allowed at least ten days festival holiday with pay in a calendar year. The day or days and the dates for such festivals shall be fixed by the management in such manner as they deem fit but In keeping with the general consensus of the employees.(B)日數及日期應在每年1月份公佈the day of days and dates of festival holidays shall be fixed and conspicuously notified in the month of January i.e. at the beginning of the year. (C)若要求員工於節慶假日來上班,應在1月內放2天有薪休假給該員工all employee may be required to work on any festival holiday but two days compensatory holidays with pay shall be allowed to the employee within thirty day immediately after that holiday.(D)若員工要求,可以書面申請2天薪水(全薪)抵此2天有薪休假if an employee so desires in writing , two day‘s pay in lieu of compensatory holiday may be granted.第六節PART-6雇用终止/辭職TERMINATION/RESIGNADTION O F EMPLOYMENT12.終止服務:TERMINATION of service若雇主要終止正式員工/臨時雇員的服務,要在120天前通知正式員工,60天前通知臨時雇員或付給其相當於120天/60天的薪資(底薪),且若該員服務滿1年,要付給其1年1個月,2年2個月…的薪資,6個月以上以1年計,再加上其他在合約上有註明的福利for termination of the services of a permanent/temporary employee by the employer,120 days‘ notice in the case of permanent employee and 60 days‘ notice in the case of temporary employee shall be given by his employer. Provided that pay for 120 days of 60 days, as the case may be shall be paid in lieu of such notice provided further that the worker whose employment is so terminated, shall be paid compensation at the rate of one moth‘s pay for every completed year of service of for any part thereof in excess of six moths in addition to any other benefits to which he may be entitled to under the terms of employment.13.辭職:RESIGNATION(A)若一正式員工想辭職,應在1個月以前向公司提出a permanent employee shall berequired to give one month‘s notice, should he wish to resign from the services of the company.(B)若該員工無法在1個月以前向公司提出辭職,應放棄其應領取的工資an employee who resigns from service of the company but fails to give the required notice shall surrender pay in lieu of such notice thereof.(C)若該員工在1個月以前向公司提出辭職,或無法在1個月以前提出但放棄其應領取的工資時,公司應接受其辭呈the employer shall accept the resignation if due notice is given or due payment in lieu of notice is made or pay is surrendered in lieu of such notice.(D)若該員工有懸而未決的懲戒在進行,除非貣草日已超過60天,否則無法辭職.除非雇主同意其要求notwithstanding anything stated above no employee against whom a disciplinary proceeding is pending shall resign from the services of the company unless 60 days‘ have elapsed form the dr awing up of the departmental proceeding. provided that the employer may allow such employee to resign on such conditions as he may deem fit14.懲戒/抱怨程序:DISCIPLINE AND GRIEV ANCE PROCEDURE(1)若該員在雇主眼中是(a)沒有效率(b)腐敗,貪污(c)行為不端,若在調查後屬實,雇主可施予其後第16條所提的處罰.where an employee of the company in the opinion of the employer is inefficient , or corrupt, or guilty of misconduct, the employer may impose on him one or more of the penalties specific in para 16, if after enquiry he is found guilty of any of the above charges.註1-―行為不端‖意指違反善良風氣或服務,包含note 1:‘misconduct‘ means conduct prejudicial to good order or service discipline un-becoming of an employee of a gentleman and shall include-(A)單獨或跟別人一貣故意不順從或違抗法令或上級合理的命令willful insubordination or disobedience, whether alone or in combination with others, to any lawful or reasonable order of a superior.(B)關於工作或工廠/企業財產偷竊,欺騙,不誠實theft, fraud or dishonesty in connection with the business or property of the factory/enterprise.(C)毀壞工廠/企業任何財產causing damage to any property of the factory/enterprise;(D)收取或給予賄賂或任何不合法的贈予taking or giving bribes of any illegal gratification;(E)不經請假或無合理解釋而習慣性遲到或曠職.一年有10次以上不經請假的缺席可視為習慣性曠職habitual late attendance or habitual absence from duty without leave or without sufficient case. absence without leave for ten days in a year shall be regarded as habitual absence without leave.(F)連續10天以上不經許可或沒有合理解釋的缺席continuous absence for more than ten days without permission and without satisfactory cause of absence;(G)習慣性違反給予他的法律,命令,指示habitual breach of any law, order, instruction application to him;(H)對於工作習慣性疏忽,隨便,粗心habitual neglect or negligence of collection f\of any money within the premises of the enterprise/company factory for any purposes mot approved by the employer.(M)在企業/工廠的禁煙的埸所吸煙Smoking within the premises of the company or Provide that a badly worker name is born on themaster-roll of the company shall cease to be regarded as such for the purpose of this section, if he has completed one year of continuous service in the company. 孟加拉锡莱特工程风险分析及应对措施摘要:近些年随着国内电力建设市场的不景气和残酷竞争,不少电建公司审时度势,特制定了“走出去”战略,极力开拓国际电建市场,并成立了诸多海外工程分公司。
在经营生产同时,也特别要注意工程潜在的风险。
本文就孟加拉电力市场所存在的风险进行了肤浅的分析,并相应的采取措施进行了初步探索。
关键词:国外孟加拉工程风险;分析;相对措施引言:随着市场经济的发展,走出去步入国际市场是一些电力施工企业的发展方向,如何提高国际市场竞争力,在市场中立足、发展壮大,是企业的目标,也是管理者的追求。
我公司早在1987年就涉足国外电建市场,不过当时国内还是计划经济时期,先后参与了巴基斯坦50WM燃气机组、承建了孟加拉吉大港2*200WM燃气机组、以及孟加拉巴库2*150WM燃煤机组的建设。
2010年3月,我们又中标了孟加拉锡来特150WM燃机机组工程。
我参加了整个工程建设,在实际工作过程中,感觉国际工程与国内工程在许多方面都存在较大的差异,企业在参与国际工程时,将面临比国内更多的风险。
下面我着重谈谈此项目的风险及应对措施。
一、项目概况该电建位于工程孟加拉东北部第三大城市锡莱特,是由1套PG6581型GT 燃气轮机发电机组,总功率约为150MW,合同产值4600万元,工期16月。
该工程自2010年3月份中标以来,由于孟加拉国业主(BDPB)、设计院的原因,土建、安装开工日期是一拖再拖,由原来的2010年3月末开工,拖至2010年5月中旬才开工。
二、风险分析及应对措施1、由于孟加拉国比较贫穷落后,实际资金到位率偏低,与完成产值差20个百分点。
因本工程实行里程碑节点付款计划,和结算产值存在误差,20%的资金定在工程结尾阶段,加上因为缺件等各种客观因素,使部分里程碑节点不能达到计划要求,处于“万事俱备只欠东风”的状态,不能结算。
但已完工节点资金已全部到位,从这个意义上说资金到位率是100%。
实际始终相差20%。

设计部协调设计院协助设备部编制审核采购设备技术规范书;国际工程项目管理部负责编制审核设备监造计划、制定试验检验工作计划并组织实施;计划合同部负责合同商务条款谈判及最终采购价格的确定并参与设备招标全过程工作。
二、与业主方沟通体系的建立与实施:(一)文件审查、备案1、招标厂家变更资格的报批,严格执行《设备分包商选择程序管理制度》;2、设备采购合同签定后备案(不含价格);未签字EPC合同中相关条款:供货商应在合同签订的14天内将与分包商的分包合同提供给业主(不包括价格和付款信息)。
供货商提供给业主全部分包合同的的技术调查文件以及商务条款(价格以及付款信息除外),这些潜在承包商为业主根据条款9.2.1业主批准的,业主在收到后28天内进行审查和评论。
未得到业主认可前不得向分包商进行调查。
供货商应根据业主的修改对调查进行改动,但承包商出于谨慎,可以将此修改作为修正案。
3、业主参与设备制造检验的规定;未签字EPC合同中相关条款:进口材料发货到到货点之前,供货商应负责供货合同要求的场外试验,供货商随时准备进行试验,试验前通知业主试验地点及试验时间,至少在通知后(30)天进行试验。
供货商应承担业主代表或BPDB人员在孟加拉境内外对试验进行检查所发生的差旅费、住宿及餐费。
(二)已报业主业绩表(短名单)情况BIBIYANA项目供货商业绩表最终版(C版)已于2011年6月5日上报业主,并得到批准,目前进行的采购均严格按短名单执行。

孟加拉口岸通关指南一、关税结构孟加拉国的关税结构在1999/2000进一步简化和降低。
平均非加权关税下降了4%下降到19%,加权平均关税下降到16.5%。
最高关税税率从40%下降到37.5%(不包括额外征收的2.5%的基础发展税)。
同时以前征收30%关税的商品的关税降到25%,原材料的进口关税从7.5%降到5%。
另外进口化肥、农业机械和纺织皮革主要原料免征额外征收的基础发展税。
孟加拉还免除了纺织机械零部件和旅游产业的资本性设备的进口关税,原来对进口木材和某些机械及水泵征收的7.5%的关税也被取消。
相反,某些产品如生丝、某些聚烯、纸浆、书籍、零售包装和散装进口瓶装健康饮料以及废旧木棒的进口关税被提高。
二、进口限制鸡肉、盐、纸板盒、部分纺织品及除由国有专业公司进口以外的原糖和石油产品都限制进口,考虑到国家安全,环保、健康和宗教因素,武器,麻醉剂、杀虫剂和活猪都限制进口。
其他如水泥、化肥、煤炭以及部分纺织和针织品有进口配额限制或者需要特别批准才能进口。

b)出口加工区企业应以可兑换货币支付商品的成本走出自己的外汇帐户。
c) 出口加工区管理局须发出支持出口加工区的工业单位通过书其中标明在魏高达可以采购的货物金额的领域本地每年或财政年度或季度在基础上。
d)出口加工区管理局将选择通过本书和帐户系统的形式作为与海关达卡债券 Commissionerate 讨论采购权威。
e)当通过本书所述的认可的价值上限将会耗尽出口加工区管理局应赞同通过书中的新鲜值上限或发行新把书递给。
列表中的"其他货物"免税进口的在出口加工区企业有权免税进口下列货物免费根据 SRO 号 269 / 09 月海关日的31.08.2009。
