The detled scope of work shall be as specified in the CONTRACT DOCUMENTS (as defined hereinbelow).2. PRICE AND PAYMENT TERMSThe total CONTRACT PRICE for the PROJECT is [amount]. CHANGE ORDERSEither PARTY may request a CHANGE ORDER (defined hereinbelow) if it is necessary to make changes to the PROJECT. The terms and conditions of CHANGE ORDERS shall be as agreed upon the PARTIES.8. DISPUTE RESOLUTIONAny dispute arising out of or in connection with the CONTRACT shall be resolved through NEGOTIATION (defined hereinbelow) between the PARTIES. If NEGOTIATION fls, the dispute shall be submitted to ARBITRATION (defined hereinbelow) in accordance with the rules of the relevant arbitration institution.9. TERMINATIONThe CONTRACT may be TERMINATED (defined hereinbelow) either PARTY in the event of a DEFAULT (defined hereinbelow) the other PARTY or for other reasons as specified herein.10. CONFIDENTIALITYThe PARTIES shall keep confidential all information related to the PROJECT, except as required law or with the prior written consent of the other PARTY.11. ENTIRE AGREEMENTThis CONTRACT constitutes the entire agreement between the PARTIES and supersedes all prior agreements, understandings, or representations, whether oral or written.12. Buyer( Party A): Best way Gulf Steel Structure LLC
Supplier(Second Party): HongKong Fertile Trading (Branch).
Party A commissioned Party B to undertake Party A's designated60beds Hospital project special engineering design,supply,installation,by mutual agreement,the signing of this contract,joint implementation.
1.The scope of work :both parties confirm the intelligent systems within the scope of construction drawing processing production, including drawing deepening design, processing production , per assembling, packing, loading, technical support and services, Party B should provide the export required documents of relevant information, documents and assistance which the Party A need.
2. Design basis
2.1 The contract or the power of attorney which party A provide.
2.2 Submission basic data of party A
2.3 The design USES the main technical standards: Design should comply with UAE municipality and related departments approved by the planning and design drawings, and meet the relevant international BS standards,and to meet the requirements of Party A assigned supervisor, project related department.
3.Design content

a. Party B design according to the basic drawing which is the Party A to provide. Party B according to the specifications and technical requirements for reasonable deployment configuration.
b. In line with the design requirements on the basis of party A, by party b in the supply of equipment and material list limit cost is as follows
4, Contract amount:
Both parties agreed the contract amount of $ 2,926,900 , for the completion of the term of the contract for the design, supply and installation work of all costs, profits, taxes, and so on.
5,payment condition:
5.1 Pay 15% of the contract amount after get the approval from the owners and supervision for the completed design drawings.
5.2 Pay 45% of the contract amount upon goods ordering process and list approved by Party A 5.3 Pay 30% of the contract amount upon goods ordered ready to board.
5.4 pay 5 % of the contract amount upon arrival on site completion of installation.
5.5 Pay 5% of the contract amount as retention, to be paid after one year warranty period has come to an end.
5.6 Payment by bank transfer.
5.7 Party B shall provide the original Commercial invoice to party A.
6 Both parties to submit relevant information, documents and time.
6.1 Project the existing building and structural drawings can be provided within one week after signing the contract .
6.2 Submitted design drawings and BOQ (Note configuration parameters detailed technical standards) for the party A confirm within 60 calendar days after signing the contract,the submitted document should be Chinese and English electronic version of each copy .
6.3 Supply and installation: Party A should deliver the material to site within the 180 days after receiving instruction from Party B, and send 4 full-time technical personnel to the scene to guide the installation work.
7 Privacy Policy:
Both parties should protect each other's intellectual property, without the consent of the other, Neither party to the other without modification of information and documents, copied or transferred to a third party or used for any projects outside the Contract. In the event of the above, the disclosure shall bear all the consequences and liability.
8 Quality standards:
Party B supply the materials to meet the requirements of UAE municipality and relevant departments, while Party B should cooperation with party A for the drawings and material approval.
9 Resolve contract disputes:
9.1 The implementation of this contract dispute, resolved through consultation by both parties, negotiation fails, Both sides agreed to appeal to the UAE Judicial Court
9.2 This contract two copies, each party holds one into force after signature by the legal representative, each having the same legal effect, Party A requires Party B to stop supply of materials, this contract terminate after two side clear payment and goods. It can be provide supplemental agreement, as the contract attachment.。
