技术协议书

Technical Agreement

甲、乙双方经过充分协商，愿意在本协议规定的领域内进行合作，并履行拟定范围内的权利及义务，为保证双方合作的顺利进行，特签订本协议。擅自违犯本协议的任一条款，都将被认为是破坏双方的合作，造成的一切损失由违约方承担。

Based on fully consultation, Party A and Party B are willing to cooperate in the field of this Agreement, to fulfill the rights and obligations within the scope to develop and are willing to make the Agreement to ensure the smoothly bilateral cooperation. Arbitrarily violating any provision of this Agreement, will be considered to destroy bilateral cooperation, and all the losses are borne by the defaulting party

本协议及其附件中未记载的事项或在执行中双方增加的条款以《更改通知单》形式进行沟通，更改通知单中的内容可作为本协议的补充附件，具有同样的效力，在其中有关条款与本协议冲突时，优先按更改通知单中规定的条款执行。

Regard to items not listed in this Agreement and annex or the new items added by both sides during the cooperation, two parties will communicate and add the "Change Notification" during the implementation. Taken as supplement annex, the “Change Notification” has the same effect with this Agreement. The “Change Notification” has priority in execution when its items conflict with the terms of this Agreement.

1 送样要求

1 Sample Requirement

乙方愿为甲方配套提供定点通知书中所列产品，并承担相应的模具及产品的制作，具体送样明细按照定点通知书的要求，并严格按照定点通知书上的时间提交首次试模件(首次试模件要求满足：SC 尺寸全部合格，其余图纸尺寸80%合格，不能满足此要求的不能定义为首模件，由此所导致的延期将按照双方签订的商务条款执行)、OTS 样件。在提供合

格样件之前，如甲方无特殊要求，乙方每次提供甲方的样件数量不低于件（如为多模腔成型件，每一模腔均需提供样件），同时在每次提交的样件上都应用记号笔标注生产日期，作为临时性的标志，便于后期检索。乙方应保留每一次试样的工艺参数并及时提供给甲方。
