三人合作协议书英文版范本THIS AGREEMENT is made this ______ day of ______, 20__, (the "Effective Date") by and between:1. _____________ (hereinafter referred to as "Party A"), a _____________ (specify the legal entity type), whose registered office is at _____________ (specify the address);2. _____________ (hereinafter referred to as "Party B"), a _____________ (specify the legal entity type), whose registered office is at _____________ (specify the address);3. _____________ (hereinafter referred to as "Party C"), a _____________ (specify the legal entity type), whose registered office is at _____________ (specify the address);(collectively referred to as the "Parties" and individually as a "Party").WHEREAS, the Parties intend to collaborate on a project (the "Project") as described in Schedule A attached hereto and made a part hereof (the "Project Description");NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:ARTICLE 1: DEFINITIONS1.1 "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a Party.1.2 "Confidential Information" means any information disclosed by one Party to the other Party during the term of this Agreement that is marked as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of its disclosure.1.3 "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereto, under the laws of any state, country, territory or other jurisdiction.ARTICLE 2: PURPOSE OF THE AGREEMENT2.1 The purpose of this Agreement is to establish the terms and conditions under which the Parties will collaborate on the Project.ARTICLE 3: CONTRIBUTIONS3.1 Each Party shall contribute to the Project as set forthin Schedule B attached hereto and made a part hereof (the "Contributions").3.2 The Parties acknowledge that the Contributions aresubject to change upon mutual agreement.ARTICLE 4: OWNERSHIP4.1 All Intellectual Property Rights developed or acquired by the Parties in the course of the Project shall be ownedjointly by the Parties.4.2 Each Party shall have the right to use the jointly owned Intellectual Property Rights for the purposes of the Project.ARTICLE 5: CONFIDENTIALITY5.1 Each Party shall treat all Confidential Information ofthe other Parties as confidential and shall not disclose such information to any third party without the prior written consent of the disclosing Party.5.2 The obligations of confidentiality under this Article 5 shall survive the termination or expiration of this Agreement.ARTICLE 6: TERM6.1 This Agreement shall commence on the Effective Date and shall continue until the completion of the Project, unless earlier terminated in accordance with Article7.ARTICLE 7: TERMINATION7.1 This Agreement may be terminated by any Party uponwritten notice to the other Parties in the event of a material breach by any Party that is not cured within thirty (30) days after written notice thereof.7.2 Upon termination of this Agreement, each Party shall cease all use of the other Parties' Confidential Information.ARTICLE 8: DISPUTE RESOLUTION8.1 Any dispute arising out of or in connection with this Agreement shall be resolved by negotiation between the Parties.8.2 If the dispute cannot be resolved by negotiation, itshall be submitted to arbitration in accordance with the rules of the _____________ (specify the arbitration institution), and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.ARTICLE 9: ENTIRE AGREEMENT9.1 This Agreement, including any Schedules and Exhibits attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.ARTICLE 10: AMENDMENTS10.1 This Agreement may be amended only by a written instrument executed by all Parties.ARTICLE 11: ASSIGNMENT11.1 This Agreement shall not be assignable by any Party without the prior written consent of the other Parties.ARTICLE 12: SEVERABILITY12.1 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.ARTICLE 13:。
