第一条序言
本协议各基本内容建立在以下基础之上:
一、大学富有成效的合作始于200:
年,当年双方设立了管理学科的中外合作办学项目。
包括会计和金融,市场营销,和人力资源管理:
二、双方在学术和文化教育方面具有共同的发展责任;
三、双方共同致力于开发各类教育项目,旨在共同提高为双方学生、教师所提
供的服务。

第三条办学宗旨和办学目标
双方合作的目的是建立一个深化高等教育的中外合作办学机构:
1.向甲方引进理念先进的教育模式和资源,共同为中国学生提供前沿性的专业
知识和实践技能;
豇通过教学资源和模式的合作与交流,向中国学生提供具有国际水准的高等教
育方式及资源;
3.对于在此中外合作办学机构框架下各项目学习期满的学生,帮助他们实现学
分转移到相关的乙方本科专业。
二、本教育合作目标是充分利用乙方优质的教育资源,共同促进甲方在高等教
育国际化方面的建设和发展,促进中国高等教育的国际化程度。
三、双方签订此协议旨在使该机构学生从中受益并为两国关系的发展做出积极
贡献。
四、双方认为,教育合作要求双方承担起日常性特殊的管理需求。
此次教育合作由于涉及双方的声誉,双方确认要指定代表人来维护各自的利益。
乙方指定其课程中心作为乙方的代表,在此协议条款下辅助管理“学院”的日常责任,并代表乙方作为双方的联系人。
第四条资产
双方收取学生学费不以营利为目的,只是为了弥补建立并维持“学院”运行各种费用。
”学院”将提供优质的学习和培训,旨在使学生能在其所选领域有工作的
能力并能开展其他领域的学习。
第五条内容
一、于年起甲乙双方共同建设”学院",首先合作开设等专业。
双方今后将根据双方的优质教育资源和国际就业市场状况共同
在”学院”内开设其他的学科专业。
二、甲方主要投资建设”学院”的硬件部分,包括校园、教室、实验室、图书馆,学生宿舍等相关的教学、学习和学生生活设施;乙方主要负责”学院”教学质量
监管和评价,派遣教师讲授核心课程、教学大纲制定、课程内容投入及英语语言
教学。
三、学生在”学院”内完成专科学习,将获得甲方颁发的专科学历证书;学习
优秀,符合条件韵获甲方学历证书的学生,或完成两年学习的学生,达到录取要求后,鼓励他们申请到大学继续攻
读合适的学位。
四、学生在”学院”学习期间,乙方负责教学大纲执行的监管(包括课程描述,
教材I和教学评价),并派遣合格教师讲授教学大纲内的核心课程,监控教师授
课和教学大纲的质量。
第六条组织及管理
为对第五条中涉及的活动实施管理,由双方共同建立一个管理委员会(以下简称“蚕员会”)负责”学院”的管理和协调工作。
委员会是”学院”的最高管理机构,负责制定”学院”的战略发展,政策和规章制度,规划项目发展,进行质量
评估并审定”学院”运行。
委员会由5名人员组成,甲方3名,乙方2名,委员
会主任由甲方副校长担任,乙方一名人员担任副主任。
委员会每年至少开一次联
合会议以决定有关事项。
如果委员会认为有必要,可以定期召开。
委员会行使下
:列职权:
一、改选或者补选委员会组成人员;
二、聘任、解聘所拟学院院长或者主要行政负责人;
三、修改章程,制定规章制度;
泗、制定发展规划,批准年度工作计划;
:五、筹集办学经费,审核预算、决算;
吠、决定教职工的编制定额和标准;
抵决定中外合作办学机构的分立、合并、终止;

隙七条甲乙双方的权利与义务

豇、设立”学院”办学场所,即甲方校区作为”学院”的校园。
该校区的
瞰施包括教室、实验室、图书馆和课外活动场地、以及适合学生住宿的条件。
瞄、为保证”学院”的良好运转,对软硬件进行适当的投入。
睁、获取并保证中国政府及相关部门开展项目所必要的批准文件。
艮学生选拔、入学测试及招生。
艮学生学籍管理,并根据委员会要求提供相应材料。
艮根据双方共同制定的教学计划,提供经验丰富、并经乙方认可的教师担任某
瞽课程的教学工作。
7、资助乙方为”学院”派送的授课教师。
8、就项目运行与乙方密切合作,确保高水平的教育质量。
9、对于申请转学到乙方的学生提供帮助。
10、为赴乙方培训的甲方教师提供预算。
二、乙方的权利与义务
l、就“学院”的教学管理提出各种建议,以保证”学院”达到乙方的教育水准。
2、向“学院”提供各类教育合作项目的教学安排,包括培养方案、教学大纲、
教材以及其他乙方学生能够享受到的相同的教育资源。
3、提供必要的教学人员为“学院”学生教授专业核心课程,以保证机构的教育
质量及双方教育理念的实施。
4、负责对“学院”教学的甲方教师的评估,选拔和认证。
具体来说,只有经过
认证的甲方教师才具有在“学院”授课的教学资格。
5、为“学院”学生的课程学分转移到乙方开展工作。
如果“学院”学生在中国
的学习完成后拟赴乙方继续攻读学位,乙方为这些学生提供转学指导,帮助和发放入学通知书。
6、在“学院”启动后,提供甲方教职工的专业培训,为甲方培训教师根据现有
的教师培训安排支付英国住宿和基本生活补贴。
7、就项目运行与甲方密切合作,确保高水平的教育质量。
8、对学生申请学分转移到乙方提供必要的帮助。
8、为参加在英国召开的委员会年度工作会议的甲方委员会成员,提供在英国接
待和住宿。
第八条质量控制
一、“学院”各个专业的教学培养方案和教学大纲由双方共同制定,以保证教学质量达到双方的要求。
二、双方定期对各个专业的教学培养方案和教学大纲进行审定,以保证教学安
排和课程内容的前瞻性,并符合就业市场对学生的要求。
三、甲方保证为“学院”的学生提供充足的、最先进的教学硬件设施,包括实验室、图书馆等教学资源。
四、甲方强化“学院”学生英语能力的学习,采取措施,如增加英语教学时间、配备优秀英语教师、招聘外籍语言教师并引入外部英语雅思考试培训体系,使“学
院”的学生比正常中国学生更具较强的英语语言能力。
第九条招生
一、学生进入“学院”各项目学习,需要参加中国普通高等学校入学考试并达到入学要求。
二、“学院”仅招收中国高等教育招生计划内学生。
三、入学要求由委员会根据具体情况随时修改补充。
第十条财务事项
一、双方理解“学院”将收取特定学费,用以弥补成本支出。
该学费标准需要得到有关部门的审批。
二、双方同意为“学院”的建设和运行投入上述成本,这些成本从“学院”学生学费中核算。
三、双方同意进行详细的讨论和评估,清晰地界定双方的最低投入成本。
第十一条协议期限及附件
一、在本协议框架下,双方需要签署协议附件,阐明教学质量控制、财务安排、学生数量控制等细节内容。
对于将来出现的新事项,双方理解可能需要签署多个协议附件,以明确双方的责任和义务。
这些协议附件和本协议具有同等效力。
二、本协议及其附件有效期为十年,如无任何一方在协议到期前六个月提出书面终止声明,协议将自动延期,每期一年。
如协议终止,对于终止声明前已经开始的活动,双方将继续保留本协议中的责任和义务,直至上述活动结束。
第十二条争端解决
一、本协议所有条款均需按照中华人民共和国《中外合作办学条例》及其实施办法规定执行,同时遵守中华人民共和国和英国的法律;
二、双方声明,如果出现由本协议引起或与本协议相关的争端或纠纷,双方应凭着诚实守信的精神和根据实际的现实情况通过协商解决;如果协商不能解决,两国法律皆可适用;如果双方与学生产生纠纷,以所在国家法律为准。
三、如果其中一方因洪涝、火灾、地震、战争等自然灾害或无法预见的事件而没能或延迟履行义务,将不予追究责任。
本协议在中国政府批准之日起生效。
本协议中英文版本各一式两份,每方执中英文版本各一份,每份均为签字原件。

I.Preamble
The fundamental aspects of this agreement ale based on:
I.the fruitful cooperation between XXX and XXX members
established for the joint educational programme in the field of Business Programme,which including Accounting and Finance,Marketing,Human Resources Management;.
2.the XXX interest in the academic and cultural development;
3.the shared interest in evolving collaboration models to gain the mutual benefits in offering quality educational services to students,and developing educational knowledge and skills of professors.

III.Mission and Objective
j 1.111e purpose of the cooperation between the parties is to establish XXX for the furtherance of Higher Education by:
l l·1 Introducing advanced educational models and recourse into Party A and assisting

I practical competencies.
I 1.2 Providing students with higher education and resources of an international standard
through exchange of advanced teaching,learning methods and resources·
1.3 Facilitating a transfer of course credits of the students after the required period of Stud for articulation from one of the program mes designated in the Institute,to the suitable and agreed degree program mes in Party B.
2 Both parties aim to develop an innovative and applicable educational system at an
Internationale standard SO as to contribute to the international profiles of both parties.3 Both Darkies wish that this collaboration will benefit students and contribute positively to
the relationship and goodwill between their respective countries.
4 Both parties recognize that this collaboration has special needs which require constant management from both parties.Because this collaboration can affect the reputation of the collaborating parties,it is recognized that the parties may appoint representatives to safeguard their interests.Party B will appoint its Programme Centre who will represent Party B and help to manage the Institute’s day—to—day responsibilities under this agreement,and will act as liaison between Party B and Party A-
IV.Property
It is not the intention of the parties for profit making.Rather,it is the intention of the parties
to defray the various costs and expense they have incurred in the establishment and running
Of the Institute by charging fees to students.The Institute will focus on the high quality teaching and learning,and create opportunities for students to become highly employable in
their chosen career.
V Contents
1.From 20 1 1,party A and Party B will collaborate to support the establishment of an Institute at XXX.This will involve the support of education
Programme in a number of subject areas which may include:Feed and Animal Nutrition;
Animal Scienee;Both
will collaborate to explore the development of other subjects within the Institute
subj etc to the educational resources of both parties and the international employee‘markets.
2.Part V A inputs mainly to the Institute for the hardware infrastructure and facilities,including the campus,teaching&learning support,classrooms,laboratories,library,student accommodation,and fft~her development maintenance.Party B inputs mainly to
the Institute for education quality advice and monitoring guidance,assisting in the delivery of the defined core subjects.advice on curriculum design and content ,
and advice on the English language teaching.
3.Students who complete the required study at the Institute in Party A will be awarded diplomas or degrees as appropriate by.Party A;for those students,who successfully complete a minimum years study in the Institute at Party A,will be encouraged to apply for articulation onto to suitable and agreed deg~e programme in Party B.4.When students study in the Institute at Party A,Party B will assist in overseeing the provision of a curriculum(including guidance on module descriptors,teaching materials,
and assessments),as well as providing qualified lecturers to assist in the delivery of
the
core modules in the curriculum to the Institute students,and to assist in the monitoring
and control of the quality of the delivery.
VI.Organization and Management
In order to manage the activities described in article V both parties agree to set up a Management Committee(the Committee for short)to be in charge of the coordination and management of the Institute.The Committee is the highest decision-making body for the Institute.The Committee will be responsible for strategic issues,policies and regulations,the
assessment of the quality of the programme,and the review of the Institute operations.The
Committee consists of five members,including three members from Party A and two from
Party B.The Committee is chaired by one vice president from Party A with the support of the
CO—chair by one member from Party B.The Committee members will hold annual meeting.
If the Committee feels necessary,meetings will be arranged accordingly.The Committee functions as follows:

Electing or by.electing the members of the Committee;.
2.Appointing Or dismissing the Dean or the principal administrators of the Institute;3.Modifying the article associations and formulating rule-sand by laws;4.Formulating development plans and approving annual work plans;
5.Raising operational funds,examining and approving the budget and the accountable;6.Determining the staff arrangement and quotas;
7.Making decisions on the division,merger or termination of the Institute;
8_Exerting other powers specified by the articles of association.VII.Responsibilities of the Two Parties
1.Responsibilities of Party A:
1.1 Define a dedicated space,namely,the XX Campus of Party Of the Institute,with a11 teaching facilities including the classrooms,laboratories,
library,extracurricular activity spaces,and accommodating for the students.
1.2 Provide hardware and software environment required for the operations of the
Institute.
1.3 Obtain and maintain all necessary approval to operate the programme in the Institute
1.4 Administrate student recruitment,selection and pro-testing,and enrolment.
1.5 Manage the student records for the programme during the course of study in XXX, and provide students information under the Data Protection policy in .
1.6 Provide qualified and experienced teaching staff,who will be agreed by Party B,to 。
teach the defined courses in accordance with the joint programmed specifications and
curriculum.
1.7 Subsidize the teaching staff who will deliver lectures to the Institute.
1.8 C00per~e with Party B in deliverymen the programme and maintaining the quality to
high standards.
1.9 Provide necessary support to the students in the process in the application and transfer
to the programme of Party B.
1.10 Provide a budget for staff of Party A to attend training provided by Party B。
2.Responsibilities of Party B
2.1 Provide ad、,ice to the Institute ensuring that all the programme are run in accordance
to the defined standards of Party B..
2.2 Provide appropriate advice and guidance on teaching arrangements required by the Relevant educational programmers,especially the programme specifications and curriculum,textbooks and other teaching resources for the Institute students to ensure Access to the quality teaching resources in comparison to those of Party B·
2.3 To assist in the provision of the required teaching outsources for the delivery of the core modules of the joint educational programme for the Institute students as
appropriate and available and to provide appropriate.The quality of
the programmed and the educational methodology being implemented.
2.4 Provide guidance regarding the assessment selection and accreditation of the teachers
from Party A who will be involved in the delivery of the courses in the Institute.Only the accredited teachers approved by Party B can be eligible to teach in the
Programme in the Institute.
2.5 Facilitate the smooth transfer of the course credits for the Institute students to Party B·
Provide the enrollment guide,instruction and offer to the students who will continue to study at Party B for suitable degrees.
2.6 Provide professional training to staff of Party A after the programme are conducted,
covering the costs of accommodation and basic living allowance according to the
current training standards,as appropriate and available.

7 Cooperate with Party A in advising and assisting in the delivery of the programme
and maintenance of the quality to hi曲standards.
2.8 Provide necessary support to the students in the application and transfer process to
the programme of Party B.
2.9 Provide appropriate local reception and accommodation to the Committee nleInbers from Party A for any joint conferences that are held in Party B.
VIII.Quality Assurance ’
1。
The programme specifications and curriculum of the Institute will be designed following
discussions and close collaboration between both parties.
2.Both parties will regularly assess the programme specifications and curriculum to ensure
all adequacy of the content,and also align with implacability after students graduate.3·Party A ensures that the input specified in the article V will be sufficient and appropriate for the Inseminate students.
4·Party A will strengthen the English language training to the Institute students by offering sufficient English teaching hours,selecting qualified English teachers,recruiting more native English language teachers,introducing IELTS training from well—known training
institutions,and tailoring English acquisition fo rthe Institute students,IX.Student Enrollment in the Institute
The Institute accepts students from within the national higher education recruitment plan of
China..
Entry requirements for the Institute will be regularly reviewed by the Committee for any adjustments.
X.Finance Aspects
Both parties understand that the special tuition for the Institute students will be charged and
be approved by XX provincial authorities to meet the costs incurred for running the Programme.
Both parties are committed to the inputs to the Institute specified in the article V Such inputs
from the perspective party will be covered by a tuition fee charged to the Institute students.
Both parties agree that a detailed budget plan will be discussed in due course at all appropriate time。
XI.Agreement Duration and Attachment
Within this agreement framework,one‘attachment to this agreement is needed to specify Some details concerning the quality control,finance and predicate numbed of students being
admitted by Party B.Both parties understand that any issues raised to this agreement in the
future will be addressed accordingly.This agreement and its attachments are equally authentic and be mutually observed.
This Agreement and its attachments remain in effect for a term of 10 years and shall be automatically renewed for successive terms of one year unless terminated by eitherparty with
six months notice in writing.In this case,parties still engaged in activities begun before such
notice was given shall retain ail rights conferred under this agreement until the activity in Question ended.
XH Resolution of Disputes
All activities conducted pursuant to this agreement shall be governed by‘‘Regulatio ns of the
People's Republic of China on Chinese—Foreign Cooperation in Running Schooldays its implementation policy in accordance with the laws of the xx and the People's Republic of China.
The parties record their intention that,if any dispute or difference arises out of or in relation
to this agreement,it will be resolved in a spirit of good faith and on a commercially realistic
basis by negotiation.In the event of non—settlement,both China laws and laws apply and if there are disputes between the two parties and the students,they should be handled in accordance with laws of domestic country.
The parties shall not be responsible for any failure or delay in the performance of any obligations here under by acts of flood,fire,earthquake,war or public enemy.
This Agreement will enter into force from the date of approval by the Government of China。
The parties hereto have executed two copies in both Chinese and English,each of which shall
be considered all original.
