aim.however,ifsuchrightorclaimisbasedonindustrialpropertyorother intellectualproperty,thesellersobligationisgovernedbyarticle42.article42(1)thesellermustdelivergoodswhicharefreefromanyrightorclaimofat hirdpartybasedonindustrialpropertyorotherintellectualproperty,ofw hichatthetimeoftheconclusionofthecontractthesellerkneworcouldn othavebeenunaware,providedthattherightorclaimisbasedonindustri alpropertyorotherintellectualproperty:(a)underthelawofthestatewherethegoodswillberesoldorotherwiseu sed,ifitwascontemplatedbythepartiesatthetimeoftheconclusionofth econtractthatthegoodswouldberesoldorotherwiseusedinthatstate;o r(b)inanyothercase,underthelawofthestatewherethebuyerhashisplac eofbusiness.(2)theobligationofthesellerundertheprecedingparagraphdoesnotext endtocaseswhere:(a)atthetimeoftheconclusionofthecontractthebuyerkneworcouldnot havebeenunawareoftherightorclaim;or(b)therightorclaimresultsfromthesellerspliancewithtechnicaldrawin gs,designs,formulaeorothersuchspecificationsfurnishedbythebuyer.article43(1)thebuyerlosestherighttorelyontheprovisionsofarticle41orarticle4 2ifhedoesnotgivenoticetothesellerspecifyingthenatureoftherightorc laimofthethirdpartywithinareasonabletimeafterhehasbeeawareoro ughttohavebeeawareoftherightorclaim.(2)thesellerisnotentitledtorelyontheprovisionsoftheprecedingparagr aphifheknewoftherightorclaimofthethirdpartyandthenatureofit.article44notwithstandingtheprovisionsofparagraph(1)ofarticle39andparagra ph(1)ofarticle43,thebuyermayreducethepriceinaccordancewithartic nalwhenthebuyerresortstoaremedyforbreachofcontract.article46(1)thebuyermayrequireperformancebythesellerofhisobligationsunle ssthebuyerhasresortedtoaremedywhichisinconsistentwiththisrequir nabletimethereafter.article47(1)thebuyermayfixanadditionalperiodoftimeofreasonablelengthforp erformancebythesellerofhisobligations.(2)unlessthebuyerhasreceivednoticefromthesellerthathewillnotperf ormwithintheperiodsofixed,thebuyermaynot,duringthatperiod,reso rttoanyremedyforbreachofcontract.however,thebuyerisnotdeprive dtherebyofanyrighthemayhavetoclaimdamagesfordelayinperforma nce.article48(1)subjecttoarticle49,thesellermay,evenafterthedatefordelivery,re medyathisownexpenseanyfailuretoperformhisobligations,ifhecando sowithoutunreasonabledelayandwithoutcausingthebuyerunreasona bleinconvenienceoruncertaintyofreimbursementbythesellerofexpen sesadvancedbythebuyer.however,thebuyerretainsanyrighttoclaimd amagesasprovidedforinthisconvention.(2)ifthesellerrequeststhebuyertomakeknownwhetherhewillacceptp erformanceandthebuyerdoesnotplywiththerequestwithinareasonab letime,thesellermayperformwithinthetimeindicatedinhisrequest.the buyermaynot,duringthatperiodoftime,resorttoanyremedywhichisin consistentwithperformancebytheseller.(3)anoticebythesellerthathewillperformwithinaspecifiedperiodoftim eisassumedtoincludearequest,undertheprecedingparagraph,thatthe buyermakeknownhisdecision.(4)arequestornoticebythesellerunderparagraph(2)or(3)ofthisarticlei snoteffectiveunlessreceivedbythebuyer.article49(1)thebuyermaydeclarethecontractavoided:(a)ifthefailurebythesellertoperformanyofhisobligationsunderthecon tractorthisconventionamountstoafundamentalbreachofcontract;or(b)incaseofnon-delivery,ifthesellerdoesnotdeliverthegoodswithinth eadditionalperiodoftimefixedbythebuyerinaccordancewithparagrap h(1)ofarticle47ordeclaresthathewillnotdeliverwithintheperiodsofixe d.(2)however,incaseswherethesellerhasdeliveredthegoods,thebuyerl osestherighttodeclarethecontractavoidedunlesshedoesso:(a)inrespectoflatedelivery,withinareasonabletimeafterhehasbeeaw arethatdeliveryhasbeenmade;(b)inrespectofanybreachotherthanlatedelivery,withinareasonableti claredthathewillnotacceptperformance.article50ifthegoodsdonotconformwiththecontractandwhetherornottheprice Definition
• A sales contract is a formal contract by which a seller agrees to sell and a buyer agrees to buy, under certain terms and conditions spelled out in writing in the document signed by both parties. It can also be called agreement of sale, contract for sale, sales agreement, or sales contract[1]. Offer
Offer is required by every sales contract. • In the UNCISG (article 14), a proposal for concluding a contract addressed to one or more specific persons constitutes an offer if it is sufficiently definite and indicates the intention of the offeror to be bound in case of acceptance. • A proposal is sufficiently definite if it indicates the goods and expressly or implicitly fixes or makes provision for determining the quantity and the price.

Offer
Revocation （撤销） • Until a contract is concluded an offer may be revoked if the revocation reaches the offeree before he has dispatched an acceptance. However, an offer cannot be revoked: (a) if it indicates, whether by stating a fixed time for acceptance or otherwise, that it is irrevocable; or (b) if it was reasonable for the offeree to rely on the offer as being irrevocable and the offeree has acted in reliance on the offer. •
Invitation to Make Offers
• For instance, promotional brochures and other forms of advertising where goods are marketed to potential buyers are usually considered an “invitation to make offer”. That is to say, the promotional materials are designed to generate enquiries from which an offer may subsequently be made and consequently they cannot be used as the basis of a contract.
Functions
• 1. It identifies what is being sold to whom and for how much, and thus defines the most important obligations of both the seller and the buyer • 2. It takes into account the specific terms and conditions of sale (such as delivery dates, currency and payment terms), and constitutes the most important underlying and original document for the derivative documents (such as letter of credit, commercial invoice, transportation document). • 3. It stipulates the country under whose law the contract is governed. This is particularly important for international trade contracts.
