Termination of Contract

This Termination of Contract ("Agreement") is made and entered into as of [Date], by and between [Party A], a [Type of entity] organized under the laws of China, with its principal place of business at [Address], and [Party B], a [Type of entity] organized under the laws of China, with its principal place of business at [Address].

WHEREAS, the parties have previously entered into a contract dated [Date] (the "Contract"), setting forth the terms and conditions of the relationship between the parties.

WHEREAS, the parties now desire to terminate the Contract.

NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

1. Termination of Contract. The parties hereby terminate the Contract as of the date of this Agreement, and all rights and obligations of the parties thereunder shall cease and terminate.

2. Applicable Law. This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China.

3. Effect of Termination. The termination of the Contract pursuant to this Agreement shall not affect any rights or obligations of the parties which by their nature survive the termination of the Contract, including, but not limited to, any obligations of confidentiality or any obligations to pay any amounts owed to the other party as of the termination date.

4. Representations and Warranties. Each party represents and warrants to the other party that it has the right and authority to enter into this Agreement and to perform all of its obligations hereunder.

5. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

6. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the termination of the Contract, and supersedes all prior or contemporaneous agreements and understandings, whether oral or written, between the parties with respect to such subject matter.

7. Headings. The headings in this Agreement are for convenience only and shall not affect its interpretation.
