nationaltrade,havedecreedasfollows:partisphereofapplicationandgeneralprovisionspartiiformationofthecontractpartiiisaleofgoodspartivfinalprovisionspartisphereofapplicationandgeneralprovisionschapterisphereofapplicationarticle1(1)thisconventionappliestocontractsofsaleofgoodsbetweenpartiesw hoseplacesofbusinessareindifferentstates:(a)whenthestatesarecontractingstates;or(b)whentherulesofprivateinternationallawleadtotheapplicationofth elawofacontractingstate.(2)thefactthatthepartieshavetheirplacesofbusinessindifferentstatesi stobedisregardedwheneverthisfactdoesnotappeareitherfromthecon tractorfromanydealingsbetween,orfrominformationdisclosedby,the partiesatanytimebeforeorattheconclusionofthecontract.(3)neitherthenationalityofthepartiesnorthecivilormercialcharacterof thepartiesorofthecontractistobetakenintoconsiderationindetermini ngtheapplicationofthisconvention.article2thisconventiondoesnotapplytosales:(a)ofgoodsboughtforpersonal,familyorhouseholduse,unlesstheseller ,atanytimebeforeorattheconclusionofthecontract,neitherknewnoro ughttohaveknownthatthegoodswereboughtforanysuchuse;(b)byauction;(c)onexecutionorotherwisebyauthorityoflaw;(d)ofstocks,shares,investmentsecurities,negotiableinstrumentsorm oney;(e)ofships,vessels,hovercraftoraircraft;(f)ofelectricity.article3(1)contractsforthesupplyofgoodstobemanufacturedorproducedaret obeconsideredsalesunlessthepartywhoordersthegoodsundertakest osupplyasubstantialpartofthematerialsnecessaryforsuchmanufactur eorproduction.(2)thisconventiondoesnotapplytocontractsinwhichthepreponderant partoftheobligationsofthepartywhofurnishesthegoodsconsistsinthe supplyoflabourorotherservices.article4 thisconventiongovernsonlytheformationofthecontractofsaleandtherightsandobligationsofthesellerandthebuyerarisingfromsuchacontrac t.inparticular,exceptasotherwiseexpresslyprovidedinthisconvention, itisnotconcernedwith:(a)thevalidityofthecontractorofanyofitsprovisionsorofanyusage;(b)theeffectwhichthecontractmayhaveonthepropertyinthegoodssol d.article5thisconventiondoesnotapplytotheliabilityofthesellerfordeathorpers onalinjurycausedbythegoodstoanyperson.article6thepartiesmayexcludetheapplicationofthisconventionor,subjecttoar ticle12,derogatefromorvarytheeffectofanyofitsprovisions.chapteriigeneralprovisionsarticle7(1)intheinterpretationofthisconvention,regardistobehadtoitsinterna tionalcharacterandtotheneedtopromoteuniformityinitsapplicationa ndtheobservanceofgoodfaithininternationaltrade.(2)questionsconcerningmattersgovernedbythisconventionwhichare notexpresslysettledinitaretobesettledinconformitywiththegeneralpr inciplesonwhichitisbasedor,intheabsenceofsuchprinciples,inconfor mitywiththelawapplicablebyvirtueoftherulesofprivateinternationall aw.article8(1)forthepurposesofthisconventionstatementsmadebyandothercon ductofapartyaretobeinterpretedaccordingtohisintentwheretheothe rpartykneworcouldnothavebeenunawarewhatthatintentwas.(2)iftheprecedingparagraphisnotapplicable,statementsmadebyando therconductofapartyaretobeinterpretedaccordingtotheunderstandi ngthatareasonablepersonofthesamekindastheotherpartywouldhave hadinthesamecircumstances.(3)indeterminingtheintentofapartyortheunderstandingareasonable personwouldhavehad,dueconsiderationistobegiventoallrelevantcirc umstancesofthecaseincludingthenegotiations,anypracticeswhichthe partieshaveestablishedbetweenthemselves,usagesandanysubseque ntconductoftheparties.article9(1)thepartiesareboundbyanyusagetowhichtheyhaveagreedandbyan ypracticeswhichtheyhaveestablishedbetweenthemselves.(2)thepartiesareconsidered,unlessotherwiseagreed,tohaveimpliedly madeapplicabletotheircontractoritsformationausageofwhichthepart ieskneworoughttohaveknownandwhichininternationaltradeiswidely knownto,andregularlyobservedby,partiestocontractsofthetypeinvol vedintheparticulartradeconcerned.article10forthepurposesofthisconvention:(a)ifapartyhasmorethanoneplaceofbusiness,theplaceofbusinessisthatwhichhastheclosestrelationshiptothecontractanditsperformance, havingregardtothecircumstancesknowntoorcontemplatedbythepart iesatanytimebeforeorattheconclusionofthecontract;(b)ifapartydoesnothaveaplaceofbusiness,referenceistobemadetohis habitualresidence.article11acontractofsaleneednotbeconcludedinorevidencedbywritingandisn otsubjecttoanyotherrequirementastoform.itmaybeprovedbyanyme ans,includingwitnesses.article12anyprovisionofarticle11,article29orpartiiofthisconventionthatallows acontractofsaleoritsmodificationorterminationbyagreementoranyof fer,acceptanceorotherindicationofintentiontobemadeinanyformoth erthaninwritingdoesnotapplywhereanypartyhashisplaceofbusinessi nacontractingstatewhichhasmadeadeclarationunderarticle96ofthisc onvention.thepartiesmaynotderogatefromorvarytheeffectorthisarti cle.article13forthepurposesofthisconvention"writing"includestelegramandtelex.partiiformationofthecontractarticle14(1)aproposalforconcludingacontractaddressedtooneormorespecific personsconstitutesanofferifitissufficientlydefiniteandindicatestheint entionoftheofferortobeboundincaseofacceptance.aproposalissuffici entlydefiniteifitindicatesthegoodsandexpresslyorimplicitlyfixesorma kesprovisionfordeterminingthequantityandtheprice.(2)aproposalotherthanoneaddressedtooneormorespecificpersonsist obeconsideredmerelyasaninvitationtomakeoffers,unlessthecontrary isclearlyindicatedbythepersonmakingtheproposal.article15(1)anofferbeeseffectivewhenitreachestheofferee.(2)anoffer,evenifitisirrevocable,maybewithdrawnifthewithdrawalre achestheoffereebeforeoratthesametimeastheoffer.article16(1)untilacontractisconcludedanoffermayberevokediftherevocationr eachestheoffereebeforehehasdispatchedanacceptance.(2)however,anoffercannotberevoked:(a)ifitindicates,whetherbystatingafixedtimeforacceptanceorotherwi se,thatitisirrevocable;or(b)ifitwasreasonablefortheoffereetorelyontheofferasbeingirrevocab leandtheoffereehasactedinrelianceontheoffer.article17anoffer,evenifitisirrevocable,isterminatedwhenarejectionreachesth eofferor.article18(1)astatementmadebyorotherconductoftheoffereeindicatingassentt oanofferisanacceptance.silenceorinactivitydoesnotinitselfamountto acceptance.(2)anacceptanceofanofferbeeseffectiveatthemomenttheindicationo payment,qualityandquantityofthegoods,placeandtimeofdelivery,ext entofonepartysliabilitytotheotherorthesettlementofdisputesarecon sideredtoalterthetermsoftheoffermaterially.article20(1)aperiodoftimeforacceptancefixedbytheofferorinatelegramoralett erbeginstorunfromthemomentthetelegramishandedinfordispatchor fromthedateshownontheletteror,ifnosuchdateisshown,fromthedateshownontheenvelope.aperiodoftimeforacceptancefixedbytheoffero rbytelephone,telexorothermeansofinstantaneousmunication,begins torunfromthemomentthattheofferreachestheofferee.(2)officialholidaysornon-businessdaysoccurringduringtheperiodfora cceptanceareincludedincalculatingtheperiod.however,ifanoticeofac ceptancecannotbedeliveredattheaddressoftheofferoronthelastdayo ftheperiodbecausethatdayfallsonanofficialholidayoranon-businessd ayattheplaceofbusinessoftheofferor,theperiodisextendeduntilthefir stbusinessdaywhichfollows.article21(1)alateacceptanceisneverthelesseffectiveasanacceptanceifwithout delaytheofferororallysoinformstheoffereeordispatchesanoticetotha teffect.(2)ifaletterorotherwritingcontainingalateacceptanceshowsthatithas beensentinsuchcircumstancesthatifitstransmissionhadbeennormalit wouldhavereachedtheofferorinduetime,thelateacceptanceiseffectiv easanacceptanceunless,withoutdelay,theofferororallyinformstheoffereethatheconsidershisofferashavinglapsedordispatchesanoticetoth ateffect.article22anacceptancemaybewithdrawnifthewithdrawalreachestheofferorbe foreoratthesametimeastheacceptancewouldhavebeeeffective.article23acontractisconcludedatthemomentwhenanacceptanceofanofferbee seffectiveinaccordancewiththeprovisionsofthisconvention.article24forthepurposesofthispartoftheconvention,anoffer,declarationofacc eptanceoranyotherindicationofintention"reaches"theaddresseewhe nitismadeorallytohimordeliveredbyanyothermeanstohimpersonally, tohisplaceofbusinessormailingaddressor,ifhedoesnothaveaplaceofb usinessormailingaddress,tohishabitualresidence.partiiisaleofgoodschapterigeneralprovisionsarticle25abreachofcontractmittedbyoneofthepartiesisfundamentalifitresultsi nsuchdetrimenttotheotherpartyassubstantiallytodeprivehimofwhat heisentitledtoexpectunderthecontract,unlessthepartyinbreachdidn otforeseeandareasonablepersonofthesamekindinthesamecircumsta nceswouldnothaveforeseensucharesult.article26adeclarationofavoidanceofthecontractiseffectiveonlyifmadebynotic etotheotherparty.article27unlessotherwiseexpresslyprovidedinthispartoftheconvention,ifanyn otice,requestorothermunicationisgivenormadebyapartyinaccordanc ewiththispartandbymeansappropriateinthecircumstances,adelayore rrorinthetransmissionofthemunicationoritsfailuretoarrivedoesnotde privethatpartyoftherighttorelyonthemunication.article28if,inaccordancewiththeprovisionsofthisconvention,onepartyisentitle dtorequireperformanceofanyobligationbytheotherparty,acourtisnot boundtoenterajudgementforspecificperformanceunlessthecourtwo ulddosounderitsownlawinrespectofsimilarcontractsofsalenotgovern edbythisconvention.article29(1)acontractmaybemodifiedorterminatedbythemereagreementofth eparties.(2)acontractinwritingwhichcontainsaprovisionrequiringanymodifica tionorterminationbyagreementtobeinwritingmaynotbeotherwisem odifiedorterminatedbyagreement.however,apartymaybeprecluded byhisconductfromassertingsuchaprovisiontotheextentthattheother partyhasreliedonthatconduct.chapteriiobligationsofthesellerarticle30thesellermustdeliverthegoods,handoveranydocumentsrelatingtothemandtransferthepropertyinthegoods,asrequiredbythecontractandt hisconvention.sectioni.deliveryofthegoodsandhandingoverofdocumentsarticle31ifthesellerisnotboundtodeliverthegoodsatanyotherparticularplace,h isobligationtodeliverconsists:(a)ifthecontractofsaleinvolvescarriageofthegoods-inhandingthegoo dsovertothefirstcarrierfortransmissiontothebuyer;(b)if,incasesnotwithintheprecedingsubparagraph,thecontractrelates tospecificgoods,orunidentifiedgoodstobedrawnfromaspecificstocko rtobemanufacturedorproduced,andatthetimeoftheconclusionofthe contractthepartiesknewthatthegoodswereat,orweretobemanufactu redorproducedat,aparticularplace-inplacingthegoodsatthebuyersdis posalatthatplace;(c)inothercases-inplacingthegoodsatthebuyersdisposalattheplacewherethesellerhadhisplaceofbusinessatthetimeoftheconclusionofthe contract.article32(1)iftheseller,inaccordancewiththecontractorthisconvention,handst hegoodsovertoacarrierandifthegoodsarenotclearlyidentifiedtotheco ntractbymarkingsonthegoods,byshippingdocumentsorotherwise,th esellermustgivethebuyernoticeoftheconsignmentspecifyingthegood s.(2)ifthesellerisboundtoarrangeforcarriageofthegoods,hemustmakes uchcontractsasarenecessaryforcarriagetotheplacefixedbymeansoftr ansportationappropriateinthecircumstancesandaccordingtotheusua ltermsforsuchtransportation.(3)ifthesellerisnotboundtoeffectinsuranceinrespectofthecarriageoft hegoods,hemust,atthebuyersrequest,providehimwithallavailableinf ormationnecessarytoenablehimtoeffectsuchinsurance.article33thesellermustdeliverthegoods:(a)ifadateisfixedbyordeterminablefromthecontract,onthatdate;(b)ifaperiodoftimeisfixedbyordeterminablefromthecontract,atanyti mewithinthatperiodunlesscircumstancesindicatethatthebuyeristoch ooseadate;or(c)inanyothercase,withinareasonabletimeaftertheconclusionofthec ontract.article34ifthesellerisboundtohandoverdocumentsrelatingtothegoods,hemus thandthemoveratthetimeandplaceandintheformrequiredbythecont ract.ifthesellerhashandedoverdocumentsbeforethattime,hemay,upt othattime,cureanylackofconformityinthedocuments,iftheexerciseof thisrightdoesnotcausethebuyerunreasonableinconvenienceorunrea sonableexpense.however,thebuyerretainsanyrighttoclaimdamagesa sprovidedforinthisconvention.sectionii.conformityofthegoodsandthirdpartyclaimsarticle35(1)thesellermustdelivergoodswhichareofthequantity,qualityanddesc riptionrequiredbythecontractandwhicharecontainedorpackagedinth emannerrequiredbythecontract.(2)exceptwherethepartieshaveagreedotherwise,thegoodsdonotconf ormwiththecontractunlessthey:(a)arefitforthepurposesforwhichgoodsofthesamedescriptionwouldo rdinarilybeused;(b)arefitforanyparticularpurposeexpresslyorimpliedlymadeknownto theselleratthetimeoftheconclusionofthecontract,exceptwherethecir cumstancesshowthatthebuyerdidnotrely,orthatitwasunreasonablef orhimtorely,onthesellersskillandjudgement;(c)possessthequalitiesofgoodswhichthesellerhasheldouttothebuyer asasampleormodel;(d)arecontainedorpackagedinthemannerusualforsuchgoodsor,wherethereisnosuchmanner,inamanneradequatetopreserveandprotectt hegoods.(3)thesellerisnotliableundersubparagraphs(a)to(d)oftheprecedingpa ragraphforanylackofconformityofthegoodsifatthetimeoftheconclusi onofthecontractthebuyerkneworcouldnothavebeenunawareofsuchl ackofconformity.article36(1)thesellerisliableinaccordancewiththecontractandthisconventionf oranylackofconformitywhichexistsatthetimewhentheriskpassestoth ebuyer,eventhoughthelackofconformitybeesapparentonlyafterthatt ime.(2)thesellerisalsoliableforanylackofconformitywhichoccursaftertheti meindicatedintheprecedingparagraphandwhichisduetoabreachofan yofhisobligations,includingabreachofanyguaranteethatforaperiodof timethegoodswillremainfitfortheirordinarypurposeorforsomepartic ularpurposeorwillretainspecifiedqualitiesorcharacteristics.article37ifthesellerhasdeliveredgoodsbeforethedatefordelivery,hemay,uptot hatdate,deliveranymissingpartormakeupanydeficiencyinthequantity ofthegoodsdelivered,ordelivergoodsinreplacementofanynon-confor minggoodsdeliveredorremedyanylackofconformityinthegoodsdelive red,providedthattheexerciseofthisrightdoesnotcausethebuyerunrea sonableinconvenienceorunreasonableexpense.however,thebuyerre tainsanyrighttoclaimdamagesasprovidedforinthisconvention.article38(1)thebuyermustexaminethegoods,orcausethemtobeexamined,with inasshortaperiodasispracticableinthecircumstances.(2)ifthecontractinvolvescarriageofthegoods,examinationmaybedefe rreduntilafterthegoodshavearrivedattheirdestination.(3)ifthegoodsareredirectedintransitorredispatchedbythebuyerwitho utareasonableopportunityforexaminationbyhimandatthetimeofthec onclusionofthecontractthesellerkneworoughttohaveknownofthepo ssibilityofsuchredirectionorredispatch,examinationmaybedeferredu ntilafterthegoodshavearrivedatthenewdestination.article39(1)thebuyerlosestherighttorelyonalackofconformityofthegoodsifhed oesnotgivenoticetothesellerspecifyingthenatureofthelackofconform itywithinareasonabletimeafterhehasdiscovereditoroughttohavedisc overedit.(2)inanyevent,thebuyerlosestherighttorelyonalackofconformityofth egoodsifhedoesnotgivethesellernoticethereofatthelatestwithinaperi odoftwoyearsfromthedateonwhichthegoodswereactuallyhandedov ertothebuyer,unlessthistime-limitisinconsistentwithacontractualper iodofguarantee.article40thesellerisnotentitledtorelyontheprovisionsofarticles38and39ifthela ckofconformityrelatestofactsofwhichhekneworcouldnothavebeenu nawareandwhichhedidnotdisclosetothebuyer.article41thesellermustdelivergoodswhicharefreefromanyrightorclaimofathirdparty,unlessthebuyeragreedtotakethegoodssubjecttothatrightorcl aim.however,ifsuchrightorclaimisbasedonindustrialpropertyorother intellectualproperty,thesellersobligationisgovernedbyarticle42.article42(1)thesellermustdelivergoodswhicharefreefromanyrightorclaimofat hirdpartybasedonindustrialpropertyorotherintellectualproperty,ofw hichatthetimeoftheconclusionofthecontractthesellerkneworcouldn othavebeenunaware,providedthattherightorclaimisbasedonindustri alpropertyorotherintellectualproperty:(a)underthelawofthestatewherethegoodswillberesoldorotherwiseu sed,ifitwascontemplatedbythepartiesatthetimeoftheconclusionofth econtractthatthegoodswouldberesoldorotherwiseusedinthatstate;o r(b)inanyothercase,underthelawofthestatewherethebuyerhashisplac eofbusiness.(2)theobligationofthesellerundertheprecedingparagraphdoesnotext endtocaseswhere:(a)atthetimeoftheconclusionofthecontractthebuyerkneworcouldnot havebeenunawareoftherightorclaim;or(b)therightorclaimresultsfromthesellerspliancewithtechnicaldrawin gs,designs,formulaeorothersuchspecificationsfurnishedbythebuyer.article43(1)thebuyerlosestherighttorelyontheprovisionsofarticle41orarticle4 2ifhedoesnotgivenoticetothesellerspecifyingthenatureoftherightorc laimofthethirdpartywithinareasonabletimeafterhehasbeeawareoro ughttohavebeeawareoftherightorclaim.(2)thesellerisnotentitledtorelyontheprovisionsoftheprecedingparagr aphifheknewoftherightorclaimofthethirdpartyandthenatureofit.article44notwithstandingtheprovisionsofparagraph(1)ofarticle39andparagra ph(1)ofarticle43,thebuyermayreducethepriceinaccordancewithartic le50orclaimdamages,exceptforlossofprofit,ifhehasareasonableexcus eforhisfailuretogivetherequirednotice.sectioniii.remediesforbreachofcontractbythesellerarticle45(1)ifthesellerfailstoperformanyofhisobligationsunderthecontractort hisconvention,thebuyermay:(a)exercisetherightsprovidedinarticles46to52;(b)claimdamagesasprovidedinarticles74to77.(2)thebuyerisnotdeprivedofanyrighthemayhavetoclaimdamagesbye xercisinghisrighttootherremedies.(3)noperiodofgracemaybegrantedtothesellerbyacourtorarbitraltribu nalwhenthebuyerresortstoaremedyforbreachofcontract.article46(1)thebuyermayrequireperformancebythesellerofhisobligationsunle ssthebuyerhasresortedtoaremedywhichisinconsistentwiththisrequir ement.(2)ifthegoodsdonotconformwiththecontract,thebuyermayrequirede liveryofsubstitutegoodsonlyifthelackofconformityconstitutesafunda mentalbreachofcontractandarequestforsubstitutegoodsismadeeith erinconjunctionwithnoticegivenunderarticle39orwithinareasonablet imethereafter.(3)ifthegoodsdonotconformwiththecontract,thebuyermayrequireth esellertoremedythelackofconformitybyrepair,unlessthisisunreasona blehavingregardtoallthecircumstances.arequestforrepairmustbema deeitherinconjunctionwithnoticegivenunderarticle39orwithinareaso nabletimethereafter.article47(1)thebuyermayfixanadditionalperiodoftimeofreasonablelengthforp erformancebythesellerofhisobligations.(2)unlessthebuyerhasreceivednoticefromthesellerthathewillnotperf ormwithintheperiodsofixed,thebuyermaynot,duringthatperiod,reso rttoanyremedyforbreachofcontract.however,thebuyerisnotdeprive dtherebyofanyrighthemayhavetoclaimdamagesfordelayinperforma nce.article48(1)subjecttoarticle49,thesellermay,evenafterthedatefordelivery,re medyathisownexpenseanyfailuretoperformhisobligations,ifhecando sowithoutunreasonabledelayandwithoutcausingthebuyerunreasona bleinconvenienceoruncertaintyofreimbursementbythesellerofexpen sesadvancedbythebuyer.however,thebuyerretainsanyrighttoclaimd amagesasprovidedforinthisconvention.(2)ifthesellerrequeststhebuyertomakeknownwhetherhewillacceptp erformanceandthebuyerdoesnotplywiththerequestwithinareasonab letime,thesellermayperformwithinthetimeindicatedinhisrequest.the buyermaynot,duringthatperiodoftime,resorttoanyremedywhichisin consistentwithperformancebytheseller.(3)anoticebythesellerthathewillperformwithinaspecifiedperiodoftim eisassumedtoincludearequest,undertheprecedingparagraph,thatthe buyermakeknownhisdecision.(4)arequestornoticebythesellerunderparagraph(2)or(3)ofthisarticlei snoteffectiveunlessreceivedbythebuyer.article49(1)thebuyermaydeclarethecontractavoided:(a)ifthefailurebythesellertoperformanyofhisobligationsunderthecon tractorthisconventionamountstoafundamentalbreachofcontract;or(b)incaseofnon-delivery,ifthesellerdoesnotdeliverthegoodswithinth eadditionalperiodoftimefixedbythebuyerinaccordancewithparagrap h(1)ofarticle47ordeclaresthathewillnotdeliverwithintheperiodsofixe d.(2)however,incaseswherethesellerhasdeliveredthegoods,thebuyerl osestherighttodeclarethecontractavoidedunlesshedoesso:(a)inrespectoflatedelivery,withinareasonabletimeafterhehasbeeaw arethatdeliveryhasbeenmade;(b)inrespectofanybreachotherthanlatedelivery,withinareasonableti me:(i)afterhekneworoughttohaveknownofthebreach;(ii)aftertheexpirationofanyadditionalperiodoftimefixedbythebuyerin accordancewithparagraph(1)ofarticle47,orafterthesellerhasdeclare After loading is completed, the Sellers shall notify the Buyers by cable of the contractnumber, name of commodity, quantity, name of the carrying vessel and date of shipment.(12) Quality / Quantity / weight Discrepancy and Claim:In case the quality and / or quantity/ weight are found by the Buyers to be not in conformity with the Contract after arrival of the goods at the port of destination, the Buyers may lodge claim with the Sellers supported by survey report issued by an inspection organization agreed upon by both parties, with the exception, however, of those claims for which the insurance company and / or the shipping company are to be held responsible. Claim for quality discrepancy should be filed by the Buyers within 30 days after arrival of the goods at the port of destination, while for quantity / weight discrepancy claim should be filed by the Buyers within 15 days after arrival of the goods at the port of destination. Revocation （撤销） • Until a contract is concluded an offer may be revoked if the revocation reaches the offeree before he has dispatched an acceptance. However, an offer cannot be revoked: (a) if it indicates, whether by stating a fixed time for acceptance or otherwise, that it is irrevocable; or (b) if it was reasonable for the offeree to rely on the offer as being irrevocable and the offeree has acted in reliance on the offer. •
Definition
• A sales contract is a formal contract by which a seller agrees to sell and a buyer agrees to buy, under certain terms and conditions spelled out in writing in the document signed by both parties. It can also be called agreement of sale, contract for sale, sales agreement, or sales contract[1]. Invitation to Make Offers
• For instance, promotional brochures and other forms of advertising where goods are marketed to potential buyers are usually considered an “invitation to make offer”. That is to say, the promotional materials are designed to generate enquiries from which an offer may subsequently be made and consequently they cannot be used as the basis of a contract.
Governing Laws and Usual Practices (1/2)
• The UNCISG (The United Nations Commission on International Trade Law (UNCITRAL) Convention on Contracts for the International Sale of Goods (1980)). • Established in 1980 and recognizes the rules for commercial contracts. It establishes uniformrules for drafting international sales contracts, and sets the legal rights and obligations of the seller and the buyer under such contracts. UNCISG rules apply automatically to the sales contracts between the countries having ratified the convention.

Invitation to Make Offers
• In the UNCISG (article 14), a proposal which is not addressed to one or more specific persons is to be considered merely as an invitation to make offers, unless the contrary is clearly indicated by the person making the proposal. • An invitation to make offers is an action by one party which may appear to be a contractual offer but which is actually inviting others to make an offer of their own. It may be regarded as a request for expressions of interest.
Offer
Offer is required by every sales contract. • In the UNCISG (article 14), a proposal for concluding a contract addressed to one or more specific persons constitutes an offer if it is sufficiently definite and indicates the intention of the offeror to be bound in case of acceptance. • A proposal is sufficiently definite if it indicates the goods and expressly or implicitly fixes or makes provision for determining the quantity and the price.
