This Fabric Purchase Contract (the “Contract”) is entered into by and between [Buyer Name], with a mailing address of [Buyer Address] (the “Buyer”) and [Seller Name], with a mailing address of [Seller Address] (the “Seller”), as of [Effective Date].
1. Purchase of Fabric
1.1 The Buyer agrees to purchase and the Seller agrees to sell the following fabric:

4. Intellectual Property Rights
4.1 The Seller represents and warrants that the fabric delivered under this Contract does not infringe upon any intellectual property rights of third parties.
4.2 The Seller shall indemnify and hold harmless the Buyer from any claims, damages, or losses arising from any infringement of intellectual property rights related to the fabric delivered under this Contract.
5. Confidentiality
5.1 Both parties agree to keep confidential all information related to this Contract, including pricing, fabric specifications, and any other information exchanged during the course of their business relationship.
6. Governing Law
6.1 This Contract shall be governed by and construed in accordance with the laws of [Insert governing law jurisdiction].
7. Entire Agreement
