This Payment Agreement (the "Agreement") is made and entered into as of [Date], by and between [Payor's Name or Company] ("Payor") and [Payee's Name or Company] ("Payee").
RECITALS
WHEREAS, the Payor and the Payee have entered into a transaction (the "Transaction") involving [brief description of the Transaction], and

5.2 Any amendment or modification of this Agreement must be in writing and executed by both parties.
5.3 This Agreement shall be governed by and construed in accordance with the laws of [state or country].
