This decision is evaluated from a managerial, individual and societal perspective. Before examining this decision attention is devoted to literature which highlights the aforementioned problem.Organisations are required to be socially responsible and adopt measures to enhance social welfare (Carroll, 1998). Devinney (2009, p. 45) is critical about this expansive view of corporate social responsibility because it is difficult to assess the corporate social responsibility of an organisation when one needs to look at the "social environment, ethical environment, public-policy environment, ecological environment and stakeholder environment".The law takes a narrower perspective of the corporate social responsibility of organisations. The literature suggests that laws which govern the responsibility of executive management differ from country to country. For example, in Canada there are over 100 provincial laws dealing with director responsibilities and liabilities. Pressure was exerted in Europe in order to set the major responsibilities of directors, which include the following: develop adequate mission, vision and corporate strategy for the firm, hire appropriate top management, control and monitor top management activities, review and approve adequate resources, and adopt measures to meets the needs of shareholders (Wheelen & Hunger, 2010). This narrower legal perspective makes it more difficult to evaluate organisations in terms of corporate social responsibility. The aspect of who is ethically responsible is also blurred across differentcontinents and there are no specific measures. For example, in Europe the collective decides who is ethically responsible. In North America it is up to the individual and in Asia the decision rests in the hands of executive management (Crane & Matten, 2010).Decision Taken by WorldComAt face value the main decision taken by WorldCom was appropriate. This consisted of 65 acquisitions in six years. WorldCom was capable to become the second largest organisation in the United States engaged in long distance telephone service. The share price of the organisation responded positively to these acquisitions and the firm was able to finance further acquisitions via the cash generated from the stock market (Moberg & Romar, 2014). The literature outlines numerous benefits associated with mergers and acquisitions. Mergers and acquisitions are helpful to increase the market share, develop new synergies in operations, enhance the knowledge and experience of management, attain new technology, diversify the operations of the firm, and expand the distribution channels (Halibozek & Kovacich, 2005). If the number of acquisitions was not excessive it could have balanced the benefits of different stakeholders. The return derived from the increase in market share arising from the acquisition would show that management is enhancing the financial wealth of the organisation. This would decrease the risks of stakeholders and increase the return attained from investment. A stronger WorldCom would be able to provide a better service to customers by investing more in research and development. However an unbalance was created, which is outlined in the proceeding sections.Problems in WorldCom DecisionAs noted in the previous section the decision of WorldCom seemed appropriate. However problems resulted in these acquisitions, which are outlined in this section. This information is then used to evaluate this decision from a managerial, individual and societal perspective. Mergers and acquisitions lead to a number of managerial challenges, which led to problems for WorldCom. A key aspect of mergers and acquisitions encompasses cultural fit. Integrating the two organisations together takes time and effort (Moberg & Romar, 2014). It was difficult to attain cultural fit of 65 acquisitions in a time frame of six years. Furthermore, these acquisitions led to financial consequences for the firm (Moberg & Romar, 2014). Epstein (2005, pp. 38 - 41) contends that mergers and acquisitions can be beneficial if the following six factors are considered meticulously by management: “strategic vision and fit, deal structure, due diligence, premerger planning, post-merger integration and external factors”.These acquisitions were poorly managed because top management made limited effort to develop an organisational culture with a "cooperative mindset" (Moberg & Romar, 2014, n. p.). The organisational culture is made up of "stated and unstated values" commonly agreed by staff (Bibb, 2010, p. 66). The literature suggests that an ethical organisational culture is a strong element that sustains the expansive view of corporate social responsibility (Bibb, 2010). This resulted in a deterioration in customer service, which reflected a weaker financial performance. The financial health of WorldCom was under considerable strain in light that there was a decline in the firm's profitability and there was the need of additional finance for future acquisitions. As a result management had to adopt creative accountingtechniques in order to show a stronger profitability and continue attaining finance for future acquisitions (Moberg & Romar, 2014).Managerial PerspectiveFriedman (1970) contends that the main responsibility of management is to enhance profits in adherence with legislation (In: Devinney, 2009, p. 49). The corporate social responsibilities in accordance to the legal framework are also in line to the generation of profits, maintain a good position in the market and other matters necessary to meet the interest of shareholders and stakeholders (Carroll, 1991).Initially the acquisition decision was in adherence to the factors noted above. As already stated acquisitions are beneficial to the organisation. However management failed to be prudent enough in its acquisitions and excessive acquisitions were made. The failure to appropriately integrate the cultures and the deterioration in customer service are not desirable for the interest of stakeholders. The worst action was the creative accounting adopted because this infringes the ethical principle of integrity. Such action is also illegal because it leads to deception (Crane & Matten, 2010).Individual PerspectiveThe evaluation from an individual perspective is problematic because the term social and responsibility are not properly defined (Devinney, 2009). Multinational organisations like WorldCom do not operate in "a singular clear society" where cultural norms are the same (Devinney, 2009, p. 46). There are different norms due to diverse religions and societies. The evaluation from an individual living in England is different from one living in China due to different cultural norms. Some scholars contend that this issue was solved with theintroduction of corporate social performance. Devinney (2009, p. 47) criticises this aspect by stating that this adds a new layer which is in line with "legitimate performance".Conflict can also arise between the evaluations of individuals if the evaluative judgment is affected by religious principles (Devinney, 2009). For example, society firms operating in developing countries in "overt missionary activities" are in conflict with local practices and are regarded as a "subtle attempt to impose foreign values" (Devinney, 2009, p. 47). The acquisition of foreign organisations by WorldCom may also be interpreted in this manner by employees operating in the acquired organisation. Employees may feel that the firm is trying to impose its operations and adopt changes that are not in the employees' best interest (Halibozek & Kovacich, 2005). Therefore, the individual perspective also challenges the initial decision noted in this paper, which according to the managerial perspective, it is a good decision.Devinney (2009) contends that a solution to this issue, which strengthens corporate social responsibility, comprises the adoption of a definition of the term social and responsibility. The attainment of this aim is hard to achieve because it is difficult to unite all interested parties together so that they can negotiate a definition of these terms (Devinney, 2009). Societal PerspectiveDevinney (2009) criticises the notion that organisations can be effectively guided by society because manipulation will occur by society to seek its own benefits at the detriment of other individuals like stakeholders. Lantos (2001, p. 607) contends that "social responsibility is a balancing act" between profit generation, ethical and social performance. Devinney (2009) outlines a number of problems that arise when the societal perspective is adopted. For example, societies are often socially conservative and therefore risky projects are rejected(Devinney, 2009). This conflicts with entrepreneurship, which is considered a key driver of the economy (Luke et al., 2007). Spiteri and Maringe (2014) adopted a comprehensive examination of the literature in order to define the term entrepreneur. These scholars noted that creativity is a key characteristic of an entrepreneur (Spiteri & Maringe, 2014). The development of a creative product is highly uncertain because the product is new to the market. Therefore, one cannot predict how the market will react. Thus the societal perspective is damaging to the firm's stakeholders and also to society in the long-term because it limits the development of creative products. Another problem with this perspective is that organisations "skew societal standards" to their own benefits (Devinney, 2009, p. 50). For example, a small mining firm accused a large competitor that it is using its corporate social activities to gain competitive advantages in the market (Devinney, 2009).If this perspective is adopted the decision of WorldCom, it would be accused of being inappropriate because acquisitions are a very risky approach (Halibozek & Kovacich, 2005). Initially the acquisitions of WorldCom were appropriate because these helped the organisation to increase its market share and the stock of the firm responded positively to such growth (Moberg & Romar, 2014). The problem with WorldCom is that excessive acquisitions were made and these were not managed properly. Such problem was further compounded by the fact that management started hiding the real financial health of the organisation (Moberg & Romar, 2014).Part BMcDonald's Corporate Social ResponsibilityIn this part attention is devoted to the corporate social responsibility report of McDonald's (2010) in order to critically assess the approaches of the organisation towards corporate social responsibility. The commitment of McDonald's is outlined in its mission where the firm is committed to consistently enhance the social and environmental performance in order to derive a sustainable future. This mission is based on the following main values: "place the customer experience at the core of all we do, committed to our people, believe in the McDonald's System, operate our business ethically, give back to our communities, grow our business profitably and strive continually to improve (McDonald's, 2010, p. 39).Nutrition and Well-BeingMcDonald's is adopting the following three measures in order to promote nutrition and well-being: enhance nutrition of Happy Meal, promote fruits and vegetables among children, and provide nutritional information on all meals sold to customers (McDonald's, 2010).The promotion of nutritional food is a good approach that McDonald's is using but this organisation has recently been accused of providing unhealthy food like the Big Mac that contains high calories. Indeed, nutritionists claim that McDonald's is responsible for the increasing obesity rate in Western countries like the United States (Crane & Matten, 2010). In order to promote nutrition and well-being McDonald's should stop the production of high calorie products like the Big Mac. Such claim reflects the philanthropic responsibility of McDonald's, which consists of an action desired by society (Crane & Matten, 2010). Obesity apart from leading to health problems like heart failure and diabetes, also leads to highermedical costs. For example, the medical cost of an obese person are $1,457 higher than those of an overweight individual (Tsai et al., 2011). However this action can adversely affect the economic sustainability of the organisation because products like Big Mac hold a strong brand image and if these are no longer marketed it will lead to a high opportunity cost. Sustainable Supply ChainMcDonald's is adopting the following four measures to promote a sustainable supply chain: encourage sustainability among suppliers through conferences and development of the "s ustainable supply website", develop "global forestry policy", safeguard the environment in consumer packaging, and develop more environmentally friendly packaging design systems (McDonald's, 2010, p. 8).Maloni and Brown (2006, p. 35) contend that key corporate social responsibilities relevant to the food supply chain consist of the following: "animal welfare, biotechnology, fair trade, health and safety, and labour and human rights". McDonald's has adopted animal welfare standards, which are communicated among suppliers in order to prevent cruelty and neglect of animal needs (McDonald's, 2010). Such measure is also supported by Maloni and Brown. Schroder and McEachern (2004) contend that animal welfare is a desirable factor for customers but its absence will not influence the buying decisions of customers. The literature suggests a number of environmental problems arising in the food industry like deforestation, damage to water and soil, and utilisation of chemicals in agricultural products (Maloni and Brown, 2006). McDonald's corporate social responsibility report takes into account the utilisation of chemicals like pesticides, the safeguard of forestry, the adoption of an "environmental scorecard" that considers the operation's impact on water, waste, energy and air (McDonald's, 2010, p. 18). The only factor that is not mentioned in McDonald'scorporate social responsibility report comprises soil. However this report shows that McDonald's adopts a comprehensive approach in order to protect the environment in the supply chain system.Environmental ResponsibilityOne should not confuse the sustainability of the supply chain with environmental responsibility. The two are related because the supply chain includes attention to environmental matters. In this section emphasis is placed on the overall measures that McDonald's adopt to protect the environment in general, which consist of the following: develop and implement energy-efficient approaches, and enhance energy performance in restaurants (McDonald's, 2010).The two measures noted above directly address the consumption of energy, which is becoming an increasing scarce resource. However McDonald's fails to take into account the high rate of greenhouse-gas emissions resulting from the production of meat. The literature suggests that the greenhouse-gas emissions stemming from the agricultural industry amount to 22% of the total emissions (McMichael et al, 2007). A key factor in the agricultural industry that leads to this high rate of greenhouse-gas emission consists of livestock production. These scholars claim that in order to decrease the aforementioned high rates of greenhouse-gas emission individuals should consume less animal products (McMichael et al, 2007). Therefore, McDonald's is indirectly harming the environment by utilising livestock that leads to the aforementioned environmental issues. The recommendation noted above leads to a conflict between two key elements of sustainability, which consist of economic and environmental sustainability (Crane & Matten,2010). The majority of the products marketed by McDonald's include meat and chicken derived from livestock. If McDonald's decides to stop the utilisation of livestock in order to support the environment it is required to radically change its products. This may lead to losses derived from a decline in market share and loss of strong brands. Therefore, this will weaken the ability of the organisation to meet the needs of stakeholders, which is an important responsibility not only in sustainability terms but also in legal terms (Carroll, 1991). However a gradual shift to new products that does not include livestock can be adopted, which promotes the mission of McDonald's in term of sustainability.Employee ExperienceThe corporate social responsibility report of McDonald's suggests the following three main actions targeted to enhance the employee experience: increase the number of restaurant managers that are qualified from "Hamburger Universities", increase employee engagement by adopting the "employee value proposition" across the entire organisation and integrate the values of the firm across all employees of McDonald's on a global scale (McDonald's, 2010, p. 9). Such measures are desirable because employee engagement is also positively related with job satisfaction and motivation (James, 1999).However, a recent press article shows that McDonald's is adopting approaches that conflict with the above measures and are considered unethical. In New York a number of employees have sued McDonald's on grounds that the firm is adopting practices in order to avoid paying workers a fair wage (Detroit News, 2014). Such an approach is catastrophic both in terms of human resource management and in ethical terms. Herzberg two-factor model states that there are two factors that influence job satisfaction, which comprise motivational factors andhygiene factors. Hygiene factors are variables that are extrinsic to motivation and do not have a direct effect on motivation. The wage is a hygiene factor. However the incident noted above can also be a motivational factor because it indicates lack of respect by management to employees (Armstrong, 2005). Therefore, these factor show that the above measures are just window dressing and do not mean much in practice. The management of McDonald's is required to comply with fundamental ethical principles like integrity. Integrity means that the management of McDonald's is honest, fair and sensitive with stakeholders (AAT Level 3, 2013). The incident noted above shows that McDonald's is not behaving in a fair and sensitive manner with employees. Furthermore, such actions go against the two key values noted above, which consist of committed to our people and operate our business ethically.CommunityThe corporate social responsibility report examined in this paper shows that McDonald's is adopting three measures to support the community. These are outlined below: provide financial and volunteer support to the community by adopting the Ronald McDonald House Charities and the McHappy Day, the organisation is also committed to RMHS and support approximately 4.5 million families every year, and stimulate volunteer activities by its "online management tool" (McDonald's, 2010, p. 10).The measures noted in the previous paragraph indicate that McDonald's community efforts focus on helping the poor and people that need support. However research indicates that the some activities of McDonald's are creating harm to the community. This activities are not infringing the philanthropic level (factors desired by society) but go against a deeper level, which consists of the ethical level (factors expected by society) (Crane & Matten, 2010). For example, in Tecoma residents are protesting against McDonald's because the organisation is planning to open a take away drive restaurant of 400 metres close to the school and the national park. Local residents claim that this project goes against the character of Tecoma (Muratore, 2013).Part COrganisation Selected for Code of ConductThe code of conduct developed in this part is relevant to the educational institution where I am presently doing the masters in business administration. The role of a manager is assumed in this part, which comprises the dean of the student affairs. This code of conduct is targeted towards students and student organisations operating in the university. It provides guidance to the department's staff and students and helps to guide and monitor students to behave ethically. The key themes considered in this code of conduct consist of the following: academic violations, alcohol and drugs use, hazard to the safety of others, false information, misuse of the property, services or material of the educational institution, sexual assault, discriminatory behaviour, regulations for the halls of residence, use of computer and university computer resources, and student organisations (University of Delaware, 2014). Academic ViolationsStudents and student organisations are required to comply with the integrity ethical principle in their behaviour and work they submit to the educational institution. Integrity is safeguarded by avoiding the following "academic violations" (University of Delaware, 2014, n. p.):a. PlagiarismPlagiarism consists of using the "words, ideas, images or data" of other individuals without duly acknowledging that it is their own work (University of Delaware, 2014, n. p.). Acknowledgement should be in adherence to the referencing system adopted in the educational institution. If verbatim transcripts are used it is important that these are put in quotation marks.Plagiarism is a serious offence that can lead to the expulsion of the student from the course. It is imperative that professional behaviour is sustained in the educational institution by ensuring that society is protected from the theft of intellectual property (O'Dwyer & Madden, 2006).b. Academic MisconductAcademic misconduct comprises an act where the individual tries to take an unfair advantage by deception or other unethical behaviour, or creates disruption to the educational process (University of Delaware, 2014). Academic misconduct encompasses the following: •The unauthorised distribution or selling of answers to exercises and assignments;•Accessing confidential data with the aim to gather answers or change assessment grades;•Bribing an individual to take personal advantage; or•Failing to comply with professional behaviour standards set by the educational institution.Identification of academic misconduct should be reported to the ethics committee of the educational institution or a senior administrative officer of the faculty (O'Dwyer & Madden, 2006).Alcohol and Drugs UseAll students are requested to comply with laws relevant to alcohol and drugs. Reasonable consumption of alcohol is allowed at university premises during certain occasions (University of British Columbia, 2014). However the excessive consumption of alcohol which leads tointoxication is discouraged and students that create harm to others, including society, due to alcohol abuse at university premises face disciplinary action, which may take the form of a fine, and suspension on a temporary or permanent basis. Disciplinary action is not adopted on students who voluntarily seek medical assistance due to alcohol use (University of Delaware, 2014).The possession or consumption of drugs is prohibited by the educational institution and it is a legal responsibility of students to desist from such acts (Crane & Matten, 2010). Violations to this policy are reprimanded severely and the student is accused of criminal acts if he/she is discovered selling drugs on university premises. The utilisation of marijuana for medical reasons is not an automatic dismissal for charges. It is prohibited to smoke in university buildings (University of Delaware, 2014)."Drugs broadly includes, without limitation, any stimulant, intoxicant (other than alcohol), nervous system depressant, hallucinogen, or other chemical substance, compound, or combination when used to induce an altered state" (University of Delaware, 2014, n. p.).Hazard to the Safety of OthersHealth and safety is an ethical responsibility of the educational institution (Crane & Matten, 2010). The health and safety of individuals can be endangered via inappropriate behaviour, which is outlined below (University of Delaware, 2014):•Causing fire;•Tampering or misusing fire or other safety equipment;•Staying in a building when the fire alarm is on;•Smoking in smoke-free areas; and•Any other action that can lead to an unsafe environment.A set of health and safety procedures are also provided by the educational institution at the beginning of the programme. Students are required to be familiar with these procedures.False InformationA student is not permitted to utilise false information in order to gain a personal advantage or misguide an administrator or staff of the educational institution. This infringes the honesty requested by the integrity ethical principle (AAT Level 3, 2013). The penalty imposed for false information depends on the level of offence of the act and its related consequences.Misuse of the Property, Services or Material of the Educational InstitutionStudents are not allowed to misuse in any way the property, services or material of the educational institution. Illustrative examples are provided to clarify this policy (IFAC, 2014). These comprise the following (University of Delaware, 2014):•Damaging, destroying or misusing any university building facilities and/or third party property residing in university premises.•Impeding or hindering another individual in their use of property, services or material of the educational institution.•Littering in university premises.Sexual Assault。
