英文合同范本付款条款
THIS AGREEMENT, dated the __________ day of __________, 20__, ("Effective Date"), is made and entered into by and between:
[Company Name], a corporation organized and existing under the laws of [State/Country], with its principal place of business at [Address] (hereinafter referred to as "Company"), and
[Client Name], an individual with the address at [Address] (hereinafter referred to as "Client").
WHEREAS, Company desires to provide certain services to Client, and Client desires to receive such services from Company, and
WHEREAS, the parties have agreed to the terms and conditions set forth herein for the provision of such services;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Services Provided: Company agrees to provide the following services to Client ("Services"): [Description of Services].
2. Payment Terms: Client shall pay Company for the Services
as follows:
- An initial deposit of [Amount] due upon execution of
this Agreement.
- [Additional payment terms, such as milestones, hourly rates, or fixed fees, as applicable].
3. Invoices and Payment: Company shall issue invoices for the Services provided. Client shall make payments within [Number] days from the date of the invoice. All payments shall be made in [Currency].
4. Late Payments: If Client fails to make any payment when due, Client shall pay interest on the overdue amount at a rate of [Interest Rate] per annum or the maximum rate allowed by law, whichever is lower, from the due date until the date of payment.

6. Refunds: Refunds, if any, shall be at the sole discretion of Company and shall be subject to the terms and conditions set forth in this Agreement.

8. Termination: In the event of termination of this Agreement, Client shall pay Company all amounts due and owing for Services provided up to the date of termination.
9. Entire Agreement: This Agreement, including any exhibits
or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.
10. Amendments: This Agreement may be amended only in writing executed by both parties.
11. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the [State/Country], without regard to its conflict of laws provisions.
12. Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, but
all of which together shall constitute one and the same instrument.
