独家代理协议合同范本英语Exclusive Agency Agreement
This Exclusive Agency Agreement (the "Agreement") is entered into as of [Date], by and between [Company Name], a company organized and existing under the laws of [Jurisdiction], with its principal place of business at [Address] (the "Company"), and [Agent Name], an individual with an address at [Address] (the "Agent").
WHEREAS, the Company is engaged in the business of [Description of Company's Business]; and
WHEREAS, the Agent desires to act as the exclusive agent for the Company for the sale of the Company's products in
the territory described in Exhibit A (the "Territory"); and

2. Territory. The Territory covered by this Agreement is as described in Exhibit A.
3. Term. The term of this Agreement shall commence on the Effective Date and continue for a period of [Term Length], unless earlier terminated in accordance with the terms of this Agreement.
4. Duties of the Agent. The Agent agrees to diligently promote, market, and sell the Company's products within the Territory. The Agent shall use its best efforts to develop and maintain a market for the Company's products, and to provide the Company with regular reports regarding its sales activities.
5. Exclusivity. During the term of this Agreement, the Agent shall be the exclusive agent of the Company for the sale of its products within the Territory, and the Company shall not appoint any other agents or distributors to sell its products within the Territory.
6. Compensation. In consideration for the services to be performed by the Agent under this Agreement, the Company shall pay the Agent a commission of [Commission Percentage] of the net sales of the Company's products made by the

7. Confidentiality. The Agent agrees to keep
confidential all information and materials provided by the Company, including but not limited to pricing, customer lists, and marketing strategies.
