in form and substance reasonably satisfactory to AAA and CCC.Representative means, with respect to any Person, any of such Person’s directors, officers, employees, agents, consultants, advisors, accountants or attorneys.Request has the meaning set forth in Section 5.7.Securities Act means the Securities Act of 1933, as amended from time to time, together with the rules and regulations stockholders as a result of the AAA Spin-Off), with respect to the AAA Merger; or (ii) an IRS private letter ruling to the same effect.Subsidiary means with respect to any specified Person, any corporation or other legal entity of which such Person or any of its Subsidiaries Controls or owns, directly or indirectly, more than 50% of the stock or other equity interest entitled to vote on the election of members to the board of directors or similar governing body; provided, however, that for the purposes of this Agreement, neitherAAA nor any of the Subsidiaries of AAA shall be deemed to be
