Vehicle Procurement Contract
This Vehicle Procurement Contract (the "Contract") is made and entered into as of [Date], by and between [Company Name] ("Buyer"), a company organized and existing under the laws of [Country/State], with a registered address at [Company Address], and [Seller Name] ("Seller"), a company organized and existing under the laws of [Country/State], with a registered address at [Seller Address].
1. Purchase of Vehicles
Buyer agrees to purchase from Seller and Seller agrees to sell to Buyer the following vehicles (the "Vehicles"):

2. Delivery

2.2 Risk of loss and title to the Vehicles shall pass to Buyer upon delivery.
3. Payment

4. Warranty

4.2 Seller further warrants that the Vehicles shall be free from any defects in materials and workmanship for a period of [Warranty Period] from the date of delivery.
4.3 In the event that a Vehicle fails to conform to the foregoing warranties, Seller shall, at its sole option, either (a) repair or replace the Vehicle, or (b) refund the Purchase Price for the non-conforming Vehicle.
5. Inspection and Acceptance
Upon delivery, Buyer shall have the right to inspect the Vehicles to confirm their conformity with the terms of this Contract. If the Vehicles do not conform to the terms of this Contract, Buyer shall notify Seller in writing within [Inspection Period] after delivery. Seller shall, at its sole option, either (a) repair or replace the non-conforming Vehicles, or (b) refund the Purchase Price for the non-conforming Vehicles.
6. Indemnification
6.1 Seller shall indemnify and hold harmless Buyer from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the sale, use, or operation of the Vehicles, except to the extent such claims, losses, damages, liabilities, costs, and expenses are directly caused by Buyer's gross negligence or willful misconduct.
6.2 Buyer shall indemnify and hold harmless Seller from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with Buyer's use of the Vehicles, except to the extent such claims, losses, damages, liabilities, costs, and expenses are directly caused by Seller's gross negligence or willful misconduct.
7. Governing Law and Dispute Resolution
This Contract shall be governed by and construed in accordance with the laws of [Governing Jurisdiction]. Any disputes arising out of or in connection with this Contract shall be resolved by arbitration in accordance with the rules of the [Arbitration Institution], and the decision of the arbitrator(s) shall be final and binding upon the parties.
8. Entire Agreement
