Title: Headquarters-Branch Agreement
This Agreement ("Agreement") is entered into as of [Insert Date], by and between [Insert Headquarters Name], a [insert legal entity type] incorporated in [insert jurisdiction of incorporation], hereinafter referred to as "Headquarters," and [Insert Branch Name], a [insert legal entity type] incorporated in [insert jurisdiction of incorporation], hereinafter referred to as "Branch."
RECITALS:
WHEREAS, Headquarters is engaged in the business of [insert business description];
WHEREAS, Branch desires to act as an agent of Headquarters for the purpose of carrying on such business in [insert geographic area];
OW, THEREFORE, in consideration of the mutual promises contained herein, the parties hereto agree as follows:
1.Appointment of Branch.Headquarters hereby appoints Branch as its exclusive agent within the [insert geographic area] for the purpose of [insert business activities].
2.Duties and Responsibilities of Branch.Branch shall perform such duties and responsibilities as are customarily associated with the role of
an agent in the [insert business activities] and shall carry out such other activities as Headquarters may from time to time authorize.
3.Representation and Warranties.Branch represents and warrants that it has the legal authority to enter into this Agreement and that it is not aware of any legal impediment to its carrying on the [insert business activities] within the [insert geographic area].
4.Indemnification.Branch shall indemnify and hold harmless Headquarters against any and all claims, losses, damages, and expenses (including reasonable attorney"s fees) incurred by Headquarters arising out of or in connection with the performance of Branch"s duties and responsibilities hereunder.
