This Agreement (the "Agreement") is made and entered into on [Date], by and between [Principal's Name or Company Name], having its principal place of business at [Principal's Address] ("Principal"), and [Agent's Name or Company Name], having its principal place of business at
[Agent's Address] ("Agent"), collectively referred to as the "Parties".
RECITALS
WHEREAS, the Principal is engaged in the [Principal's Business Description] and desires to expand its market reach;
WHEREAS, the Agent is engaged in the [Agent's Business Description] and has the capability and desire to assist the Principal in marketing and selling the Principal's products or services;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:
1. Term
The term of this Agreement shall commence on [Start Date] and shall continue for a period of [Number of Years] years, unless terminated earlier in accordance with the provisions hereof. This Agreement may be renewed for additional terms of [Number of Years] years upon mutual written agreement of the Parties.
2. Appointment
The Principal hereby appoints the Agent as its exclusive agent (the "Agent") to sell the Principal's products or services within the
territory defined in Section 3 below, subject to the terms and conditions of this Agreement.
3. Territory
The Agent shall have the exclusive right to sell the Principal's products or services within the following territory: [Territory Description]. The Agent shall not sell or offer for sale the Principal's products or services outside the Territory without the express written consent of the Principal.
4. Products/Services
The Agent shall market and sell the following products or services:
[List of Products/Services]. The Principal reserves the right to change the list of products or services from time to time, upon reasonable notice to the Agent.
5. Marketing and Sales Efforts
The Agent shall use its best efforts to market and sell the Principal's products or services in the Territory. The Agent shall maintain a professional and reputable sales staff and shall employ reasonable and customary marketing practices to promote the sale of the Principal's products or services.
6. Prices and Terms
The prices for the Principal's products or services shall be those established by the Principal from time to time. The Agent shall not
alter or vary the prices without the Principal's prior written consent. All sales shall be subject to the terms and conditions of sale established by the Principal.
7. Compensation
The Agent shall be entitled to receive a commission of [Percentage] on
all net sales of the Principal's products or services made in the Territory. "Net sales" shall mean the total sales price less any returns, allowances, and rebates. The Principal shall pay the Agent the commissions due within [Number of Days] days following the end of each calendar month.
8. Payment of Expenses
The Agent shall be responsible for all expenses incurred in the performance of its duties under this Agreement, including but not
limited to advertising, promotional materials, and travel expenses.
9. Confidentiality
The Parties agree to hold in strict confidence all confidential information disclosed to them by the other Party, including but not limited to customer lists, product specifications, and marketing plans. The confidentiality obligations shall survive the termination of this Agreement.
10. Termination
This Agreement may be terminated by either Party upon written notice to the other Party, provided that such notice shall be given not less than [Number of Days] days prior to the effective date of termination. The Principal may terminate this Agreement immediately upon written notice in the event of a breach of this Agreement by the Agent, which breach is not cured within [Number of Days] days of receipt of written notice thereof.

12. Entire Agreement
