英文外贸采购合同范本INTERNATIONAL PURCHASE AGREEMENT
This International Purchase Agreement (the "Agreement") is made and entered into as of the __________ day of __________, 20__, by and between __________ (the "Buyer"), with its principal place of business at __________, and __________ (the "Seller"), with its principal place of business at

1. PURCHASE ORDER
The Buyer hereby places an order with the Seller for the purchase of the following goods (the "Goods"):

2. DELIVERY
The Seller shall deliver the Goods to the following address:

3. PAYMENT TERMS

4. ACCEPTANCE

5. WARRANTY

6. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by circumstances beyond the reasonable control of that party ("Force Majeure"), provided that the party affected by Force Majeure promptly notifies the other party of the nature and extent of such circumstances.
7. CONFIDENTIALITY
Both parties shall keep confidential all information obtained from the other party in connection with this Agreement and shall not disclose such information to any third party without the prior written consent of the other party.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of __________.
9. DISPUTE RESOLUTION
Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of __________.
10. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
11. AMENDMENT
