牧术蝕济与管搜研老2021年第6期银行科技信贷风险评价指标体系构建——基于投贷联动模式于颖(广东白云学院,广东广州510450)摘要:投贷联动作为“股权+债权”的新型融资模式,在为科技创新企业提供创业资金的同时,也加大了银行信贷风险,因此文章通过实地调查、问卷调研、构建模型对银行科技信贷风险评估。

研究结果表明:技术风险是银行信贷投放面临的主要风险,应重点考核企业技术水平、信用记录;从分散风险视角,应避免将信贷投放于同一行业领域;此外应选择经验丰富且持股比例较高的投资机构,与投资机构形成投贷联动的“分离、协同、合作”,以实现信贷风险的评估与防控。

据配股预案,公司拟10配3,共计发行34.63亿股,融资规模不超过200亿元,募资净额将用于补充核心一级资本。

按配股计划测算,配股价格约5.77元/股,低于公司11月20日收盘价6.07元/股、最近一期BPS 10.24元(2020Q3,未经审计)、以及2019年末经审计BPS 9.53元。

配股获批打破了7年市场配股空窗期,一方面反映了未来银行通过配股补充核心一级资本的方式将更加便捷,另一方面也反映了监管对中小银行资本补充的有力支持。

IPO High Underpricing and Primary/Secondary Market’s Equilibriums in China: The Simultaneous Equation Model Approach
Abstract: The paper proposes an integrated theoretic model of IPO underpricing in China and the corresponding simultaneous equation model for empirical study. Using 3-Stage Least Square regression for parameters’ estimation with a sample of 88 IPOs from Shenzhen Stock Exchange’ SME Board, the paper shows that, firstly, China’s IPO underpricing have the characteristics of both “demand-pulling” and “supply-pushing”; secondly, due to investors’ disposition effect, low lottery ratio for IPO cash subscription in primary market has a significant influence on supplier-investors’ offering price in

Kearney Perspectives On Global Trends And Developments In Trade FinanceThere has been a fast growth trend (CAGR % from 1999 to 2003) in global trade business, both in terms of export and import. Given its recent reform and accession to WTO, China in particular has experienced a faster growth than the rest of the world.As we recently witnessed trade volume grows, the associated demand for more sophisticated products/services and lower-cost and more efficient ways of transactions has become the key differentiators that many banks and trade finance specialists are striving to develop.In coping with the sophisticated demand and challenges from competition, many leading trade finance players are focusing their efforts on enhancing top line revenue growth through product innovation, such as cash management and e-enabled solutions and on reducing bottom-line cost structure by consolidating and centralizing back-officelow-value and routine operation processes. Leading players such as HSBC, Standard Chartered, and ABN Amro have realized the benefits of centralization and have taken advantage of the economy of scale in large volume transaction processing and have already centralized trade finance related processes to one or multiple regional centers. Other leading players such as Barclays, as their trade finance transaction volume is not as big as the above players, have chosen a different model and outsource it trade finance transaction processing. Additionally, there is a completely different model which is to build up a shared utility platform, such as Proponix which was a joint venture between AMS, Barclays, ANZ and BMO Financial Group, to process trade finance transactions for partner banks and others.Although there are different types of operating models in processing trade finance, to determine the appropriate trade finance model is much dependent on a bank’s businessvolume and its long-term vision and aspiration. And although trade finance process centralization has a lot of proven benefits and advantages, especially in cost saving, standardized services, and fast turnaround, it is critical to have a holistic plan, solid transformation design and the coordinated implementation to ensure ultimate success.II. Our Understanding of Bank of China’s Trade Finance Transformation ProgramDuring our meetings, we came to understand that Bank of China has a long-term vision to strengthen trade finance capability and transform the business into a world-class practice. The overall transformation will be undertaken in three phases, Phase I: Transformation Planning, Phase II: Implementation The Transformation, and Phase III: Continuous Improvement (Exhibit 1).(Exhibit 1, Insert page 32)The first phase will be about six month long, second phase will start as soon as phase I planning is completed with a target milestone to launch a “Trade Finance Center”pilot by end of 2005 and to roll out bank-wide and overseas by 3rd quarter of 2006. Once the centralization is complete and supporting IT system is operationally, continuous improvement will be critical to ensure business and IT are fully aligned and refinements are made in a timely manner. This will be the focus for Phase III. Our proposed project will focus on Phases I and II of the overall transformation program. However, if Bank of China requires . Kearney assistance for Phase III, we will be happy discuss our further assistance at a later stage.III. Proposed Project Approach and DeliverablesOur project approach is designed to tailor for Bank of China’s specific needs for trade finance transformation. Our primary objectives are to help Bank of China:Establish a world-class trade finance operating model and capabilitiesSet up a leading IT processing platformAchieve cost saving benefits in centralizationImprove quality services to trade finance customersEnhance Bank of China’s overall competitiveness in trade finance servicesOur project scope will cover all trade finance process related departments, including Headquarter International Settlement Department, domestic branches’ trade finance units, and overseas branches’s trade finance units. We will review and redesign the key core processes to the level of details that are required for the “Request For Proposal” for IT package selection purpose and for the trade finance products that are currently offered, . letters of credit, remittance, guarantee, standby LC, trade financing, factoring, domestic LC, and foreign exchange. (Exhibit 2).(Exhibit 2, Insert page 33)As illustrated in Exhibit 3, our phase I will be 27 weeks long and comprised of three modules. Compared to our draft proposal dated December 22, 2004, we have shortened our first module by one week; however, due to BOC’s request to include detailed IT gap analysis, the second module has to be lengthened by 3 weeks. Therefore, instead of 25 weeks as proposed on December 22, 2004, our new approach will require 27 weeks to complete.(Exhibit 3, insert page 39)The first module is business-led workstream with a primary focus on developing trade finance operating model and the supporting capabilities; the second module is IT-led workstream with focus on selecting the world-class IT package to support BOC vision; the Business module serves as critical inputs for the IT module and therefore the two modules are intertwined and in-separatable. Business requirements from the firstmodule based on the newly selected operating model will drive the IT vendor selection criteria in the second module while IT package functions in the second module will drive the design of core processes in the first module. Finally, the third module is a collaborative effort of the two joint workstreams to collectively develop an implementation plan for overall transformation.Module 1 has four major components (Exhibit 4). Please refer to our attached Powerpoint proposal for detailed description of objectives, key worksteps and tasks, and deliverables for each component.(Exhibit 4, insert pages 42 and 43, combine into one page)Module 2 has three major components (Exhibit 5). Please refer to our attached Powerpoint proposal for detailed description of objectives, key worksteps and tasks, and deliverables for each component. If BOC so requires, we would also suggest and organize visits to the sites where the short-listed IT packages are in full operation. (Exhibit 5, insert page 65)Module 3 has three major components (Exhibit 6). Please refer to our attached Powerpoint proposal for detailed description of objectives, key worksteps and tasks, and deliverables for each component.(Exhibit 6, inset page 89)At the end of Phase 1 (27th week), we will embark immediately on Phase 2. The focus of Phase 2 is to implement the IT package and begin centralizing the trade finance processes. . Kearney’s role will be reduced from a leading role in Phase 1 to a supporting and advising role in Phase 2 in managing a Program Management Office, and our team will be reduced accordingly. The duration of our Phase 2 assistance will depend on the Bank’s request and our professional fees will be billed on a monthlybasis. As illustrated in Exhibit 7, we will continue to have business and IT support and the support of a pilot and the full launch.(Exhibit 7, Insert page 95)IV. Project Team ArrangementsGiven the strategic/operational importance of this project and the need to balance technical and business perspectives, we have assembled a team with balanced skills and backgrounds in technology and business functions. Our team will be led by Mr. John Egan (Managing Director and Head of Greater China), who has over 35 years of consulting experience advising companies in the US, Europe, and Asia. Mr. William Yin (Principal and leader of Technology & Transformation Group, Greater China) and Ms. Vivien Lai (Principal and leader in Financial Institutions Group, Greater China) will provide project leadership on a part-time basis and jointly responsible for the overall quality of the engagement. Ms. Sherrri He and Mr. Michael Guo will be the full-time project managers for business and IT modules respectively responsible for the execution of the engagement.Mr. John Meinhold (Vice President and leader of Financial Iinstitutions Group, Asia), and Mr. David Hovenden (Vice President and leader of Technology & Transformation Group, Asia), both of whom you have met will support the team from a advisory capacity on-site or off-site as necessary. In addition, we will draw on the collective experience of multiple other . Kearney global subject matter experts throughout the project as necessary. (Exhibit 8)(Exhibit 8, Insert page 111)At the working team level, we will assign 7 full-time . Kearney consultants for our proposed Phase I assistance (4 on the business module for a total of 13 weeks and 3 on the IT module for a total of 27 weeks). For Phase 2 assistance, we will assign 2-3consultants depending on the scope of assistance which will be agreed with the Bank prior to the launch of Phase 2. We have attached in the PowerPoint proposal resumes of potential consultants to be assigned to the project. The confirmation of the actual team members will depend on the actual start date of the project as agreed with the Bank. The project leaders, managers and advisors aforementioned will be involved throughout the project.We recommend that Bank of China establish a Steering Committee for the project from the very beginning. The Steering Committee should comprise of senior management representing various key business-units and functional/support areas and the IT department head. If such a committee does not already exist, we recommend establishing it. For this 27 week effort, we are proposing monthly progress update, followed by a final report at the end of the project, to the Steering Committee. In addition, six full-time senior analysts (3 from trade finance function and 3 from IT function) should be assigned to work the consultants ideally in adjacent offices with adequate office support such as long-distance telephone facilities, high-speed internet connection, printer, fax, copier, etc. These analysts will primarily be responsible for data collection, interview/meeting arrangements and other Bank-related logistics. The consultants will provide a list of data required at the first week of the project and the analysts will be responsible to coordinate with relevant departments to collect the data for analysis. Additionally, due to the tight schedule of the project, we recommend senior management of the Bank be accessible for interviews/discussions/reviews as needed.V. Rationale To Appoint . 荷兰合作银行有限公司上海分行在按照《条例》和《实施细则》规定完成有关法定手续后,根据《实施细则》第三十五条规定,在下列范围内经营对各类客户的外汇业务,对外商投资企业、外国驻华机构、香港、澳门、台湾在内地代表机构、外国人及香港、澳门、台湾同胞和非外商投资企业的人民币业务:吸收公众存款;发放短期、中期和长期贷款;办理票据承兑与贴现;买卖政府债券、金融债券,买卖股票以外的其他外币有价证券;提供信用证服务及担保;办理国内外结算;买卖、代理买卖外汇;从事外币兑换;从事同业拆借;从事银行卡业务;提供保管箱服务;提供资信调查和咨询服务;经中国银行业监督管理委员会批准的其他业务。
