如通过其他人员进行联络时,须事先通知乙方。

第五条(适用法律)

本着诚意、通过友好协商努力解决。

2.如果通过前款的协商依然不能解决的,甲乙任何一方均可以向中国上海市的管辖人民法院
提起诉讼。

第七条(合同期间)
本合同的有效期间为2008年月至200 年月计一年。

合同有效期满之前一个月,甲乙各方如不提出异议,则本委托合同按照相同条件自动延续。

由于甲方的业务量的增加,乙方认为有必要调整上述第一条记载的委托事项的费用的,在得到甲方同意的基础上,可以在以后的合同期内实施。

第八条(附则)
本合同用中文一式两份作成,甲乙双方各持一份。

Whereas, _______________________________ (hereinafter referred to as “Party A”) and XXX, who have reached a negotiated consensus as to the relevant entrustment matters set forth in Article 1 hereof, hereby make and enter into this Contract as follows:
Article 1 (Entrustment Matters)

Article 2 (Provision of Materials)
1. Party A shall, in accordance with Party B’s requirements, promptly provide materials Party B deems
necessary to deal with these businesses, such as documents, certificates, etc., and offer necessary assistance to Party B.
Party A designates the following person(s) to act as the contact (hereinafter referred to as the
“Contact”) to communicate with Party B when the business herein is being dealt with. If Party A desires to communicate with Party B via other person(s), Party A shall give a prior notice to Party
B.

this Contract and won’t return charges having been collected from Party A. In case Party B suffers any loss arising from any act set forth in this section, Party A shall be responsible for its

Article 3 (Confidentiality)
1. Without Party A’s written consent, Party B shall not disclose to any third party any information,
materials or documents provided by Party A, and shall not use them for the business other than that set forth herein. However, information having known to the public may not be subject to this section.

Article 4 (Charges)
Party A shall pay to Party B RMB 4,000.00 for the businesses set forth in the above Article 1 on a monthly basis. Each month Party A shall pay in advance for the same month’s business entrustment charge.
In addition, all the government charges as well as actual expenses such as traffic charge, courier charge, etc., shall be borne by Party A. Party B will settle actual expenses on a monthly basis, and request Party A to make payment pursuant to bills and lists.
Article 5 (Applicable Law)
Laws of the People’s Republic of China shall be applied to the execution and effectiveness of this Contract.
Article 6 (Dispute Settlement)
1. As to all the disputes between Party A and Party B arising from the performance of or in connection
with this Contract, Party A and Party B shall, on a sincere basis, try hard to settle them through consultations.
2. In case such dispute fails to be settled through consultations referred to in the above section, either
Party A or Party B may bring a lawsuit with the governing People’s Court located in Shanghai, P. R. China.
Article 7 (Contract Term)
The validity term of this Contract is one year, from ____ (month) 2008 to ____ (month) 200_. In case both Party A and Party B haven’t any objection one month prior to the expiry of the validity term of this Contract, this Entrustment Contract will be automatically continued pursuant to the same conditions.
Where Party B deems it necessary to adjust the charge for entrusted matters set forth in the above Article 1 because of the growth of Party A’s business, such adjustment may be implemented during the next contract term on the basis of Party A’s consent.
Article 8 (Supplemental Rule)

第七条:甲方义务

7. Obligations of Party A
a) Party A guarantees that it has full and clear ownership to this Real Estate, which is free of any
dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades, otherwise any and all losses suffered by buyer/lessee therefore shall be borne by Party A.
b) Party A shall notify Party B as quickly as possible if its Real Estate hereunder has been
sold/leased during the term hereof.
第八条:乙方义务
1. 通过乙方的销售渠道,早日完成甲方委托之交易,并协助甲方与买受方/承租方斡旋。

2. 协助甲方与买受方/承租方签订买卖/租赁合同或类似文本,办理相关过户、交房手续。

3. 不得与他人恶意串通,损害甲方的利益。

8. Obligations of Party B
a) Party B shall fulfill the transaction entrusted by Party A through its own distribution channel as
quickly as possible, and shall provide assistances to Party A for its negotiation with potential buyer.
b) Party B shall provide assistances to Party A and Buyer/Lessee for the conclusion of
Sales/Tenancy Contract or similar instruments, and for the fulfillment of transfer formalities to such Real Estate.
c) Party B may not prejudice the interests of Party A by collusion with any third party.
第九条:法律责任
若乙方在促成甲方与买受方/承租方达成买卖合同或租赁合同后,甲方以任何理由不再进行交易或与买受方/承租方合意解除已订立的合同的,则甲方应依上述转让总价的1%(出售居住用房)、2%(出售非居住用房)、或上述月租金的35%(出租居住用房)、50%(出租非居住用房)向乙方支付预期利益损失。

对于本条款,乙方已提示甲方予以注意和重视,并对条款进行了充分的解释和说明。

9 Legal Liabilities
In the event that Party A, whether for any causes, fails or refuses to continue transaction hereunder or rescind any
sales/tenancy contract entered into by it and Buyer/Lessee introduced by Party B, Party A shall indemnify the losses of anticipated profits suffered by Party B therefore as 1% or 2% of transfer price for the Real Estate intended to be sold as Residential Property or Non-residential Property respectively or as 35% or 40% of monthly rent for the Real Estate intended to be leased as Residential Property or Non-residential Property respectively. .
第十条:乙方在提供居间服务过程中,可就居间服务事宜以确认书、补充条款、买卖居间合同等形式与甲
方达成补充约定,该等补充约定与本合同有不一致的,以补充约定为准。

甲乙双方在履行本合同中产生争议的,应协商解决,协商不成的,甲、乙双方同意以房地产所在地方法院为本合同争议的管辖法院。

10 Party B may enter into supplementary agreement with Party A concerning any services hereunder in
the form of acknowledgement, supplementary clauses, brokerage contract or otherwise during the term hereof. Provided, however, if there is any dispute or controversy between any supplementary agreement and this letter, such supplementary agreement shall prevail. Any dispute between the Parties hereto during the term hereof shall be settled through amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.

(5)付款条件:合同金额的30%预付款于合同日期后5天内付至卖方银行。

余款(如货物到港前一天未点价,按发票的100%金额支付,不扣除订金。

订金在点价后扣除)余款在买方收到卖方提供的发票,箱单,提单、CCIC复印件后5个工作日通过内电汇至卖方。

如果货物在此之前到岸全部货款须在货物到达第一口岸前付清。

根据到港日期,卖方收到余款后在货物到港前把原始单据寄给买方。

寄出所有正本单据包括发票正本1份,箱单正本1份,提单正本三份,非木证明原件,CCIC一正1副。

买方必须最晚于货物到港前3天付清货款,否则我司将保留权利转卖该批货,订金将全数没收作为补偿。

(8)短重索赔:在货物到达工厂后20天内提出索赔, 双方接受重量磅差为80KGS每个集装箱,超出磅差外重量索赔根据第一到岸口岸的港口公证磅单原始磅单提出索赔; 如索赔金额多于2000美元卖方有权要求根据到货口岸SGS原始检验报告提出索赔。

检验费用由提出检验方承担。

Weight Shortage Claim:All claims should be filed within 20 days after cargo arrival at fina l destination which is buyers’ factory. All weight claims should base on after 80kgs per container, scale difference allowance accepted by buyer and seller. Original scale weight ticket at destination required to present to seller and if claim amount more than USD2, 000.00 then the original SGS Inspection report required. Inspection fees will be borne by the party who submitted test.
(9) 质量索赔:在货物到达工厂20天内提出索赔,在提出质量索赔时买方应出具原始卸货照片,存在质量问题货物照片,及存在质量问题货物的样品。

在双方就质量问题达成协议前,提赔货物不得进行处理或由卸货地点移动。

Quality Claim: All Claims should be filed within 20 days after cargo arrival at final destination. All unloading photos, Quality
Issue Photos, Original Sample are required when filing claim. Before settlement is reached the claim cargo shall not be processed or remove from original unloading point without sellers authorization.
(10) 单据:所有以邮寄,传真,电子邮件发出的由卖方或买方签署的与本合同有关的各项单据(包括本合同)都将视为原件。

中英文具有同等法律效力。

Documents: All the documents related to this contract signedby seller or buyer deliveredmailed, faxed or emailed should be identified as authentic and recognized as original.Both English and Chinese versions which have same force of law.
(11). 延迟付款及罚款:如买方不能如期付款,卖方有权撤销该部分的合同并扣留定金,或经卖方同意在买方缴纳罚款条件下延期放货。

卖方可同意给予买方15天的优惠期。

罚款率为每10天按货款总额的0.1%。

不足10天者按10天计算。

罚款自第16天起计算。

最多不超过延期货款总额的0.5%。

Late Payment and Penalty: If the Buyer fails to make payment on time. The Seller shall have has right to cancel the contract and to detain partial or all of the down payment. Or, alternatively, the Buyer may, with the Sellers' consent, and delay release cargo to Buyers on payment of penalty to the Sellers. The Sellers may agree to grant the Buyers a grace period of 15 days. Penalty shall be charged at the rate of 0.1% of the total value for every 10 days. Odd days less than 10 days should be counted as 10 days. The total penalty shall be charged at the rate of 0.1% not exceed 0.5% of the total value of the goods involved.
(12)不可抗力:由于人力不可抗拒事故,使卖方不能在合同规定期限内交货或者不能交货卖方不负责任;但卖方必须立即以传真通知买方,并以挂号函向买方提出有关政府机关或商会所出具的证明,以证明事故的存在,由于人力不可抗拒事故致使交货延期一个月以上时,
买方有权撤销合同。

Force Majeure: In case of Force Majeure the sellers shall not be held responsible for delay in delivery or non-delivery of the goods but shall notify immediately the Buyers by fax and deliver to the Buyers by registered mail a certificate issued by government authorities or Chamber of Commerce as evidence thereof. If the shipment is delayed over one month as the consequence of the said Force Majcure the Buyers shall have the right to cancel this Contract..
(13)延期交货及罚款:除本合同第(12)条人力不可抗拒原因外,如卖方不能如期交货,买方有权撤销该部分的合同,或经买方同意在卖方缴纳罚款的条件下延期交货。

Delayed Delivery and Penalty: Should the Sellers fail to effect delivery on time as stipulated in this Contract owing to causes other than Force Majeure as provided for in Clause(12) of this Contract, the Buyers shall have the right to cancel the relative quantity of the contract. Or, alternatively, the Sellers may, with the Buyers' consent, postpone delivery on payment of penalty to the Buyers. The Buyers may agree to grant the Sellers a grace period of 15 days. The total penalty shall be charged at the rate of 0.1% not exceed 0.5% of the total value of the goods involved.
(14)仲裁:一切因执行本合同或与本合同有关的争执,应由双方通过协商解决。

如经协商不能解决时,应提交起诉方所在国国际经济贸易仲裁委员会(或中华人民共和国法院),按照该国仲裁委员会仲裁程序规则进行仲裁。

仲裁委员会的裁决为终局裁决,对双方均有约
束力。

仲裁费用除仲裁委员会另有决定外,由败诉一方负担。

Arbitration: All disputes in connection with this Sales Contract thereof shall be settled by negotiation between two parties. If no settlement can be reached, the case in dispute shall be submitted for arbitration to the dependant country(or the Court of PEOPLE'S REPUBLIC OF CHINA. )The decision made by the Arbitration Organization shall be taken as final and binding upon both parties. The Arbitration expenses shall be borne by the losing party unless otherwise awarded by the Arbitration Organization.
(15) 附加条款:以上任何条款如与以下附加条款有抵触时,以下条件为准。

如果卖方不能完整的提供本合同中第五条所要求的文件,所造成的退货损失由卖方承担。

Additional Clause: If any of the above-mentioned Clauses are inconsistent with the following Additional Clause(s), the Latter to be taken as authentic.The seller will take the loss if requested documents by Term No. 5th of this contract are not sufficient.
