CONTRACT
This CONTRACT is made and entered into and between the BUYER and SELLER, where the BUYER agrees to buy and the SELLER agrees to sell the under-mentioned modity according to the terms and conditions stipulated below:

3. DOCUMENTS REQUIRED
SIGNED COMMERCIAL INVOICE IN 3 COPIES.
PACKING LIST IN 3 COPIES SHOWING GROSS WEIGHT, NET WEIGHT, MEASUREMENT AND QUANTITY EACH PACKAGE.
CERTIFICATE OF QUALITY IN 3 COPIES ISSUED BY THE QUALITY INSPECTION AUTHORITY OF THE SELLER.
BILL OF LADING MADE OUT TO ORDER AND BLANK ENDORSED NOTIFY APPLICANT.
4. INSURANCE
TO BE COVERED BY SELLER FOR 110 PCT OF INVOICE VALUE AGNST ALL RISKS AND WAR RISK AS PER AND SUBJECT TO THE OCEAN MARINE CARGO CLAUSES OF THE PEOPLE'S INSURANCE COMPANY OF CHINA DATED 1/1/1981.
5. TERMS OF PAYMENT
IRREVOCABLE L/C AT SIGHT TO BE OPENED BY BUYER BEFORE
______________________ AND TO BE AVLABLE BY SIGHT DRAFT.
DOCUMENTS REQUIRED FOR NEGOTIATION UNDER THIS CREDIT MUST BE PRESENTED WITHIN 15 DAYS AFTER THE DATE OF SHIPMENT BUT WITHIN THE VALIDITY OF THIS CREDIT.
6. GOVERNING LAW AND DISPUTE SETTLEMENT
This CONTRACT shall be governed and construed in accordance with the laws of the People's Republic of China.
Any disputes arising from or in connection with this CONTRACT shall be settled through friendly negotiation. In case no settlement can be reached, the disputes shall then be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its arbitration rules. The arbitration award is final and binding upon both parties. The arbitration fee shall be borne the losing party, except otherwise awarded the arbitration body.
7. OTHER TERMS
This CONTRACT is made out in quadruplicate, the SELLER holding three copies and the BUYER one copy. This CONTRACT is effective as of the date of signature.
