This Technical Consulting Service Contract (the "Contract") is made and entered into as of [Date], by and between [Company Name], a [Company Type] incorporated under the laws of [Country/State], with its principal place of business at [Company Address] ("Consultant"), and [Client Name], a [Client Type] with its principal place of business at [Client Address] ("Client").
Recitals
WHEREAS, the Client requires the services of the Consultant to provide technical consulting services in relation to [Description of Services]; and
WHEREAS, the Consultant has the expertise and resources necessary to provide such services;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:
1. Scope of Services
1.1 The Consultant shall provide the Client with technical consulting services as described in Exhibit A attached hereto (the "Services").
1.2 The Consultant shall use its best efforts to provide the Services in
a professional and competent manner.
1.3 The Consultant shall not be responsible for any results or outcomes that are beyond the scope of the Services or that are caused by factors beyond the Consultant's control.
2. Term and Termination
2.1 The term of this Contract shall commence on [Start Date] and shall continue for a period of [Number of Months/Years] unless terminated earlier in accordance with the provisions of this Contract (the "Term").
2.2 Either party may terminate this Contract at any time by providing written notice to the other party, in which case the termination shall
be effective upon receipt of such notice.
2.3 Upon termination of this Contract, the Consultant shall promptly deliver to the Client all deliverables and materials provided under this Contract.
3. Fees and Payment
3.1 The Client shall pay the Consultant a fee of [Amount] (the "Fees") for the Services provided under this Contract.

4. Confidentiality
4.1 The parties agree to keep confidential any and all information disclosed to them by the other party in connection with this Contract, including but not limited to technical information, business plans, and customer lists (the "Confidential Information").
4.2 The parties shall not use the Confidential Information for any purpose other than the performance of their obligations under this Contract.
4.3 The obligations of confidentiality shall survive the termination or expiration of this Contract.
5. Intellectual Property
5.1 All intellectual property rights in and to the Services provided under this Contract shall be owned by the Consultant.
5.2 The Client shall have a non-exclusive, non-transferable, and
royalty-free license to use the Services for the purpose of receiving the benefits of this Contract.
6. Limitation of Liability
6.1 The Consultant shall not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with this Contract.
6.2 The total liability of the Consultant to the Client under this Contract shall not exceed the amount of Fees paid by the Client under this Contract.
7. Governing Law and Dispute Resolution
7.1 This Contract shall be governed by and construed in accordance with the laws of [Country/State].
7.2 Any disputes arising out of or in connection with this Contract shall be resolved through [Dispute Resolution Mechanism].
8. Entire Agreement
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof。
