This Deed of Appointment ("Appointment") is made and entered into on
this ______ day of ____________ ("Date"), by and between [Name of Principal], a [insert type of legal entity e.g. corporation, limited liability company, partnership, etc.] incorporated/registered under the laws of [Jurisdiction of Incorporation/Registration] with a registered address at [Address of Principal] ("Principal"), and [Name of Agent], a [insert type of legal entity e.g. individual, corporation, limited liability company, partnership, etc.] with a residential/business address at [Address of Agent] ("Agent").
WHEREAS, the Principal desires to appoint the Agent as its sole and exclusive agent and attorney-in-fact (the "Appointment") for the purpose of negotiating, entering into, and performing certain agreements and transactions on behalf of the Principal, in accordance with the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Appointment of Agent
The Principal hereby appoints the Agent as its sole and exclusive agent and attorney-in-fact for the purpose of negotiating, entering into, and performing agreements and transactions in respect of [insert nature of agreements and transactions, e.g. the sale and purchase of goods, the provision of services, etc.] (the "Authorized Activities") with third parties ("Counterparties") during the Term of this Appointment.
2. Authority of Agent
The Agent is authorized to act on behalf of the Principal in connection with the Authorized Activities, including but not limited to:
(a) entering into contracts, agreements, and other legal instruments with Counterparties on behalf of the Principal;
(b) negotiating and settling disputes and claims arising out of or in connection with the Authorized Activities;
(c) executing and delivering all such documents and instruments as may be necessary or appropriate to give effect to the Authorized Activities; and
(d) taking all such other actions and doing all such other things as may be necessary or appropriate to carry out the purposes of this Appointment.
3. Scope of Authority
The authority granted to the Agent under this Appointment shall be limited to the Authorized Activities and shall not extend to any other matters or transactions, whether similar or dissimilar, unless specifically expanded upon in writing by the Principal.
4. Term of Appointment
The Term of this Appointment shall commence on the Date hereof and shall continue for a period of [insert duration of appointment, e.g. one year, two years, etc.], unless earlier terminated in accordance with the terms hereof.
5. Termination
This Appointment may be terminated by either party upon [insert notice period, e.g. thirty (30) days'] written notice to the other party. 6. Indemnification
The Agent shall indemnify and hold harmless the Principal against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Agent's performance of its duties and obligations under this Appointment, except to the extent such claims, losses, damages,
liabilities, costs, and expenses are directly caused by the gross negligence or willful misconduct of the Principal.
7. Governing Law and Dispute Resolution
This Appointment shall be governed by and construed in accordance with the laws of [insert governing jurisdiction, e.g. New York, USA]. Any disputes, controversies, or claims arising out of or in connection with this Appointment shall be resolved by arbitration in accordance with the rules of the [insert arbitration institution, e.g. International Chamber of Commerce (ICC)], and the decision of the arbitrator(s) shall be final and binding upon the parties hereto.
8. Entire Agreement
