Sales Contract Template
This Sales Contract (the "Contract") is made and entered into as of [Date], by and between [Seller"s Name], a company organized and existing under the laws of [Country/State], with a registered address at [Seller"s Address] (hereinafter referred to as the "Seller"), and [Buyer"s Name], a company organized and existing under the laws of [Country/State], with a registered address at [Buyer"s Address] (hereinafter referred to as the "Buyer").
本销售合同（以下简称“合同”）于[日期]由以下双方订立并签署：[卖方名称]，一家根据[国家/州]法律组织并存在的公司，注册地址位于[卖方地址]（以下简称“卖方”），以及[买方名称]，一家根据[国家/州]法律组织并存在的公司，注册地址位于[买方地址]（以下简称“买方”）。

Article 1: Products and Quality
1.1 The Seller agrees to sell and the Buyer agrees to buy the following products (the "Products"): [List of Products].

1.2 The Products shall conform to the quality standards and specifications as set forth in Exhibit A attached hereto.

Article 2: Quantity and Price
2.1 The Buyer shall purchase from the Seller, and the Seller shall supply, the quantity of the Products as specified in Exhibit B attached hereto.
第二条：数量与价格
2.1 买方应从卖方购买，卖方应提供本合同附件B中指定的产品数量。

2.2 The purchase price for the Products shall be as stated in Exhibit B, and shall be paid by the Buyer to the Seller in accordance with the payment terms set forth therein.
2.2 产品的购买价格如附件B所述，买方应根据其中规定的付款条款向卖方支付。

Article 3: Delivery
3.1 The Seller shall deliver the Products to the Buyer"s designated address as specified in Exhibit B, within the delivery period agreed upon by both parties.
第三条：交付
3.1 卖方应在双方约定的交货期内，将产品交付至附件B中指定的买方指定地址。

3.2 The risk of loss or damage to the Products shall pass to the Buyer upon delivery.
3.2 产品损失或损坏的风险自交付之日起转移给买方。

Article 4: Warranties
4.1 The Seller warrants that the Products shall be free from defects in materials and workmanship for a period of [Warranty Period] from the date of delivery.
第四条：保证
4.1 卖方保证，产品自交付之日起在材料和工作质量方面无缺陷的期限为[保修期]。

4.2 In the event of any breach of the above warranty, the Buyer shall be entitled to the remedies set forth in Article 5 below.
4.2 如发生上述保证的任何违反，买方有权获得以下第五条规定的救济。

Article 5: Remedies for Breach
5.1 In the event of a breach of this Contract by the Seller, the Buyer shall have the right to demand the following remedies:

(a) Repair or replacement of the defective Products; or
（一）修理或更换有缺陷的产品；或
(b) A refund of the purchase price paid for the defective Products.
（二）退还购买有缺陷产品的款项。

Article 6: Governing Law and Dispute Resolution
6.1 This Contract shall be governed by and construed in accordance with the laws of [Governing Jurisdiction].
第六条：适用法律与争议解决
6.1 本合同应受[管辖法律]的约束，并按照该法律的解释进行解释。

6.2 Any disputes arising out of or in connection with this Contract shall be resolved by arbitration in accordance with the rules of the [Arbitration Institution].
6.2 因本合同产生的任何争议，应按照[仲裁机构]的规则通过仲裁解决。

IN WITNESS WHEREOF, the parties have executed this Contract as of the date first above written.
