Cooperative Agreement
This Cooperative Agreement (hereinafter referred to as the "Agreement") is made and entered into as of [Date] (the "Effective Date"), by and between [Party A], a company organized and existing under the laws of [Country], with its principal place of business located at [Address] (hereinafter referred to as "Party A"), and [Party B], a company organized and existing under the laws of [Country], with its principal place of business located at [Address] (hereinafter referred to as "Party B"). Party A and Party B may collectively be referred to as the "Parties".
WHEREAS, Party A and Party B desire to enter into a cooperative relationship for the purposes of [Purpose of cooperation];
WHEREAS, the Parties intend to mutually benefit from this cooperation and to achieve their shared goals;
NOW, THEREFORE, the Parties agree as follows:
1. Scope of Cooperation: Party A and Party B shall cooperate in the following areas, but not limited to: [Areas of cooperation]. The Parties may expand or modify the scope of cooperation by mutual written agreement.
2. Roles and Responsibilities: Each Party shall have the following roles and responsibilities in the cooperation:

3. Term: This Agreement shall commence on the Effective Date and continue until [End Date]. Either Party may terminate this Agreement upon [Notice period] written notice to the other Party.

Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing Party.
5. Intellectual Property: Each Party shall retain ownership of its pre-existing intellectual property. Any intellectual property created jointly during the cooperation shall be jointly owned by Party A and Party B, unless otherwise agreed upon in writing.
6. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Country]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in [City, Country].
7. Entire Agreement: This Agreement constitutes the entire agreement between the Parties, and supersedes all prior discussions, understandings, or agreements, whether written or oral, relating to the subject matter herein.
