Annual Legal Counsel Contract
This contract is made on the date of ________ (Date) by and between ________ (Client Company Name) and ________ (Legal Counsel's Name) for the purpose of engaging the Legal Counsel to provide legal advisory services to the Client Company.
I. Contracting Parties
The contracting parties are the Client Company and the Legal Counsel, both parties being duly authorized to enter into this contract.
II. Scope of Services
1. The Legal Counsel shall provide legal advisory services to the Client Company on a regular basis throughout the term of this contract, which includes, but is not limited to, advice on business law, contract review, legal risk assessment, and legal due diligence.
2. The Legal Counsel shall also assist the Client Company in drafting, reviewing, and negotiating contracts, as well as provide legal representation in legal proceedings, if necessary.
III. Term of Contract
This contract shall be effective as of the date of signing and shall continue for a period of ________ (Term in years or months), unless terminated earlier by either party giving written notice to the other.
IV. Fees and Payment
1. The Legal Counsel shall be paid an annual fee of ________ (Fee Amount) for the provision of legal advisory services.
2. Fees shall be paid in advance on a quarterly basis. The Client Company shall make payment to the Legal Counsel within ________ (Payment Days) upon receipt of invoice.
3. Additional fees may be charged for specific legal proceedings or complex matters, which shall be agreed upon in writing by both parties.
V. Confidentiality
Both parties shall maintain confidentiality of all information obtained during the term of this contract, except for information
that is already in the public domain or is required to be disclosed by law.

This contract may be terminated by either party giving written notice to the other party if there is a breach of any term of this contract that cannot be cured within a reasonable period of time.
VIII. Miscellaneous
1. This contract constitutes the entire agreement between the parties and no modification or amendment shall be effective unless made in writing and signed by both parties.
2. This contract shall be governed by and construed in accordance with the laws of the jurisdiction where this contract is executed.
3. Any disputes arising out of or in connection with this contract shall be resolved through negotiation. If negotiation fails, either party may submit the dispute to arbitration in accordance with the laws of the arbitration institution designated by both parties.
4. This contract may be executed in any number of counterparts, each of which shall be deemed an original, and together shall constitute one agreement binding on both parties.
