BETWEEN:

United Hydrocarbon Chad Limited, a pany incorporated in Bermuda, pany number 46483 whose registered office is at Canon’s Court, 22 Victoria Street, Hamilton,HM12, Bermuda represented via its Branch

office at Porte 1243 Rue 1033 Gen Daoud Soumaine, Quartier Aerogare, PO : 2784 Ndjamena, Chad (the “pany”); and

[insert Contractor#;s contracting entity], a pany registered in [insert country of registration] under pany registration number [insert registration number] and having its registered office at [insert registered address] (the “Contractor”).WHEREAS:

The Contractor is engaged in the business of performing well services for and supplying associated goods to the international oil and gas industry and has considerable skill, knowledge and e_perience in the performance of such services and the supply of such associated goods and is ready, willing and able to undertake the same in accordance with the Contract.

In reliance upon that skill, knowledge and e_perience the pany wishes to enter into the Contract under which the Contractor shall, on a call-off basis, perform such services for and/or supply such associated goods to the pany on the terms and conditions set out herein.NOW IT IS HEREBY AGREED as follows:

Definitions

E_cept where defined in this Form of Agreement, capitalised words and e_pressions used herein shall have the meanings ascribed to them in Clause 1.1 of Schedule I – Terms and Conditions.Documents

The follog documents shall form the Contract:

Schedule III – Rates and Prices

Schedule IV – Health, Safety, Environment, Social and Security

The Form of Agreement and the Schedules shall be read as one document, the contents of which, in the event of ambiguity or

contradiction between the Form of Agreement and the Schedules shall be given precedence in the order listed above.

The Contract and Duration

The Parties have agreed to enter into the Contract, which shall be effective from [insert date]/[the date first written above] (the “Effective Date”) and shall continue in effect [for [insert duration]]/[until [insert date]] (the “Initial Term”) unless e_tended or terminated in accordance with its terms.

The pany may at its sole discretion, by one or more notices to the Contractor served at any time prior to the e_piry of the Initial Term (or such period as e_tended by any previous notice or notices) e_tend the duration of the Contract on the same terms and conditions and by such additional period(s) as notified by the pany, provided that any such e_tension(s) shall not [e_ceed [insert duration] from the date of

e_piry of the Initial Term]/[e_tend the duration of the Contract past [insert date]] (the “E_tension Period”). E_cept to the e_tent that Schedule III – Rates and Prices requires the escalation or de-escalation of the rates and prices set out therein during the E_tension Period, the rates and prices licable during the Initial Term shall ly during the E_tension Period.In the event that any Work in progress will e_tend past the e_piry of the duration of the Contract, unless and to the e_tent the pany notifies the Contractor to the contrary, the Contractor shall continue to carry out such Work and the Contract shall automatically e_tend until either such Work is pleted in accordance with the provisions of the Contract or the pany instructs the Contractor to cease the same. All terms and conditions of the Contract shall be deemed to be in full force and effect for the duration of any such e_tension
