Article 1: Parties to the Contract。

第一条，合同双方。

Party A: [Full Name of the Seller] (hereinafter referred to as "Seller")。

Article 2: Product Description。

The Seller agrees to sell and deliver the following products to the Buyer:

Article 3: Price and Payment Terms。

The total price of the products shall be [Total Price] and shall be paid by the Buyer to the Seller in the following manner:

Advance Payment: [Percentage] of the total price shall be paid by the Buyer to the Seller upon signing this contract.

Article 4: Delivery and Shipment。

The Seller shall arrange for the delivery and shipment of the products to the Buyer's designated location at the Seller's expense.

The products shall be delivered to the Buyer within [Number of Days] days from the date of the advance payment.

Article 5: Quality Assurance and Inspection。

The Seller guarantees that the products delivered shall conform to the specifications and quality standards as agreed upon in this contract.

The Buyer reserves the right to conduct quality inspection of the products upon their arrival at the designated location. Any non-conformity found during the inspection shall be reported to the Seller for resolution.

Article 6: Force Majeure。

第六条，不可抗力。

Neither party shall be held liable for any delay or failure to perform its obligations under this contract due to force majeure events, including but not limited to natural disasters, wars, strikes, and government actions.

而延迟或未能履行本合同项下的义务，均不承担责任。

In the event of a force majeure event, the affected party shall notify the other party in writing within [Number of Days] days and take all reasonable measures to mitigate the impact of the event.

Article 7: Dispute Resolution。

第七条，争议解决。

Any dispute or claim arising out of or in connection with this contract shall be resolved through amicable negotiations between the Parties.

If the Parties fail to reach a resolution through negotiations, the dispute shall be submitted to the [Arbitration Institution] for arbitration in accordance with its rules.

Article 8: Governing Law。

第八条，管辖法律。

This contract shall be governed by and construed in accordance with the laws of [Governing Law], without regard to its conflict of law principles.

Article 9: Entire Agreement。
