Exhibition Contract Template。
This Exhibition Contract (the "Contract") is entered into as of [Date], by and between [Exhibitor Name] ("Exhibitor") and [Event Organizer Name] ("Organizer").
1. Exhibition Space。
The Organizer agrees to provide the Exhibitor with [Number] of square feet of exhibition space at the [Event Name] (the "Event"), to be held at [Venue] on [Date]. The Organizer will assign the specific location of the exhibition space to the Exhibitor at least [Number] days prior to the Event.
2. Payment。
The Exhibitor agrees to pay the Organizer the total amount of [Amount] for the exhibition space. Payment shall be made in full no later than [Date]. Failure to make payment by the due date may result in the forfeiture of the exhibition space.
3. Use of Exhibition Space。
The Exhibitor agrees to use the exhibition space solely for the purpose of displaying and promoting its products or services during the Event. The Exhibitor may not sublet, assign, or share the exhibition space without the prior written consent of the Organizer.
4. Set-Up and Tear-Down。
The Exhibitor shall have access to the exhibition space for set-up [Number] days prior to the Event and must vacate the space within [Number] hours after the Event concludes. The Exhibitor is responsible for the set-up, tear-down, and removal of all materials and equipment from the exhibition space.
5. Compliance with Laws and Regulations。
The Exhibitor agrees to comply with all applicable laws, regulations, and rules of the Event venue. This includes obtaining any necessary permits, licenses, or insurance required for the display of products or services at the Event.
6. Indemnification。
The Exhibitor agrees to indemnify, defend, and hold harmless the Organizer from and against any and all claims, liabilities, damages, and expenses arising out of or related to the Exhibitor's use of the exhibition space.
7. Insurance。
The Exhibitor shall maintain comprehensive general liability insurance with limits of not less than [Amount] per occurrence and [Amount] in the aggregate. The Organizer shall be named as an additional insured on the policy and the Exhibitor shall provide proof of insurance to the Organizer at least [Number] days prior to the Event.
8. Cancellation。
In the event that the Exhibitor wishes to cancel its participation in the Event, the Exhibitor must provide written notice to the Organizer at least [Number] days prior to the Event. A cancellation fee of [Amount] will be charged for cancellations made after this date.
9. Termination。
The Organizer reserves the right to terminate this Contract and remove the Exhibitor from the Event if the Exhibitor fails to comply with any of the terms and conditions set forth herein. In the event of termination, the Exhibitor shall forfeit all fees paid and may be held liable for any damages incurred by the Organizer.
10. Governing Law。
This Contract shall be governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of laws principles.
11. Entire Agreement。
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
