Shipping Contract
This Shipping Contract ("Contract") is made and entered into on [date] and between [Shipper's Name], a pany incorporated under the laws of [Shipper's Country/State] with its registered office at [Shipper's Address] ("Shipper"), and [Carrier's Name], a pany incorporated under the laws of [Carrier's Country/State] with its registered office at [Carrier's Address] ("Carrier").
1. Scope of Service
The Carrier agrees to transport the goods described in Appendix A attached hereto (the "Goods") from the port of loading at [Loading Port Name] to the port of discharge at [Discharge Port Name] in accordance with the terms and conditions of this Contract.
2. Shipping Dates and Deadlines
The Carrier shall undertake to load the Goods on board the vessel on or before [Loading Date] and to discharge the Goods at the port of destination on or before [Discharge Date]. Time is of the essence for these dates.
3. Freight Rate and Payment
The Shipper shall pay to the Carrier the freight rate as specified in Appendix B attached hereto (the "Freight Rate") within [Payment Due Date] days of the presentation of the invoice. Payment shall be made in [Currency] to the Carrier's bank account as indicated in this Contract.
4. Liability and Insurance
(a) The Carrier shall be liable for any loss or damage to the Goods caused the Carrier's negligence or default during the course of transportation, subject to the limitations and exclusions set forth in applicable international conventions and laws.
(b) The Shipper shall be responsible for obtning insurance coverage for the Goods to the extent required law or as mutually agreed.
5. Force Majeure
Neither party shall be liable for any flure or delay in performing its obligations under this Contract to the extent such flure or delay is caused an event of force majeure, as defined in applicable law.
6. Dispute Resolution
Any dispute arising out of or in connection with this Contract shall be resolved through amicable negotiation. If negotiation fls, the dispute shall be submitted to arbitration in accordance with the rules of [Arbitration Institution] and the place of arbitration shall be [Arbitration Location].
7. Governing Law
This Contract shall be governed and construed in accordance with the laws of [Governing Law Jurisdiction].
8. Entire Agreement
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
