In the event of more than one shipment being made each shipment is to be considered as a separate contract but the tolerance on the mean contract quantity is not to be affected thereby.4.NOMINATION OF SHIP:Buyers to give notice of nomination of ship to Sellers together with expected date of readiness to load, demurrage rate if applicable, flag, quantity in time for Sellers to receive it not later than 15 consecutive days before the date of the ship’s expected readiness to load. In the event of a string, the first Seller shall accept the nomination provided it has been received by him not later than 10 consecutive days before the date of the ships expected date of readiness to load.5.DOCUMENTARY INSTRUCTIONS:Buyers to give relevant documentary instructions, name of ship’s agent at loading port, port of discharge and country of destination not less than 7 consecutive days prior to estimated arrival of ship at loading port.6.SUBSTITUTION OF SHIP:Buyers are allowed to substitute the nominated ship provided that the substitute ship is expected to arrive no earlier than the original ship and not more than 10 consecutive days later unless otherwise agreed by Sellers. Buyers shall notify their Sellers and first Sellers (if known) of such substitution as soon as possible but not later than 2 business days before the expected arrival of the original ship.The original delivery period and any extension thereto shall not be affected by this clause.7.NOTICE OF READINESS:Notice of readiness at loading port to be given during local office hours and laytime to start counting 6 hours after such notice has been tendered. Should superintendents after inspection find ship’s tank/s requires further cleaning, time required to clean not to count as laytime. Laytime not to commence prior to expiry of minimum number of days pre-advice for nomination of ship unless Sellers agree to load earlier in which case laytime to commence when ship actually commences to load. All notices shall have been passed on with due despatch.8.LOADING:Freight space to be provided by Buyers who shall be solely responsible for the cleanliness and fitness of the ship's tank/s receiving the FAME. All expenses relating to the ship like wharfage, dockage, pilotage, port dues, tugs, any freight or transportation levy that may be imposed by government or local authority at port/s of loading shall be for Buyers’ account or risk.Sellers to deliver the FAME at not less than the loading rate stated in the Preamble. Where no such rate is stated loading shall be at an average rate of 100 metric tons per running hour provided the ship can receive at that rate. If any Seller fails to comply and demurrage is thereby incurred he shall be liable to pay demur-rage at the rate stipulated in the Preamble or where no such rate is stipulated at the rate of US $18,000 per day/pro rata, or as per Charter Party whichever is the lower. Should commencement of loading by delayed by more than 72 hours after acceptance of the Notice of Readiness due to ship’s tank/s not being passed by the appointed superintendent or for any other reason for which Sellers are not contractually responsible, any extra costs incurred by Sellers shall be for Buyers’account.123 4567 891011 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 37 38 39 40 41 42 43 44 45 46 47 48 49Each delivery to be considered a separate contract.For the purpose of this contract the word “ship’’ or “ships’’ means any full powered primarily engine-driven ship classified not lower than 100 A1 in Lloyds Register or of equivalent classification of a similar institute.Sellers to be responsible for obtaining export licence, if required.9.SUPERINTENDENTS:Reference in the contract to superintendents, surveyors or representatives shall mean member superintendents of FOSFA International. The use of member superintendents shall be mandatory except where—(i)the contract or national laws or regulations require the use of Governmental or other agencies not recognised by FOSFA International;(ii)no member superintendent/s is/are available or proximate to the port/s concerned.10.ANALYSTS:Reference in the contract to analysts shall mean analysts who are member analysts (Category D1 or D2) of FOSFA International and represent-ed in the Oils and Fats Section.The use of member analysts shall be mandatory except where the contract or national laws or regulations require the use of Governmental or other analysts.11.SAMPLING AND ANALYSIS:General:Sampling shall be done in accordance with the method in ISO 5555.Should either party fail to appoint a superintendent then the samples drawn by the superintendent present shall be the valid samples for the purposes of analysis and/or arbitration and contamination.The analyses shall be carried out in accordance with the methods laid down in the FOSFA International Standard Contractual Methods List.Details of seals and labels shall be given on loading weight report(s) and analysis certificate(s).All samples drawn under the terms of this contract when delivered to FOSFA International or to the analyst(s) to become their absolute property.The analysis certificate(s) shall bear the FOSFA International official seal.Sampling:Representative sample(s) of the FAME delivered to each vessel’s tank shall be drawn conjointly by Buyers’ and Sellers’ superintendents at vessel’s rail or the nearest practicable point thereto prior to loading and sealed for analysis and/or arbitration and contamination purposes.If the FAME to be shipped is not to be commingled in the vessel(s) tank(s) with FAME loaded by any other Seller(s), Sellers under this contract have the option that the sample(s) shall be drawn from the vessel(s) tank(s). However, if this option is exercised and to ensure that samples are available in the event of a contamination claim, Buyers’ and Sellers’ superintendents shall conjointly draw and seal no less than five representative pre-shipment samples of the FAME delivered to each vessel’s tank at the vessel’s rail or the nearest practicable point thereto prior to loading. These samples are to remain sealed with Sellers’ superintendents at origin but to be available on demand to any receiver in the event of a contamination claim. Samples should be kept for three months from the date of the Bill of Lading.If the FAME is not loaded within 15 consecutive days of the contract period, then representative sample(s) to be drawn by Buyers’ and Sellers’ superintendents at the storage installation or the producing factory at or near the port of delivery at the end of the extension period allowed under the Extension Clause.Any extra expenses necessarily incurred by Sellers to facilitate drawing of samples for establishment of quality at end of extension shall be for Buyers’ account. Analysis:Sellers or their superintendents shall send sealed sample(s) for analysis on the contractual specifications to an analyst.Notwithstanding Buyers’ obligation to pay on presentation of documents as laid down in the Payment Clause of this contract either party shall have the right to claim a second and/or third analysis for any one or more individual contractual specification(s). The party requesting such analysis shall, within five business days after receipt of the preceding analysis, notify the other party, arrange for a sealed sample to be sent to another analyst, and give the necessary instructions to the analyst. In the event this contract forms part of a string of contracts for the same goods on the same terms, notice(s) of second and third analysis by intermediate parties shall be accepted by the other party although received after such time, provided notices by intermediate parties have been passed on with due despatch. If two analyses are made, the mean of the two results, and if three analyses are made, the mean of the two results closest to each other, as the case may be, shall be binding and form the basis of final settlement. Where the results of the three analyses are such that the above formula does not apply, the mean of the three shall be taken as final.Should by claiming a second and/or third analysis and applying the above formula the FAME exceed the agreed maximum for any one or more individual contract specifications, the FAME not to be rejected but to be taken with an allowance to be agreed upon or fixed by arbitration, provided always that the result(s) of the first analysis conformed to the contract specifications.Parties shall pass on certificate(s) of analysis with due despatch.Analysis fees shall be for account of the party ordering the analysis.Analysis of sample(s) taken at time of loading or, in the event of the FAME not being loaded within 15 consecutive days of the contract period, at the end of the exten-sion period allowed under the Extension Clause, to be final.12.EXTENSION:Buyers shall be entitled to an extension of the original contract delivery period not exceeding 15 days in which to provide suitable freight. Notice of such extension shall be given to Sellers as soon as possible but not later than the last business day of the original contract delivery period. Sellers undertake to carry the FAME for Buyers’ account for such an extended period at the rate stipulated in the Preamble or where no such rate is stipulated at the rate of US $0.50 per ton per day. Buyers need not state the exact number of days they require when giving such notice. If an extension is claimed five days pre-advice shall be given to Sellers of ship’s expected readiness to load. Sellers shall complete loading after the expiry of the extension period, provided Buyers present Notice of Readiness to load within the extended period. If loading is commenced within 15 days after the original contract delivery period, payment shall be made in accordance with the Payment Clause. In the event that loading is not commenced within 15 days of the original contract delivery period the provisions of the Default Clause shall apply and Buyers shall additionally pay to Sellers an amount equal to carrying charges for the total extension period. However, Buyers have the option, provided they give Sellers minimum 4 business days pre-advice, to effect payment against warrant, delivery order or similar document, in place of the Bill of Lading or Mate’s Receipt, giving unencumbered title to the quantity called for, issued by an installation or the producing factory at or near the port of delivery. Sellers also to provide Certificate of Analysis and Certificate of Origin. The warrant, delivery order or similar document to be guaranteed by a Bank if requested by Buyers in the pre-advice. The expenses of such Bank guarantee to be for Buyers’ account. Thereafter, all costs of whatsoever nature arising (including the cost of removing the FAME to separate other storage but excluding those of putting the FAME FOB ruling on the 15th day of the extension) shall be paid by Buyers. If Buyers exercise their option to take delivery in store, Sellers shall nevertheless deliver to the ship if it presents in time for loading to commence before the expiry of the extension period.13.INSURANCE:Marine and War Risks insurance to be covered by Buyers for their account with first class underwriters and/or companies.14.PAYMENT:Buyers shall pay on presentation of documents in the above named place the invoice amount (including carrying charges, if incurred) by cash against clean “on board” Bill/s of Lading or clean “on board” Mate’s Receipt, superintendent’s report on weight, Certificate of Analysis and Certificate of Origin issued by the Chamber of Commerce or other governmental institution in the country of origin unless a specific form has been agreed, declared by Buyers or other document required under the Duties, Taxes, Etc Clause.If documents are presented to Buyers through the intermediary of a bank/s then the bank charges incurred shall be for Sellers’ account. If Buyers demand presentation through a bank of their choice, those bank charges shall be for Buyers’ account.Payment shall not be deemed to have been effected before receipt of cleared funds by the payee or his bank. If payment is agreed to be by bank transfer, the party shall effect payment to the payee’s bank on or before the due date for payment and payment instructions shall specify a value date not later than the second bank working day after the day of payment.Any monies due by either party to the contract to the other in respect to final invoices and/or accounts for items on deliveries fulfilling this contract shall be settled by either party not later than 21 days from the date of the invoice, (except as otherwise provided under awards of arbitration or appeal as governed by the other provisions in the contract) and if not settled a dispute shall be deemed to have arisen which may be referred to arbitration.15.INTEREST:If any payment is not made on or before the due date for payment, interest shall be payable.If there is no due date for payment, interest shall be payable if there has been an unreasonable delay in payment. Interest payable shall be appropriate to the currency involved. If the rate of interest is not mutually agreed, a dispute shall be deemed to exist which shall be settled by arbitration in accordance with the Arbitration Clause.Nothing in this clause shall affect a party’s right to invoke the provisions of the Default Clause in a case where a failure to effect timely payment could give rise to a claim under that clause.16.WEIGHTS:Shipped weights, as ascertained by a recognised independent Surveyor. Buyers may appoint a representative to superintend weighing on their behalf. Sellers shall ascertain the weight at their expense under Buyers’ superintendence by gauging either in officially calibrated land tank/s or tank barge/s from which the FAME is delivered or by delivery via certified weight scales, or from tank cars which, if not calibrated, shall be weighed before and after loading by single weighing only (front and back axle weighing not allowed). In the event of disagreement between Sellers’ and Buyers’ superintendents on the question of litre weight in air, sealed samples shall be submitted to an analyst in membership of the Federation and represented in the Oils and Fats Section whose decision shall be final.17.UNASCERTAINED GOODS:In every instance where a parcel of goods sold by this contract forms an unidentified part of a larger identified quantity of goods of the same description, whether in packages or in bulk, no separation or distinction shall be necessary and, until separation and identification of the parcel sold hereby from the larger quantity has taken place the unpaid Seller and/or the Buyer who has made payment is/are the pro rata owner/s of the whole of the larger quantity in common with Seller/s and Buyer/s of the other parts of the larger quantity.18.DUTIES, TAXES ETC:All export duties, taxes, levies etc, to be for Sellers’ account but any variation after the original contract delivery period to be for Buyers’ account.Where the goods are entitled to free entry into or preferential duty in the port of destination, Sellers shall furnish together with the shipping documents a Certificate of Origin and/or necessary document/s in the form valid at the time of shipment, otherwise Sellers shall be responsible for any extra duty incurred by Buyers through the non-production of such Certificate and/or document/s.50 51 52 53 54 55 56 57 58 59 60 61 62 63 64 65 66 67 68 69 70 71 72 73 74 75 76 77 78 79 80 81 82 83 84 85 86 87 88 89 90 91 92 93 94 95 96 97 98 99 100 101 102 103 104 105 106 107 108 109 110 111 112 113 114 115 116 117 118 119 120 121 122 123 124 125 126 127 128 129 130 131 132 133 134 135 136 137 138 139 140 141 14219.NOTICES:Notices to be despatched by any means of rapid written communication (E-mail excluded). All notices shall be under reserve for errors in trans-mission. Notices shall be passed on with due despatch by intermediate Buyers and Sellers. Any notice received after 16.00 hours on a business day shall be deemed to have been received on the following business day. Notice from a broker shall be a valid notice under this contract. Proof of string to be provided, if required, by either party.20.NON-BUSINESS DAYS:Should the time limit for doing any act or giving any notice expire on a Saturday, Sunday or any public holiday in the country where the party required to do the act or give the notice resides or carries on business or in the country where the act has to be done or the notice has to be received or on any day which the Federation shall declare to be a non-business day the time so limited shall be extended until the first business day thereafter. All business days shall be deemed to end at 16.00 hours Mondays to Fridays inclusive. The contract delivery period not to be affected by this clause.21.ODD DAYS:In any month containing an odd number of days the middle day shall be reckoned as belonging to both halves of the month.22.FORCE MAJEURE:Should Sellers be prevented from loading the goods on board Buyers’ ship or should buyers be prevented from taking delivery by reason of fire, strikes, lockouts, riots, civil commotion or any cause comprehended in the term Force Majeure at the port/s of loading, or elsewhere preventing transport of the goods to such port/s, the contract delivery period shall be extended by 21 days beyond the termination of the Force Majeure event. Should such cause exist for a period of 60 days beyond the contract delivery period, the contract or any unfulfilled part thereof so affected shall be cancelled. The party invoking this clause shall advise the other with due despatch. The party claiming Force Majeure must produce proof to justify their claim if required.23.PROHIBITION:In the event, during the contract delivery period, of prohibition of export or any other executive or legislative act by or on behalf of the Government of the country of origin or of the territory where the port/s of delivery named herein is/are situate, or of blockade or hostilities, restricting export, whether partially or otherwise, any such restriction shall be deemed by both parties to apply to this contract and to the extent of such total or partial restriction to prevent fulfilment whether by delivery or by any other means whatsoever and to that extent this contract or any unfulfilled portion thereof shall be extended by 21 days beyond the termination of the prohibition event. But should prohibition continue for 30 days, the contract or any unfulfilled part thereof shall be cancelled. Sellers invoking this clause shall advise Buyers with due despatch. If required, Sellers must produce proof to justify their claim for extension or cancellation under this clause.24.BANKRUPTCY/INSOLVENCY:If before the fulfilment of this contract, either party shall suspend payment, notify any of his creditors that he is unable to meet his debts or that he has suspended payment or that he is about to suspend payment of his debts, convene, call or hold a meeting of his creditors, propose a voluntary arrangement, apply for an official moratorium, have an administration order made, have a winding up order made, have a receiver or manager appointed, convene, call or hold a meeting to go into liquidation (other than for reconstruction or amalgamation), become subject to an Interim Order under Section 252 of the Insolvency Act 1986 or have a Bankruptcy Petition presented against him the contract shall forthwith be closed, either at the actual or estimated market price then current for similar goods or, at the option of the other party, at a price to be ascertained by re-purchase or re-sale and the difference between the contract price and such closing-out price shall be the amount which the other party shall be entitled to claim or shall be liable to account for under this contract. Should either party be dissatisfied with the price ascertained by re-purchase or re-sale, then the matter shall be referred to arbitration. If no re-purchase or re-sale takes place and if the parties cannot agree to a closing-out price, then on application of either party, the closing-out price shall be fixed by a sole arbitrator appointed by the Federation subject to the right of appeal under the Federation’s Rules of Arbitration and Appeal.25.CIRCLE:Where a Seller repurchases from his Buyer, or from any subsequent Buyer, the same goods or part thereof, a circle shall be considered to exist as regards the particular goods so repurchased, and the provisions of the Default Clause shall not apply. (For the purpose of this clause the same goods shall mean goods of the same description, of the same country of origin, of the same quality and, where applicable, of the same analysis warranty, for delivery from the same port/s of loading during the same period of delivery.) Different currencies shall not invalidate the circle.If the goods are not delivered or, having been delivered, documents are not presented as a result of a circle having been established, invoices based on the mean contract quantity shall be settled between each Buyer and his Seller in the circle by payment by each Buyer to his Seller of the excess of the Seller’s invoice amount over the lowest invoice amount in the circle.Where the circle includes contract/s expressed in different currencies, the lowest invoice amount shall be replaced by the market price on the first business day for contractual delivery and invoices shall be settled between each Buyer and his Seller in the circle by payment of the difference between the market price and the relevant contract price in the currency of the contract. Failing amicable agreement the market price shall be that declared by a Price Settlement Committee of the Federation appointed for that purpose on application of either party.Such settlement shall be due for payment not later than 15 consecutive days after the last day of the delivery period or, should the circle not be established before the expiry of this time, then settlement shall be due for payment not later than 7 days after the circle is established. No circle shall be considered to exist if its existence is not established within 45 days after the last day of the delivery period.All Sellers and Buyers shall give every assistance to the establishment of the circle and when a circle shall have been established same shall be binding on all parties to the circle. Should any party in the circle commit prior to the due date for payment any act comprehended in the Bankruptcy/Insolvency Clause, the invoice amount for the goods calculated at the closing-out price as provided for in the Bankruptcy/Insolvency Clause, shall be taken as the basis for settlement instead of the lowest invoice amount or market price in the circle, and in this event each Buyer shall make payment to his Seller or each Seller shall make payment to his Buyer of the difference between the closing-out price and the contract price, as the case may be.In the event of a claim under the Prohibition Clause or the Force Majeure Clause the date for settlement shall be deferred until the expiry of the extended delivery period. Thereafter, if the contract is cancelled under the terms of the Prohibition Clause or the Force Majeure Clause, this clause is not applicable.26.DEFAULT:In default of fulfilment of this contract by either party, the other party at his discretion shall, after giving notice, have the right either to cancel the contract, or the right to sell or purchase, as the case may be, against the defaulter who shall on demand make good the loss, if any, on such sale or purchase. If the party liable to pay shall be dissatisfied with the price of such sale or purchase, or if neither of the above rights is exercised, the damages, if any, shall, failing amicable settlement, be determined by arbitration. The damages awarded against the defaulter shall be limited to the difference between the contract price and the actual or estimated market price on the day of default. Damages to be computed on the mean contract quantity. If the arbitrators consider the circumstances of the default justify it they may, at their absolute discretion, award damages on a different quantity and/or award additional damages.Prior to the last day of the contract delivery period either party may notify the other party of its inability to deliver or take delivery but the date of such notice shall not become the default date without the agreement of the other party. If, for any other reason, either party fails to fulfil the contract and is declared to be in default by the other party and default is agreed between the parties or subsequently found by the arbitrators to have occurred, then the day of the default shall, failing amicable settlement, be decided by arbitration.27.DOMICILE:This contract shall be deemed to have been made in England and the construction, validity and performance thereof shall be governed in all respects by English Law. Any dispute arising out of or in connection therewith shall be submitted to arbitration in accordance with the Rules of the Federation. FOSFA Rules

Any dispute arising out of a contract or contracts subject to these Rules, including any questions of law arising in connection therewith, shallbe referred to arbitration in London (or without prejudice to the juridical seat elsewhere if so agreed) in accordance with the Arbitration Act1996 and any statutory modification or re-enactment thereof for the time being in force.The juridical seat of the arbitration shall be, and is hereby designated pursuant to Section 3 of the Arbitration Act 1996 as, England.Each party engaging in an arbitration or an appeal pursuant to these Rules, whether or not a Member of the Federation, is deemed thereforeto abide by these Rules and to agree with the Federation to be liable to the Federation (jointly and severally with the other parties to the arbi-tration or appeal) for all fees and expenses incurred in connection with the arbitration or appeal, which said fees and expenses shall, upon noti-fication by the Federation under the provisions of Rules 1(b), 1(f), 6(b) and 9, be and become a debt due to the Federation.1.APPOINTMENT OF ARBITRATORS/UMPIRE(a)Each party shall appoint an arbitrator who shall have accepted the appointment. However the two parties may by agreement appoint asole arbitrator who shall have accepted the appointment. Any reference to arbitrators in these Rules shall also be taken to refer to asole arbitrator. Each party shall advise the Federation promptly of the name of any arbitrator which that party has appointed.(b)If two arbitrators have been appointed they shall, if and when they disagree, appoint an umpire. If the arbitrators fail to agree on theappointment of an umpire, they shall notify the Federation which shall appoint an umpire. The Federation shall charge a fee, to be fixedby the Council from time to time, on such appointment.(c)Only Trading, Full Broker and Full Non-Trading Members or their nominated representative/s to the Federation shall have the rightto act as arbitrators or umpires subject to retirement at age 75, if still active in the trade, or two years after retirement, whichevercomes first. No person shall be eligible to act who, or whose company or firm has any direct or indirect interest in the transactionin the dispute. No person shall be eligible to proceed as an arbitrator or umpire who is already proceeding as an arbitrator or umpirein 10 disputes, excluding arbitrations on quality and/or condition and any arbitration stayed by Order of the Court. Any arbitration otherthan on quality and/or condition that is being held as between the first Seller and the last Buyer in a string shall be counted as a sin-gle dispute.(d)If the party claiming arbitration has notified the other party and the Federation in accordance with Rule 2(a) or 2(b) and that party fails toappoint an arbitrator within the time specified, or in the event that an arbitrator refuses to act, becomes incapable of acting or ineligibleto act, or delays unduly, and the party who made the appointment omits to appoint a substitute, then the other party may apply to theFederation in accordance with Rule 1(f) for the appointment of an arbitrator to act on behalf of the party who failed to appoint an arbitra-tor or substitute as the case may be.(e)Any application to the Federation as mentioned under Rule 1(b) and 1(d) shall be accompanied by a copy of the notice of claim for arbi-tration together with a copy of the contract.(f)The Federation on receiving an application to appoint under Rule 1(d) shall charge the appropriate fee fixed by the Council from timeto time. The Federation will notify the party who has failed to make an appointment or a substitution of its arbitrator, as the case maybe, that the Federation intends to make such an appointment unless that party makes its own appointment within 14 consecutive daysof notice being dispatched to it by the Federation. In the absence of an appointment being notified to the Federation within the stipu-lated period the Federation shall make such an appointment.2.PROCEDURE FOR CLAIMING ARBITRA TION AND TIME LIMITS(a)Claims on quality and/or condition:(i)If the claim is not to be supported by certificate/s of contractual analysis/ses, the party claiming arbitration shall despatch the notice ofclaim with the name of his appointed arbitrator to the other party within 21 consecutive days from the date of completion of dischargeof the goods and shall at the same time notify the Federation and despatch sealed sample/s to the office of the Federation, where suchsample/s shall be held at the disposal of the arbitrators and/or umpire. The other party shall nominate an arbitrator and notify his nameto the Federation within 7 consecutive days from receipt of such notice. Notwithstanding the above, if the claimant requires a support-ing analysis then a further sample shall have been dispatched to the analyst within 21 consecutive days from the date of completionof discharge of the goods.For FOB, ex tank, ex mill and ex store contracts under 2(a) the word !(R)delivery!ˉshall be read in place of !(R)discharg(ii)If the claim is to be supported by certificate/s of contractual analysis/ses, the notice under 2(a)(i) shall be dispatched and the Federationnotified within 14 consecutive days from the date of the final analysis certificate. The other party shall nominate an arbitrator and noti-fy his name to the Federation within 7 consecutive days from the receipt of such notice.(iii)If the claim relates to goods sold as fair average quality and the contract provides for a standard average for the month of shipmentbeing made, the notice shall be dispatched and the Federation notified within 14 consecutive days of the publication in the tradelists that the standard has been or will not be made. The other party shall nominate an arbitrator and notify his name to theFederation within 7 consecutive days from the receipt of such notice.If the arbitration is not proceeded with within 14 consecutive days of the appointment of the arbitrator acting for the respondent, theneither party may apply to the Federation in accordance with Rule 1(d) for the appointment of a substitute.(b)Claims other than on quality and/or condition shall be notified by the claimant with the name of an arbitrator to the other party and tothe Federation within the time limits stipulated in this Rule:(i)For goods sold(1) On CIF, CIFFO, C&F and similar contract terms: not later than 120 consecutive days after the expiry of the contract period of ship-ment or of the date of completion of final discharge of the goods whichever period shall last expire. The other party shall nominatean arbitrator and notify his name to the Federation within 30 consecutive days from receipt of such notice.(2) On FOB terms: not later than 120 consecutive days after the expiry of the contract period of shipment. The other party shallnominate an arbitrator and notify his name to the Federation within 30 consecutive days from receipt of such notice.(3) On any other terms: not later than 120 consecutive days after the last day of the contractual delivery period. The other partyshall nominate an arbitrator and notify his name to the Federation within 30 consecutive days from receipt of such notice.(ii)In respect of any monies due by one party to the other, not later than 60 consecutive days after the dispute has arisen. The otherparty shall nominate an arbitrator and notify his name to the Federation within 30 consecutive days from receipt of such notice.(c)Claims for arbitration shall be made by any means of rapid written communication (facsimile machines excluded unless acknowledge-ment is received). Either party has a right of appeal against the arbitra-tors!ˉ/umpire!ˉs decision, in which case the Board of Appeal have the same rights as the arbitrators under this claus(e)Failure to notify the Federation as required by Rule 1(a), 2(a) or 2(b) shall not in itself debar a claim for arbitration nor prevent anarbitration proceeding but shall be taken into account by arbitrators, umpire or Board of Appeal in exercising their discretion underRule 2(d).PSE OF CLAIMIf neither the claimant nor the respondent submits any documentary evidence or submissions to the arbitrator appointed by or for him withthe copy to the other party within the period of one year from the date of appointment of the first named arbitrator, then the claim to arbi-tration shall be deemed to have lapsed on expiry of the said period of one year unless before that date the claim is renewed by a furtherclaim for arbitration to be made by either party notifying the other before the expiry date. Any such renewal shall be for a period of one yearfrom the date of the giving of notice of renewal when it shall lapse again unless renewed in the like manner as the first renewal or unlessby then documentary evidence or submissions have been submitted by either the claimant or the respondent. In the event of failure to renewa claim as provided in this Rule such claim shall be deemed to have been withdrawn and abandoned unless the arbitrator/s shall in his/theirabsolute discretion otherwise determine upon such terms as he/they may think fit.4.PROCEDURE FOR ARBITRATIONSAll submissions, interlocutory applications and related correspondence referred to under this Rule shall be dispatched within any of thespecified time limits to:one copy to each of the appointed arbitrators;one copy to the Federation;one copy to the other party.(a)Claims under Rule 2(a) (quality and/or condition):(i)The party claiming arbitration shall despatch in writing his submission together with supporting documents within 10 consecutivedays of the claim for arbitration.(ii)If the party against whom a claim is made wishes to reply to the claimants submission, such reply together with supporting doc-uments shall be dispatched in writing within 14 consecutive days of the receipt thereof. Failing receipt of such reply, the arbitra-tors shall proceed with the arbitration without delay.(iii)In arbitration under Rule 2(a)(i) and 2(a)(iii), the Award of the arbitrator/s or umpire shall bedispatched to FOSFA International fortyping within 28 consecutive days from the date of the claim or the date of the publication of the standard.(b)Claims under 2(b) (other than on quality and/or condition):(i)The party claiming arbitration shall despatch in writing his submission together with supporting documents without delay.(ii)If the party against whom a claim is made wishes to reply, such reply together with supporting documents shall be dispatched inwriting without delay. Failing receipt of such reply, the arbitrators shall proceed with the arbitration without delay.(c)When arbitrators appoint an umpire they shall also notify the Federation.(d)A sole arbitrator or the arbitrators, by mutual agreement, or the umpire, or the Board of Appeal, as the case may be, shall have dis-cretion to extend the time limits under Rule 4(a).(e)If one party has submitted any document to the arbitrator/s which has not been submitted to the other party, then a copy thereof shallbe supplied to that party by the arbitrator/s prior to the hearing.(f)The arbitrator/s or the umpire, as the case may be, shall have the power to request further information or documents from either of theparties, to hear oral submissions or evidence if they or he so desire and to make such directions relating to the conduct of the arbitra-tion as they or he think fit. The parties shall be entitled to a reasonable period within which to comply with any such request but the arbi-trators or the umpire, as the case may be, having given reasonable notice, may make an Award if such requests have not been com-piled with.(g)If either party has expressed a wish to be present, the arbitrators or the umpire shall give reasonable notice to the parties of the date,time and place when any oral evidence or additional submissions may be heard and both parties to the arbitration or their authorisedrepresentatives may attend any such hearing but may not have present or be represented by counsel, solicitor or any member of thelegal profession wholly or principally engaged in legal practice.(h)The arbitrator/s or the umpire at their absolute discretion may require the claimant to lodge a deposit with the Federation on account ofthe fees, costs and expenses of the arbitration before proceeding. If after the expiration of 14 consecutive days after the notification tothe claimant of the deposit required the claimant not having paid such deposit, the arbitration shall be stayed until such time as thedeposit is paid. In the event that the deposit is not paid within 28 consecutive days the arbitration shall be deemed to be permanentlystayed unless the arbitrator/s or umpire in the exercise of their absolute discretion decide to continue the arbitration.(i)If any party to an arbitration considers that either arbitrator or the umpire is failing to exerciseall reasonable despatch in entering on orproceeding with the arbitration then that party may notify the Federation accordingly in writing with full details. Upon receipt of suchnotice the Federation shall call upon the arbitrator or umpire to explain the reasons for the delay. The arbitrator or umpire must furnishthe Federation with such an explanation within 7 days of the Federation!ˉs request for such an explanation. If the Federation i not sat-isfied with the arbitrators!ˉor umpire!ˉs explanatiothe Federation shall fix a 7 day period in which the arbitrator or umpire is to take the nextstep required to be done in proceeding with the arbitration. Should the arbitrator or umpire fail to respond to the Federation!s request for anexplanation or fail to take the next step required to be done in proceeding with the arbitration, within the 7 day period then the Federationshall have the right to require the arbitrator or umpire to resign his position as arbitrator or umpire in that particular arbitration. The arbi-trator or umpire shall be deemed to have resigned his position 14 consecutive days after despatch to him of the Federation!ˉs wittenrequirement that he resigns his appointment unless otherwise decided by the Federation.An arbitrator or umpire who is called upon to resign his position as arbitrator or umpire under this provision shall not be entitled toreceive any remuneration in respect of his services provided in the particular arbitration in question unless otherwise decided by theFederation. Where an arbitrator resigns his position under this provision then the party who appointed the arbitrator shall appointanother duly qualified arbitrator in his place within 14 days of the notice being dispatched in accordance with the provisions of Rule1. If that party does not so appoint then the Federation shall make such an appointment and shall charge the defaulting party theappropriate fee fixed by the Council from time to time being in force.Where an umpire resigns his position under this provision then the two arbitrators who have appointed him shall appoint another umpirein his place, within 7 days of being notified of the resignation of the umpire. If the arbitrators do not so appoint then the Federation shallmake such an appointment in accordance with its powers under Rule 1(b).In circumstances where an arbitrator or umpire is removed from an arbitration by the Federation as provided for above, the Federationmay, by a decision of the Council, also suspend or remove that person!ˉs right to act as an arbitrator or umpire and to serve o theAppeal Panel.5.JURISDICTION(a)The arbitrators may rule on their own jurisdiction as to whether there is a valid arbitration agreement. If arbitrators agree that they haveno jurisdiction they shall jointly advise the parties in writing.(b)If the arbitrators cannot agree that they have jurisdiction they shall appoint an umpire underRule 1(b) who shall first determine thequestion of jurisdiction.(c)If the umpire decides that he has no jurisdiction then he shall advise the arbitrators in writing who shall advise the parties in writing.(d)If the umpire decides that he does have jurisdiction, he shall proceed with the arbitration without delay.(e)A right of appeal to the Appeal Panel of the Federation shall apply to Rules 5(a) and 5(c).6.PROCEDURE FOR ARBITRATION AWARDS(a)Awards, which shall incorporate the reasons therefore, shall be in writing on the official form of the Federation and the arbitrators or theumpire shall have the power to assess and award their fees and award by whom these and other fees and expenses of the arbitrationshall be paid. The Federation!ˉs fees shall be those in force as prescribed by the Council of the Federation(b)When an Award has been signed it shall be the duty of the arbitrators or the umpire to lodge the original and one copy with theFederation who shall date them and give notice to the parties named in the award that the award is at their disposal upon payment ofthe fees and expenses of the arbitration. Such payment must be received by the Federation within 42 days of the date of the awardor the parties shall forfeit their right to appeal against the award under Rule 7. On receipt of payment, the Federation shall immedi-ately send the original award to the party who has paid and send a copy to the other party. Until payment has been made, the con-tents of the award shall under no circumstances be divulged.(c)Should the contract form part of a string of contracts which are in all material points identical in terms, except as to the date and price,then:(i)In any arbitration for quality and/or condition, as mentioned in Rule 2(a), the arbitration shall be held as between the first Seller andthe last Buyer in the string as though they were contracting parties.Any Award so made (in these Rules called the String Award) shall, subject to the right of appeal as provided in these Rules, bebinding on all the intermediate parties in the string, and may be enforced by any intermediate party against his immediate con-tracting party as though a separate award has been made under each contract.(ii)In other cases arbitration shall only be held as between the first Seller and the last Buyer in a string as though they were contract-ing parties if all parties in the string agree in writing and provided each intermediate party shall have submitted his contract and allrelevant information to the arbitrators. A separate Award shall be made in respect of each contract.7.PROCEDURE FOR CLAIMING APPEAL AND TIME LIMITS(a)Any party to an award of arbitration shall have the right to appeal to the Appeal Panel of the Federation provided that payment of thefees and expenses of the arbitration was made to the Federation within 42 days of the date of the award as per Rule 6(b) and that noticeof appeal is received by the Federation not later than 12.00 hours on the 28th consecutive day after the date on which the award is sentto the parties, in accordance with Rule 6(b).(b)The appellant when giving notice of appeal to the Federation shall at the same time send a copy to the other principal to the contractand arrange to pay to the Federation a deposit as prescribed by the Council of the Federation on account of fees, costs and expensesof the appeal, which is to be received by the Federation not later than 7 consecutive days after receipt of the notice of appeal.If due to currency regulations payment of the deposit is not possible within the 7 day time limit an extension of 14 consecutive days shallbe granted for the payment of the deposit provided that the appellant has produced satisfactory evidence from a bank that the applica-tion for the transfer of the deposit has been made.(c)Every notice given to a party to any string Award shall be passed on with due despatch by that party and such passing on, provided itis done with due despatch shall be deemed to be in compliance with the procedure for claiming appeal.(d)Should it not be possible to perform any of the foregoing acts within the time limits stipulated, application may be made to the Federationfor an extension of the time limit, which extension may be granted at the absolute discretion of the Federation.(e)The appellant shall within 21 days of lodging the appeal, provide the Federation and the other party with an outline of the reasons forappeal.8.PROCEDURE FOR APPOINTMENT OF BOARDS OF APPEAL(a)The appeal shall be determined by a Board of Appeal consisting of five members appropriately appointed by the Federation fromthe Appeal Panel. No member of the Panel who, or whose company or firm, has any direct or indirect interest in the transaction indispute or who has acted as arbitrator or umpire in the case, nor any member of the same company or firm to which either of thearbitrators or the umpire belong, shall be entitled to be appointed a member of the Board of Appeal.(b)In the case of illness or death, or refusal, or incapacity, or inability to act, of any member appointed to serve on a Board of Appeal,the Federation shall appoint a substitute from the Appeal Panel in his place. Nevertheless if only four members of the Board are ableto serve on the day of the substantive hearing, they may, subject to the agreement of the parties or of their duly authorised repre-sentatives, exercise all the powers of the Board of Appeal.(c)In the event of appeals lodged by more than one party in relation to the same Award, the Federation shall consolidate such appeals forhearing by the same Board of Appeal.9.PROCEDURE AT APPEALS(a)Each party may state their case orally and/or in writing and may appear either personally or be represented by a listed representative inthe appropriate section of a Trading, Full Broker or Full Non-Trading member of the Federation and duly appointed in writing, but shallnot be represented by or have present at the hearing of such appeal, Counsel or Solicitor, or any member of the legal profession whol-ly or principally engaged in legal practice, unless, at the sole discretion of the Board of Appeal, the case is of special importance, andin such cases the other party shall have the same rights.(b)The Board of Appeal shall issue a reasoned Award signed by the Chairman on behalf of the Board and counter-signed by the Secretaryto the Board of Appeal after confirmation that the majority agree the Award, and when so signed shall be the Award of the Board ofAppeal which shall be final and binding.(c)In respect of any String Award made by a Board of Appeal such String Award shall be binding on the first Sellers, the last Buyers,and all the intermediate parties in the string and may be enforced by any intermediate party against his immediate contracting partyas though a separate award had been made under each contract.(d)The Board of Appeal shall have the power to require from time to time a further deposit/s to be made by either party and shall awardthe payment of appeal fees, costs and expenses of, and incidental to, the appeal. If an Award is remitted to a Board of Appeal by Orderof the Court the Board shall have the power to require a deposit to be made by the party/ies that made application to the Court onaccount of the fees, costs and expenses of any hearing by the Board of submissions by the parties or of any meeting of the Board occa-sioned by such remission. No interest shall be payable on any deposit or further deposit made by any party to an appeal under the pro-visions either of this Rule or Rule 7.(e)If the appellant, on receiving from the Board of Appeal notice of the date fixed for the hearing of the appeal, requests a postponementof more than 14 days or at the first or any subsequent hearing of the appeal requests an adjournment, then in such events the Boardof Appeal may at their absolute discretion direct that as a condition of granting a postponement or an adjournment all or any part of themoney required by the terms of the award of arbitration to be paid by either party to the other shall be deposited in a bank (either inEngland or abroad) as the Board of Appeal may direct. Such money shall be held by such bank inan account in the name of theFederation and otherwise in such terms as the Board of Appeal directs.The Board of Appeal shall, where such money has been deposited, in their Award direct how and to which of the parties the amount soheld shall be paid out. Provided that, if in the opinion of the Board of Appeal after hearing the parties, the appellant shall have delayedunduly the proceedings of his appeal, he shall after due warning and if the Board of Appeal so decides, be deemed to have withdrawnhis appeal in which case the money on deposit (with interest, if any, less tax) shall immediately become due and payable to the partyor parties entitled thereto under the terms of the Award of Arbitration.10.WITHDRAWAL OF APPEALS(a)An appellant shall have the right at any time before the hearing of the appeal to withdraw his appeal subject to payment of such costs,if any, as the Federation or the Board of Appeal may determine:(i)On notice being received from the appellant at least 24 hours before the appointment of the Board of Appeal half of the deposit shallbe returned.(ii)On notice being received at least 72 hours before the time fixed for the hearing by the Board of Appeal one quarter shall be returned.(iii)If such notice of withdrawal is received after that time no part of the deposit shall be returned. (iv)When an appeal is withdrawn before any action has been taken by the Federation the deposit shall be refunded.(b)In the event of such withdrawal as aforesaid any other party to an Award of Arbitration shall have a right of appeal against that awardto the Appeal Panel of the Federation in accordance with the provisions of Rule 6 save that the time limit for giving notice of appeal laiddown in Rule 7(a) shall be 12.00 hours on the 21st consecutive day after the date of the Federation!ˉs notice to that party of the aforesaid withdrawal.11.GENERAL(a)(i)Any objection to the membership of a Board of Appeal on the ground that a member of the Board of Appeal was not eligible to servemust be made in writing and established to the satisfaction of the Council of the Federation before the hearing of the substantive casehas commenced.(ii)If such objection is made the Federation in its absolute discretion shall have the power to appoint a substitute member or membersof a Board of Appeal from the Appeal Panel up to the beginning of the hearing of the substantive case.(iii)No Award of a Board of Appeal shall be questioned or invalidated on the ground of any irregularity in the appointment of the Boardof Appeal or any of its members or on the ground that any member of the Board of Appeal was not eligible to serve.。

Tomato Ringspot Virus CHEMICAL RESIDUES REQUIREMENTS: The chemical residues of the soybeans supplied by the Sellers , which are not a natural part of the soybeans should not exceed the regulation stipulated by the Ministry of Public Health of the People’s Republic of China and substantiated by a first class independent surveyor at Seller’s choice at loading: 1. Arsenic compound shall be maximum of 1 ppm (1 part per million calculated according to the arsenious oxide (AS2O3) content). 2. Mercuric compound shall not be found. 3. Phosphides shall be a maximum of 0.05ppm (0.05 part per million calculated according to the PH3 content). 4. Cyanides shall be a maximum of 5ppm (5 parts per million calculated according to the HCN content). 5. Malathion shall be a maximum of 3ppm (3 parts per million) 6. Ethylene debromide (EDB) content shall not exceed of 10ppb (10 parts per billion). OTHER QUALITY PARAMETERS:- Sellers do not guarantee any other specifications. Arrival quality and conditions, phytosanitary and chemical residues compliance with CIQ shall be for Buyer’s risk and expense. QUANTITY: 30,000.00(thirty thousand) metric tons 10% (ten percent) more or less at Seller’s option at contract premium. SHIPMENT: Apr.1st , 2007 to Apr.30th , 2007 (both dates inclusive) ex one Brazil port. FOSFA extension clause applies to this contract. Bills of Lading dated prior to shipment period allowed provided last B/L dates within shipment period. PREMIUM/PRICE: - 135 U.S. cents per bushel over CBOT 2007 May soybeans futures (SK7) CNFFO 1SB Zhangzhou port, China or Xiamen port,China. PERFORMANCE DEPOSIT: - (A) Buyer shall remit a performance deposit of RMB 3 million Yuan to Chinatex Grains and Oils Imp & Exp Co., Ltd., who is authorized by Seller to collect and keep such performance deposit. The remittance should be made latest by Dec.8, 2006 to the account designated by Chinatex Grains and Oils Imp & Exp Co., Ltd.(B) The RMB 1 million Yuan of the above performance deposit shall bereturned to Buyer within 5 working days upon Seller receives the fullyoperable letter of credit .The balance of the above performance deposit, say RMB 2 million Yuan, will be retained by Seller until vessel completes discharge without any liability whatsoever to Seller and settlement of final invoices which includes demurrage incurred or dispatch earned at discharge port(s). If no demurrage/detention occurs, the performance deposit, say RMB 2 million Yuan, shall be returned to the Buyer within 5 working days after the vessel is released, without any liability whatsoever to Seller, from the discharge port(s). The dispatch (if any) will be settled within 30 days after the vessel is released, without any liability whatsoever to Seller. (C) In between date of contract and date of payment, Buyer should remitadditional performance deposit of 5% of contract value for each 5% decline in the value of Buyer’s net position within 48 hours of the event that Buyer’s net position has declined in value by 5% or more. Sellers are not obliged to repay any amounts of performance deposit if the Buyer’s net position improves, and all monies due to Seller under this performance deposit agreement will be remitted to Seller’s account within 48 hours, failing which Sellers have the right to hold Buyers in breach of contract and to claim damages resulting therefrom. “Net position” is defined as the sum of Buyer’s average CBOT futures ownership, open (un-priced) CBOT futures contracts, Seller’s selling quotes for CNF replacement premiums, marked to market at the daily close of the CBOT. The net amount of pre-paid margin shall be returned to Buyer within 7 working days after the vessel is released, PRICE FIXING: -One (1) metric ton equals to 36.7433 bushels. Futures pricing, futures spreading (rolling), or futures transfer are only allowed 200 (two hundred) contracts till above contract performance guarantee in (A) above have received by Seller. And the balance future contracts are allowed till the 100% fully operable L/C has received by Seller. In order to fix Chicago Board of Trade (CBOT) Soybeans futures (SK7) to establish a CFR FO flat price per metric ton, Buyer to transfer (give-up) futures contracts to Seller via brokers. Seller allows direct pricing through Seller during the CBOT sessions, Seller shall not be responsible for execution between time order is placed and time order is received in the pit. Buyer to advise the Seller, in writing 15 minutes prior to opening, the required price and respective quantity, and the order will be considered automatically executed if the respective month trades at least ½ cent per bushel under the given order. This, however, not to include the opening and closing ranges where, as per the rules of the CBOT, brokers are not responsible for execution. This execution will also not be guaranteed when “fast market” condition is designated by the PIT supervisor. If CBOT futures do not trade during the session at ½ cent per bushel under the limit stipulated by Buyer, no pricing has taken place, unless Seller advises Buyer after the close that part or total of the pricing order given has been priced. Any exchange of futures must be at a price that is traded during the session on the day futures are exchanged. Buyer has the right to give or change pricing instructions during the session, provided Seller has not already executed the original instructions by the time the new order reaches the broker on the floor at the CBOT. For orders given or changed during the session of the CBOT, the Seller is not to be responsible for execution. When placing futures contract buy orders through the seller, minimum order size to be 10 (ten) contracts of 5,000 bushels each except the last one (only when direct pricing is allowed by Seller). In case of pricing through Seller, Buyer shall place orders to the Chinatex Grains and Oils Imp. & Exp. Co., Ltd. Buyer has the right to sell his priced futures once, but a cost of USC 0.50 per bushel will be charged to Buyer for the transaction. FUTURES GIVE-UPS / FUTURESIn case of transferring futures to Seller, the transferring price shall be within the price range traded during the transfer date’s CBOT dailyTRANSFERS :- range. Seller will not accept futures transfers if the transferring price is higher and/or lower than the price range of the transferring day. If futures are not completely priced or futures given up by last pricing date (i.e. 30days after vessel arrival), then Seller, on behalf of the Buyers, has the sole right to execute any unfilled futures contracts at the CBOT market close. FUTURES ROLLING /SPREADING :-Buyer shall roll un-priced balance to deferred futures month 2 working days before the first notice day (FND) as published by the CBOT, failing which Seller has the right to roll any balance at the current market spread. In the event any spread orders are filled, Seller shall inform Buyer before the opening of next CBOT working day. If buyer wants to roll un-priced balance a cost of USC 0.50 per bushel will be charged to Buyer for the transaction. PROVISIONAL PRICE :-L/C to be opened basis provisional price. A provisional price will be established calculated as the CBOT settlement value prior to the date of l/c opening plus CNF premium plus USC 30 per bushel. In case the CBOT price rises by USC 20 per bushel above the rate used for establishing the provisional price, the Buyer agrees to amend the L/C (if any) by that amount within 3 working days. If the L/C amendment is not issued and advised to the Sellers within the said 3 working days, then the Seller has the sole automatic right to price the contract on behalf of Buyer and such price will become the final price of the contract. WEIGHT/QUALITY/ CONDITION: -Weight, quality and condition final at load as per certificates issued by a first class independent surveyor, at Seller’s option and expense. INSURANCE: -Seller shall notify Buyer of vessel’s position and status at least 5 working days before ETA loading port. Buyer to confirm insurance coverage to Seller one (1) day prior to commencement of loading of vessel. PAYMENT: -In US dollars by irrevocable at sight letter of credit issued by first class Chinese bank acceptable to Seller. 100% fully operable L/C to be received by Seller latest by Mar.15 , 2007 covering full contract value and allowing for further 10% tolerance in both quantity and amount which must be stipulated in the L/C. L/C to be issued through one of major banks in China accepted by the Sellers. L/C to be advised/notified to a first class bank nominated by Seller. All bank charges for opening and amending L/C are for Buyer’s account. All bank charges outside China are for Seller’s account. Buyer’s failure to open a fully workable and operative L/C in time will render buyer liable to all costs and consequences which may be incurred due to uncontractual and/or late opening of L/C. In the event that buyer fails to open a fully workable and operative L/C by the deadline stated in this contract, seller shall be entitled to treat the contract as repudiated by buyers or has the option to grant an extension for opening of a fully workable and operative L/C. The shipping period will then be extended by the same number of days.L/C to allow for: 1) L/C to be available with any bank for negotiation.2) Ten percent more or less in both quantity and amount acceptable. 3) All documents except invoice must not show unit price, total amount, L/C no. And contract no. 4) Charter party bill of lading acceptable. 5) Third party documents except invoice and draft acceptable. 6) All documents except invoice showing description of goods as “Brazilian soybeans” acceptable. 7) Invoice showing deduction of quality allowance allowed. 8) Documents presented later than 21 days after B/L date but within the validity of the L/C acceptable. 9) Phytosanitary certificate issued by government authority and certificate of origin issued in the language of the country of origin combined with English version acceptable. 10) All banking charges at opening bank are for applicant’s account, all banking charges outside opening bank are for beneficiary’s account. 11) All documents (except B/Ls) date later than B/Ls date acceptable. 12) Fumigation certificated showing date of fumigation later than B/Ls date acceptable 13) Phytosanitary certificate issued by government authority should indicate the name of Notify party. Certificate issued by a first class independent surveyor certifying the actual crop year from which the soybeans are shipped, in one original and three copies. 13.Beneficiary certificate stating shipping details have been sent to Buyer by fax within 5 working days from B/L date. Transmission report to be attached. 14. Beneficiary’s certificate stating copies of full set of shipping documents have been sent through broker channel for relay to buyer within 15 working days from b/l date. DECLARATION OF SHIPMENT: -The Seller to advise the Buyer by email or fax latest 5 working days after B/L date, name of vessel, quantity shipped, ETA to China and B/L date. DISCHARGE TERMS: -1. Buyer to guarantee 12.80m SWAD, LOA of 250m and beam of 41m at discharge port including all channel access thereto. Lighterage/lightening, if any, to be for Buyer’s account. If vessel’s arrival draft exceeds 12.80m SW, lighterage/lightering, if any, to be for Seller’s account. 2. Discharging at the rate of 8,000 metric ton per weather working day of 24 consecutive hours, Saturday, Sundays and holidays excluded, even if used. Should the Buyer fail to discharge the goods at the aforesaid rate, the Buyer shall pay demurrage as per charter party. Should Buyer discharge goods over the aforesaid rate, Seller shall pay to Buyer dispatch money at one-half of the rate of demurrage on working time saved.3. If buyers CIQ certificate is still not ready after vessel laytime expires, then seller is entitled to charge 125% of the demurrage per day from the date that laytime expires.4. The master of performing vessel shall tender notice of readiness (NOR) to discharge in writing or by cable or by fax to the vessel’s agent during ordinary office hours: 0800 to 1700 Monday through Friday whether in berth or not (WIBON), whether in port or not (WIPON), whether customs cleared or not (WCCON), whether in free pratique or not (WIFPON), laytime will commence at 08:00 hours on the next business day. Time used in shifting from the outer most anchorage / waiting area to berth to count as laytime. Time used prior commencement of laytime to count as laytime. If vessel is unable to proceed to berth due to tide, pilot / tug availability, portauthority restrictions, and/or other reasons beyond Owner's control, time used to count as laytime. OTHER TERMS & CONDITIONS:a. Transhipment not allowed.b. Vessel age max. 20 years old. Overage insurance premium (OAP) for vessel aged 16-20 years to be for seller’s account as per Chart Party. The overage premium to be paid by Seller within thirty (30) working days after Buyer submits relative evidence to Seller.c. Geared or gearless vessel at Seller’s option.d. No cargo to be loaded in deep tank or wing tank or other compartments not suitable for grab discharge. e. Seller shall advise demurrage/dispatch rate within 3 days after B/L date.f. Seller to provide buyer within 5 working days from b/l date, shipment advise stating contract number, vessel name, name of commodity, b/l quantity and date, b/l number, provisional invoice value, departure date from loading port, ETA discharge port, estimate arrival draft.g. Seller to give buyer 15/10/7/5/3/2/1 day notice of ETA at discharge port.h. Seller to provide buyer a copy of stowing plan and a working copy of c/p before vessel arrival at discharge port.i. Any demurrage or dispatch to be settled within 30 days after completion of discharge against presentation of laytime calculation and statement of facts signed by the master.j. Document in Spanish or Portuguese and/or English acceptable. In case document is in Spanish or Portuguese, a free translation in English to be provided.k. In the event the vessel arrives at discharge port before receipt of payment by Seller, Seller shall not permit discharge cargo until full payment is received, but laytime will count. If the vessel arrives at discharge port before Buyer’s contractual obligation to pay and receipt of all required shipping documents in order then time to count for Seller’s account; and vessel will discharge only at Seller’s discretion.l. If Buyer has priced the contract prior to vessel loading, Seller shall present original documents under the Letter of Credit based on the final price of the cargo. If Buyer has not priced the contract prior to vessel loading, Seller shall present original documents for the value of cargo based on the provisional price (The provisional price will be established calculated as the CBOT settlement value on the 10th day after B/L date plus USC135 per bushel.). After completion of pricing. Seller will issue a new invoice to buyer stating the final price and total amount due. If money is due to either Buyer or seller due to difference between the provisional contract and actual contract price, the price difference is to be settled and remitted between Buyer and Seller within 3 working days. ASSIGNMENT CLAUSE: -Buyer may assign this contract with the written consent of the Seller. Buyer may assign its rights and obligations under this contract to an affiliated company (acceptable to seller), and shall promptly notify Seller of any such assignment. Following such notification Seller agrees to consider the assignee as Buyer for all purposes of this contract. The Assignor shall remain responsible for the performance of the Assignee. All terms and conditions pertaining to this contract remain unchanged. FORCE MAJEURE: -The force majeure clause of FOSFA 22 applies to this contract.LICENCE/TAXES/QUOTA S/ PERMITS: Buyer will be responsible for securing the Labeling Certificates, Local/Provincial CIQ Certificates and Beijing CIQ Certificates. Any relevant necessary import permits, licenses, quotas, taxes or levies are for the account and risk of the Buyer. Any failure on behalf of the Buyer to obtain same shall not constitute force majeure. GMO Safety Certificate for Seller’s responsibility. INTERNATIONAL SHIP AND PORT SECURITY (ISPS) CODE:- Buyer is obligated to nominate a port and facility which is fully compliant with the security requirements. Any risks, including any delay, and expenses arising from the failure of the nominated port or facilities to be fully compliant with the Security Requirements or solely arising out of or related to security regulations or measures required by the port facility or any relevant authority in accordance with the Security Requirements, shall be borne by buyer, unless such delays or expenses result from seller’s or its vessel’s negligence or active fault, and buyer shall directly pay or indemnify seller for any such delay or expense. GOVERNING CONTRACT (S): As per applicable FOSFA 22 contract(s) for soybeans. ARBITRATION: Should any dispute arise between the contracting parties to which no agreement can be reached, these disputes shall be settled by arbitration, which shall take place in London in accordance with FOSFA Rules of Arbitration and Appeal. 2、转让方向XX银行申请叙做国际福费廷业务,即由XX银行无追索权地买入转让方在上述信用证项下的债权双方经友好协商一致,就国际福费廷交易达成如下合同:第一条定义1.1 国际福费廷(以下简称“福费廷” ),在本合同及与本合同相关的文件中(除非本合同另有约定),是指XX银行向转让方无追索权地买入其拥有的因跨境商品或服务交易产生的信用证项下的债权,通常该债权已由票据银行承兑/承诺付款/保兑/保付加签/担保(以下统称“承兑”),但在发生本合同第五条约定的情况时,xx银行仍将保留对转让方的追索权。

1.2包买让渡,指XX银行作为包买商与转让方叙做福费廷业务后,将所受让的信用证或项下的债权转让给受让方的一种福费廷交易模式。

1.3受让方,指包买让渡模式项下,从XX银行处受让相应信用证项下债权的其他金融机构或福费廷包买商。

1.4仅为中介,指XX银行在与受让方就受让信用证项下债权协商一致的情况下,从转让方处受让相应信用证项下债权后再转让给受让方,并以受让方支付的资金向转让方支付转让价款。

转让方特此确认,在仅为中介模式下,在受让方未支付资金前,xx银行无义务向转让方支付转让价款。

第二条交易前提条件2.1在XX银行支付本合同项下每笔福费廷业务的转让价款之前,转让方应向XX银行提交如下文件或满足下列相应条件:(1) 授权转让方签署本合同和相关文件和单据之董事会决议(如果客户之公司章程对于法定代表人的签约权限做出限制) ;(2) 转让方对于授权代表的授权书及授权代表的签字样本;(3) 已经转让方合法有效签署的本合同;(4) 转让方已在本行开立结算往来账户的证明文件;(5) 转让方就每笔福费廷业务,向XX银行提交的《国际福费廷业务申请书》(格式见附件一);(6) 转让的信用证或票据项下债权具有真实、合法、有效的基础交易背景;(7) 转让方已严格履行对每笔福费廷业务尽职调查的责任;(8) 转让的信用证项下债权的相关单据、权利凭证及文件,包括但不限于:不可撤销跟单信用证及全套修改(如有)正本,出口议付面函副本,票据银行的承兑函电/担保文件,相关贸易合同及信用证项下全套单据复印件(包括但不限于商业发票、运输单据和保险单据等)等;(9) 转让债权的信用证条款明确合理,索汇线路简洁明晰、无不利于XX银行收汇的软条款,并指定了议付行、承兑行、延期付款行,不存在不允许让渡等限制性条款,且不属于已转让的信用证;(10) 转让方已按XX银行要求填妥的有关凭证及其他有关文件;(11) 转让方有效签署了接受XX银行报价条件的《国际福费廷业务确认书》(格式见附件二)的回执;(12) 转让方已办妥履行本合同及相关基础交易合同所必备的法律和行政审批手续,并将相应的审批文件交由XX银行查验°XX银行有权要求客户提供审批文件的副本或与原件相符的复印件;(13) 转让方已在信用证效期内向XX银行交单或委托XX银行办理出口托收业务;(14) 转让方已出具债权转让书(格式见附件三)将未到期债权合法有效转让给XX银行;(15) 转让方将债权转让事宜通知债务人并获得了债务人的确认;(16) 在仅为中介模式项下,XX银行已收到受让方支付的全部转让价款;( 1 7)加盖客户有效印鉴的外币贷款支付凭证或人民币贷款借款凭证;(18) X X银行不时要求的其他文件及或条件。

The Notices Clause and the Non-Business Days Clause shall not apply to such declaration.4.SHIPMENT AND CLASSIFICATION:Shipment in good condition in ship/s which comply with the FOSFA Qualifications and Operational Procedures for Ships Engaged in the Carriage of Oils and Fats in Bulk for Edible and Oleo-chemical Use in force at the date of the Bill of Lading.The oil is to be shipped on a ship which, after loading in one or more origin ports, will proceed directly or indirectly on a geographically normal route from the port/s of shipment to the port/s of destination.For the purposes of this contract the words ‘ship’ or ‘ships’ shall mean any full-powered engine-driven ship.Transhipment shall only be allowed under a through Bill of Lading and shall be restricted to the area of origin and/or customary transhipment ports in the area of destination for the goods specified in the contract, provided that transhipment at origin is completed within the original contract shipment period and/or agreed extension period.In case of transhipment at origin, Shipping documents shall include FOSFA Certificate of Compliance, Cleanliness and Suitability of Ship’s Tank and a FOSFA Combined Masters Certificate in respect of the ocean carrier. In the event of such transhipment at origin the Declaration of Shipment shall include the name of the ocean carrier and transhipment location. Nothing in this clause shall affect the Master’s rights or ships obligations under Maritime Law.5.INSURANCE:Insurance in accordance with the Institute/FOSFA Trades Clauses (A) and the Institute War and Strikes Clauses (FOSFA Trades)— including risk of contamination irrespective of percentage on each tank or on the whole—to be effected at Sellers’ option with first class underwriters and/or companies who are domiciled in the UK or for the purpose of any legal proceedings accept a British domicile and provide an address for service of process in London but for whose solvency the Sellers shall not be responsible. Claims to be payable in the currency of the contract. Policies and/or Certificates and/or Letters of Insurance required under this contract shall be for not less than 5% over the invoice amount including freight.Buyers shall accept insurance including Exclusion Clauses on the FOSFA Insurance Exclusion Clause List.In the event that Buyers receive an allowance under the Quality, Condition and Specifications Clause, Buyers to return the insurance policy to Sellers in order that they make any recovery thereunder. Any expense for covering war risks insurance in excess of ½ % shall be for account of Buyers. The rate of insurance shall not exceed the rate ruling in London at the time of shipment or date of ship’s sailing whichever may be adopted by underwriters. Notice of extra expense to be borne by Buyers shall be given by Sellers at the time of declaration under this contract or not later than 3 business days after the rate has been agreed with underwriters whichever is the later. Failure to give such notice shall invalidate the Sellers’ claim unless in the opinion of arbitrators the delay is justifiable.7.DECLARATION OF SHIPMENT:Notice stating ship’s name, date of Bill/s of Lading and approximate quantity shipped shall be despatched by first Sellers to their Buyers not later than 10 days after the date of the Bill/s of Lading. Notices by intermediate Sellers shall be accepted by their Buyers although received by them after such time, if from the 10th day after the date of the Bill/s of Lading such notices have been passed on with due despatch.The date of the “on board” Bill/s of Lading shall be considered proof of the date of the shipment in the absence of conclusive evidence to the contrary.Notices shall be deemed to be under reserve for errors and/or delays in transmission. Any slight variation in the ship’s name shall not invalidate the declaration. A valid declaration cannot be withdrawn except with the Buyers’ consent. Should the ship arrive before receipt of declaration of shipment and extra expenses be incurred, such expenses are to be paid by Sellers.Should extra lighterage expenses be incurred owing to Sellers tendering less than 50 tons for a contract of a greater quantity, the extra costs to be borne by Buyers and Sellers equally.The provisions of this clause to be inoperative if the goods have been sold afloat.Presentation of documents does not constitute a notice under the terms of this clause.8.SUPERINTENDENTS:Reference in the contract to superintendents, surveyors or representatives shall mean member superintendents of FOSFA International.The use of member superintendents shall be mandatory except where:(i)the contract or national laws or regulations require the use of Governmental or other agencies not recognised by FOSFA International;(ii)no member superintendent/s is/are available or proximate to the port/s concerned.9.ANALYSTS:Reference in the contract to analysts shall mean analysts who are members of FOSFA International and represented in the Oils and Fats Section.The use of member analysts shall be mandatory except where the contract or regulations require the use of Governmental or other analysts.10.PAYMENT AND SHIPPING DOCUMENTS:Payment shall be made by Buyers in the above-named place for 98% of invoice amount by cash against complete set of shipping documents—*(a)on presentation;*(b)on or (at Buyers’ option) before arrival of the ship at the port of destination but not later than 45 days from the date of the Bill of Lading, whichever is the earlier, unless documents are presented thereafter. Buyers to send copy of the freight note to Sellers for final invoicing purposes. If freight is to be paid in a currency other than the currency of this contract, the conversion in the final invoice shall be made at the rate of exchange on the day of actual freight payment: (ii)If the Bill/s of Lading refer/s to a Charter Party and/or any other documents relating to the freight booking, Sellers shall be responsible for any detrimental consequences from clauses of such documents being contrary to the terms of this contract. If such Bill/s of Lading is/are signed by parties other than the Master then the Bill/s of Lading shall be accompanied by photostat copy of written authority from shipowner or Master authorising the signatory to the Bill/s of Lading:(iii)The Bill/s of Lading must identify the ship’s tank/s into which the oil is loaded but should the oil be commingled with other parcels the Bill/s of Lading must indicate the total commingled quantity:(iv)Delivery Order/s shall be accompanied by non-negotiable or photostat copy of the relative Bill/s of Lading if required by Buyers.(3)Policy/ies and/or Insurance Certificate/s and/or Letter/s of Insurance in the currency of the contract. Letter/s of Insurance shall specify the insurancecompany/ies and/or underwriter/s and policy number/s and shall be guaranteed by a first class bank if required by Buyers. After payment Letter/s of Insurance shall be substituted by policy/ies and/or certificate/s on request;(4)FOSFA Certificate of Compliance, Cleanliness and Suitability of Ship’s Tank from superintendents in the form in force at the date of theBill/s of Lading.(5)Certificate of Analysis, based on independently sealed samples taken from the relevant ship’s tank/s at time of loading, and issued by an independent certifiedanalyst;(6) A Certificate of Origin and/or other documents as per the Duties, Taxes, Etc., Clause of the contract where applicable;(7) A FOSFA Combined Master’s Certificate in the form in force at the date of the Bill/s of Lading;(8) A copy of the notice to the Master instructing him to follow the FOSFA Heating Instructions;(9)Certificate/s from superintendents certifying:(a)the shipped weight (litre weight in air) ascertained at port of loading and specifying at what point the weight was ascertained;(b)particulars of the time and place of loading, sampling and establishment of shipped weight;(c)that pre-shipment and contractual loading samples were drawn in accordance with the Sampling and Analysis Clause and quoting details of the sealsapplied.In relation to items (4) and (7), the immediate previous cargo in the tank/s receiving the oils or fats shall not have been a product appearing on the FOSFA List of Banned Immediate Previous Cargoes in force at the date of the Bill/s of Lading. The Restrictions beyond the Immediate Previous Cargo on the FOSFA List of Banned Immediate Previous Cargoes shall apply.Buyers are to accept photostat or certified copy/ies of items (4), (5), (7) and (9) relating to the whole parcel/s.Buyers agree to accept Bill/s of Lading containing the Chamber of Shipping War Risk Clause and/or any other recognised War Risk Clause.Should documents be presented with incomplete set/s of Bill/s of Lading, payment shall be made provided that delivery of such Bill/s of Lading be guaranteed, such guarantee to be signed, if required by Buyers, by a first class bank. Acceptance of this guarantee shall not prejudice Buyers’ rights under this contract. Should Sellers have failed to present shipping documents on arrival of the ship at destination, Buyers shall take delivery under a guarantee acceptable to the shipowners to be provided by the Buyers, such guarantee to be signed by a first class bank if required by the shipowners. Buyers shall pay for the documents when presented. Any reasonable extra expenses, including costs of such guarantee or extra handling charges incurred by reason of the failure of Sellers to provide such documents, shall be borne by Sellers and allowed for in the final invoice. In the event that Buyers take delivery as above and Sellers fail to provide shipping documents and if the guarantee provided by Buyers as above is encashed by the shipowners, Sellers shall be responsible for all damages, costs and consequences arising from their failure to present documents. Buyers shall inform Sellers immediately there is a claim against the guarantee and Sellers shall have the right to be joined in any legal action arising therefrom.Payment shall not be deemed to have been effected before receipt of cleared funds by the payee or his bank. If payment is agreed to be by bank transfer, the party shall effect payment to the payee’s bank on or before the due date for payment and payment instructions shall specify a value date not later than the second bank working day after the day of payment.Any monies due by either party to the contract to the other for final invoices and/or accounts for items on shipments fulfilling this contract shall be settled by either party not later than 21 days from the date of the invoice, (except as otherwise provided under awards of arbitration or appeal as governed by the other provisions in the contract), and if not settled a dispute shall be deemed to have arisen which may be referred to arbitration.11.INTEREST:If any payment is not made on or before the due date for payment, interest shall be payable.If there is no due date for payment, interest shall be payable if there has been an unreasonable delay in payment. Interest payable shall be appropriate to the currency involved. If the amount of interest is not mutually agreed, a dispute shall be deemed to exist which shall be settled by arbitration in accordance with the Arbitration Clause.Nothing in this clause shall affect a party’s rights to invoke the provisions of the Default Clause in a case where a failure to effect timely payment could give rise to a claim under that clause.52 53 54 55 56 57 58 59 60 61 62 63 64 65 66 67 68 69 70 71 72 73 74 75 76 77 78 79 80 81 82 83 84 85 86 87 88 89 90 91 92 93 94 95 96 97 98 99 100 101 102 103 104 105 106 107 108 109 110 111 112 113 114 115 116 117 118 119 120 121 122 123 124 125 126 127 128 129 130 131 132 133 134 135 136 137 138 139 140 141 142 143 14412.CHARTER PARTY:If the Bill/s of Lading refer/s to a Charter Party, then, if required by Buyers, Sellers shall provide a copy of the Charter Party.13.UNASCERTAINED GOODS:In every instance where a parcel of goods sold by this contract forms an unidentified part of a larger identified quantity of goods of the same description, whether in packages or in bulk, no separation or distinction shall be necessary and, until separation and identification of the parcel sold hereby from the larger quantity has taken place, the Buyer of the parcel is a pro rata owner of the whole of the larger quantity in common with Seller/s and Buyer/s of other parts of the larger quantity.14.DISCHARGE:The oil shall be discharged at the port of destination at a berth suitable for the discharge of oils or, if practicable and mutually agreed, and provided the ship is willing to and can safely berth, at Buyers’ own or appointed premises within harbour limits. Buyers shall take delivery with customary quick despatch after notice of readiness has been given by the shipowner or representative/s in accordance with the Bill/s of Lading, Charter party or Contract of Affreightment. Otherwise Buyers to be liable to pay demurrage at the rate stipulated in the Charter Party or Contract of Affreightment.Sellers are responsible for all expenses for pumping out, for connecting to ship’s outlet/s and for sweepings and/or puddling, but discharging expenses arising after the oil has passed the ship’s rail shall be for Buyers’ account. Any loose collected remaining in the ship’s tank/s to be discharged by the Sellers and delivered to the Buyers at the discharging berth in packages to be provided by the Buyers. If the packages are supplied by the Buyers but the residue is not delivered such residue or unpumpable oil shall not be included in the delivered weight.15.WEIGHTS:At loading: The shipping weight shall be ascertained by a Superintendent appointed by Sellers at their expense by gauging either in officially calibrated land tank/s or tank barge/s from which the oil is delivered or by delivery via certified weigh scales, or from tank cars which, if not calibrated, shall be weighed before and after loading by single weighing only (front and back axle weighing not allowed). If none of these methods is possible then the shipping weight to be ascertained by the most practicable alternative means.At discharge: Buyers' superintendents shall ascertain the weight at Buyers' expense conjointly with Sellers' superintendents, if in attendance, by gauging either in officially calibrated tank/s or tank barge/s in which the oil is received or by overside delivery to certified weigh scales, or in rail/road tank cars which, if not cali-brated, shall be weighed before and after loading by single weighing only (front and back axle weighing not allowed). If none of these methods is possible then the discharged weight to be ascertained by the most practicable alternative means. In the event of disagreement between Buyers' and Sellers' superintendents on the question of mass per volume (litre weight in air), sealed samples shall be submitted to an analyst whose decision shall be final.If establishment of weights is not completed within 5 working days after discharge Sellers may submit an interim invoice which shall become due and payable based on Bill of Lading weights. Weights shall then be established as soon as it is deemed practicable by the superintendents representing the parties and a final invoice shall be issued accordingly.16.ADJUSTMENT OF OUTTURN:Any excess over or deficit under the mean contract quantity arrived at without taking into consideration the margin of 5% more or less, and the quantity delivered, is to be settled at the price fixed by the appropriate Price Settlement Committee appointed by and published by the Federation, or, if no price is fixed by the Federation then at the market price to be mutually agreed or fixed by arbitration for the day of arrival of the last ship to arrive at the berth/place where the contracted goods are to be discharged at the port of destination.17.SAMPLING AND ANALYSIS:General: Sampling shall be done in accordance with the method in ISO 5555. Should either party fail to appoint a superintendent then the samples drawn by the superintendent present shall be the valid samples for the purposes of analysis and/or arbitration. The analyses shall be carried out in accordance with the methods laid down in the FOSFA International Standard Contractual Methods List.The certificate/s shall bear the FOSFA International official seal.Details of seals and labels shall be given on both loading and discharge survey reports and analysis certificate/s.All samples drawn under the terms of this contract when delivered to FOSFA International or to the analyst/s to become and be their absolute property.Pre-shipment Samples: To ensure samples are available in the event of a contamination claim not less than five pre-shipment samples of the oil loaded shall be taken at the ship’s rail or the nearest practicable point prior to loading. These samples are to remain sealed with Sellers’ superintendents at origin but be available on demand to any receiver in the event of a contamination claim. Samples to be kept for three months from date of Bill of Lading.At loading: Not less than five samples representative of the oil to be drawn from each ship’s tank/s and sealed by superintendent for analysis. Two sets of these samples shall be handed to the Master with instructions to hand over to the Receivers at port of discharge or their superintendents. Tests to be made from a set of sample/s by an analyst in the country of shipment, who shall issue the appropriate certificate. The remaining sets of samples to be retained by the superintendent at the port of loading.At discharge: Buyers’ and Sellers’ superintendents shall conjointly draw five representative samples during discharge at the ship’s rail or the nearest practicable point thereafter and seal for analysis and/or arbitration purposes. Any unpumpable and/or off-quality oil discharged and stored separately shall be sampled and analysed separately.Buyers or their superintendents shall retain three sealed samples and, if required, shall send one sealed sample with due despatch for analysis to an analyst. The remaining two sealed samples shall be retained by Sellers or their superintendents. If Buyers fail to send a sample for analysis Sellers have the right to submit a sample and the results of this analysis shall stand as the first analysis. The analysis fee shall be equally divided between Sellers and Buyers.Buyers and Sellers have the right to claim at their own expense a second and/or third analysis for any one or more individual specification. The party requesting such analysis shall, within five business days after receipt of the preceding analysis, notify the other party, arrange for a sealed sample to be sent to another analyst, and give the necessary instructions to the analyst. If two analyses are made the mean of the two results, and if three analyses are made, the mean of the two results closest to each other, as the case may be, shall be binding and form the basis of final settlement. Where the results of the three analyses are such that the above formula does not apply, the mean of the three shall be taken as final.Parties shall pass on certificates of analysis with due despatch.18.DUTIES, TAXES, ETC:All export duties, taxes, levies, etc., present or future in country of origin/port of shipment shall be for Sellers’ account.All import duties, taxes, levies, etc., present or future in port of discharge/country of destination shall be for Buyers’ account.Where the goods are entitled to free entry into or preferential duty in the port of destination named in this contract, Sellers shall furnish together with the shipping documents a Certificate of Origin and/or necessary document/s in the form valid at the time of shipment, otherwise Sellers shall be responsible for any extra duty incurred by Buyers through the non-production of such Certificate and/or document/s.If the eventual country of destination is different from that named in the contract, then Sellers, at Buyers’ request, shall, if possible, supply the appropriate Certificate of Origin for the country of final destination.19.NOTICES:Notices to be despatched by any means of rapid written communication (E-mail excluded). All notices shall be under reserve for errors in trans-mission. Notices shall be passed on with due despatch by intermediate Buyers and Sellers. Any notices received after 16.00 hours on a business day shall be deemed to have been received on the following business day. Notice from a broker shall be a valid notice under this contract.20.NON-BUSINESS DAYS:Should the time limit for doing any act or giving any notice expire on a Saturday, Sunday or any public holiday in the country where the party required to do the act or give the notice resides or carries on business or in the country where the act has to be done or the notice has to be received or on any day which the Federation shall declare to be a non-business day the time so limited shall be extended until the first business day thereafter. All business days shall be deemed to end at 16.00 hours Mondays to Fridays inclusive. The contract shipment period not to be affected by this clause.21.ODD DAYS:In any month containing an odd number of days the middle day shall be reckoned as belonging to both halves of the month.22.FORCE MAJEURE:Should shipment of the goods or any part thereof be prevented at any time during the last 30 days of the contract shipment period by reason of Act of God, strikes, lockouts, riots, civil commotions, fires or any other cause comprehended by the term Force Majeure at port/s of loading or elsewhere preventing transport of the goods to such port/s, the time allowed for shipment shall be extended to 30 days beyond the termination of such cause, but should the contract shipment period be less than 30 days such extension shall be limited to the number of days allowed for shipment under the contract shipment period. Should such cause exist for a period of 60 days beyond the contract shipment period the contract or any unfulfilled part thereof so affected shall be cancelled. Sellers invoking this clause shall notify Buyers with due despatch.When goods of a specific origin are sold with the option of shipment from alternative ports and shipment from all alternative ports is not prevented Sellers may only invoke this clause with regard to the specific port/s provided that the port/s has/have been notified to Buyers as the intended port/s of loading prior to or within seven days of the occurrence but if the occurrence commences within the last seven days of the contract shipment period the port/s of loading to be notified not later than the first business day following the contract shipment period. Shipment after the contract shipment period shall be limited to the port/s so nominated. Buyers have no claim against Sellers for delay in shipment or cancellation under this clause provided that Sellers shall have supplied to their Buyers, if required, satisfactory evidence justifying delay or non-fulfilment to establish any claim for extension or cancellation under this clause.In case of default after extension the default date shall be similarly deferred.23.PROHIBITION:In the event, during the contract shipment period, of prohibition of export or any other executive or legislative act by or on behalf of the Government of the country of origin or of the territory where the port/s of shipment named herein is/are situate, or of blockade or hostilities, restricting export, whether partially or otherwise, any such restriction shall be deemed by both parties to apply to this contract and to the extent of such total or partial restriction to prevent fulfilment whether by shipment or by any other means whatsoever and to that extent this contract or any unfulfilled portion thereof shall be extended by 30 days.In the event of shipment during the extended period still proving impossible by reason of any of the causes in this clause the contract or any unfulfilled part thereof shall be cancelled. Sellers invoking this clause shall advise Buyers with due despatch.
