2. 买方：[买方名称]，一家根据[买方所在国家/地区]法律组建和存续的公司，其注册地址为[买方注册地址]。
双方本着平等、自愿、公平和诚实信用的原则，经协商一致，就买方购买卖方货物事宜，订立本合同。
定义“货物”指卖方根据本合同向买方提供的所有产品和/或服务。
“合同价格”指买方为购买货物应向卖方支付的总金额。
“交货”指卖方将货物交付给买方的行为。
“交货时间”指卖方按照本合同约定将货物交付给买方的具体时间。
“质量保证”指卖方对货物质量的保证和承诺。
“争议”指双方在履行本合同过程中发生的任何分歧、争议或索赔。
货物描述和价格1. 卖方应按照本合同附件 A 中规定的规格、数量和价格向买方提供货物。
2. 货物的描述和价格应以附件 A 为准，除非双方另有书面约定。
交货1. 交货地点：[交货地点]。
2. 交货时间：卖方应在[交货时间]前将货物交付给买方。
3. 买方应在收到货物后及时进行检验，如果发现货物与合同约定不符，应在[检验期限]内通知卖方。
付款1. 合同价格应以[付款方式]支付给卖方。
2. 买方应在[付款期限]内支付合同价格。
质量保证1. 卖方应保证货物符合合同约定的质量标准。

1. Definition:
Briefly, contract is a promise enforceable by law which may be to do something or to refrain from doing something. It requires the mutual assent of two or more persons, one of them making an order and another accepting. If one of them fails to keep the promise, the other will take a legal action against him.
