AGREEMENT协议

In consideration of the mutual promises and obligations contained herein, Seller and Buyer agree as follows:考虑到本协议中所包含的相互承诺和义务，卖方和买方达成以下协议：

1. Sale of Goods商品销售

1.1 Sale of Goods. Upon the terms and subject to the conditions set forth in this Agreement, Seller will sell to Buyer, and Buyer will purchase from Seller, the Goods in the quantities and at the prices set forth in the Purchase Order (as defined below).1.1 商品销售。在本协议规定的条件下，卖方将向买方销售商品，买方将向卖方购买商品，商品的数量和价格按照采购订单中所规定的执行。

1.2 Purchase Order. Buyer shall submit written purchase orders to Seller specifying the quantities, prices, and delivery dates for the Goods to be purchased by Buyer from Seller (each, a "Purchase Order").1.2 采购订单。买方应向卖方提交书面采购订单，以指定购买商品的数量、价格和交货日期。

1.3 Delivery. Seller shall deliver the Goods to Buyer, at Buyer's expense, in accordance with the delivery schedule set forth in the Purchase Order.1.3 交货。卖方应在按照采购订单中规定的交货计划和时间内，按照买方的指示将商品交付给买方。

2. Payment付款

2.2 Late Payments. If Buyer fails to make payment for any Goods within the time periods set forth in the Purchase Order,

Buyer represents and warrants to Seller that (a) it has the full power and authority to enter into and perform its obligations under this Agreement, (b) the purchase and resale of the Goods by Buyer shall not infringe or otherwise violate any third party intellectual property rights or any other rights, and (c) it shall comply with all applicable laws and regulations in connection with the purchase and resale of the
