1.3 Delivery. Seller shall deliver the Goods to Buyer, at Buyer's expense, in accordance with the delivery schedule set forth in the Purchase Order.1.3 交货。

2. Payment付款2.1 Payment Terms. Buyer shall pay Seller the prices for the Goods in accordance with the payment terms set forth in the Purchase Order.2.1 付款条款。

2.2 Late Payments. If Buyer fails to make payment for any Goods within the time periods set forth in the Purchase Order,Buyer shall pay interest on the overdue sum at the rate of [Interest Rate] per annum or the maximum rate allowed by applicable law, whichever is lower.2.2 延迟付款。

3. Warranties保证3.1 Seller's Warranties. Seller represents and warrants to Buyer that (a) it is the legal owner or authorized seller of the Goods, (b) the Goods shall be free from defects in material and workmanship, (c) the Goods shall conform to the specifications and quantities set forth in the Purchase Order, and (d) the sale and delivery of the Goods shall not infringe or otherwise violate any third party intellectual property rights or any other rights.3.1 卖方的保证。

3.2 Buyer's Warranties. Buyer represents and warrants to Seller that (a) it has the full power and authority to enter into and perform its obligations under this Agreement, (b) the purchase and resale of the Goods by Buyer shall not infringe or otherwise violate any third party intellectual property rights or any other rights, and (c) it shall comply with all applicable laws and regulations in connection with the purchase and resale of theGoods.3.2 买方的保证。

4. Confidentiality保密信息4.1 Confidential Information. Each party agrees to keep confidential all non-public information disclosed by the other party during the term of this Agreement that is marked as "confidential" or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be understood to be confidential ("Confidential Information").4.1 保密信息。

4.2 Permitted Disclosure. Confidential Information may be disclosed by receiving party to its employees, advisors, agents, and representatives who have a need to know such information, provided that the receiving party requires such persons or entities to maintain the confidentiality of the Confidential Information and to comply with the terms of this Agreement with respect to such Confidential Information.4.2 合法披露。

5. Indemnification赔偿5.1 Indemnification by Seller. Seller shall indemnify and hold harmless Buyer, its officers, directors, employees, and agentsfrom and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising out of or in connection with any breach of the representations, warranties or covenants made by Seller under this Agreement, or any claim that the Goods infringe or otherwise violate any third party intellectual property rights or other rights.5.1 卖方的赔偿。
