供应商约定条款(盖公章)

为规范及完善流程制度,与供应商建立良好长久的合作伙伴关系，确保双方能持续以高质量高效率来合作，特制订以下的约定条款（“本约定”）。

供应商请务必仔细阅读本约定并充分理解后予以执行。

To standardize and improve the procedures, to establish and lasting business, and to ensure both parties may collaborate with high quality and efficiency, Supplier must review these terms and conditions (“Terms and Conditions”), understand and execute the same.
1．定义/Definition
“Bondlux”代表“明汇光电(东莞)有限公司”。

“Bondlux”means “Bondlux (DongGuan) Limited.
“我们”或“本公司”代表Bondlux。

“We” and “us”may refer to Bondlux.
“产品”在订单中表示元件、部品或者原材料。

“Goods”means the components, parys or raw materials described in the Purchase Order.
本约定的标题只是为方便写作，并不影响对它的解释和理解。

The headings here are for convenience only and shall not affect interpretation.
2．供应商资格调查/Supplier Qualification
2．1 供应商资格调查表/Supplier Qualification Forn
2．1.1供应商须正确清晰填写“供应商资格调查表”并加盖公司章予以确认。

Every supplier is required to clearly and accurately complete the Supplier Qualification Form, with seal as confirmation. 2．1.2 基本交易条款以“供应商资格调查表”填写的信息为准，如有任何变动，需于要求生效日前五个工作日向Bondlux 提出来申请，经双方确认同意生效，并更新供应商调查表。

The transaction must conform exactly to information stated in the Supplier Qualification Form.Any changes shall be notified to us at least 5 business days before the effective date, and will take effect only Upon both parties’agreement and amendment of the Supplier Qualification Form to reflect the changes.
2．2合法工商营业证照和/或税务登记证副本/Copy of Business License and/or T ax Registration Certificate 每个新供应商都必须提供有效及合法的营业执照和/或税务登记证副本。

Every new Supplier must furnish a copy of a valid and legal business license and/or tax registration certificate.
2．3合格有效的RoHS物质声明表/Qualified and valid RoHS Material Declaration Form
每个新供应商都必须提供由供应商授权代表签署的《ROHS物质声明表》
Every new Supplier must furnish a RoHS material Declaration Form,duly signed by an authorized officer of the Supplier.
3．产品报价及样板需求/Part Quotation and Sample Request
3．1模具定制的物料/T ooling Related Parts
3．1.1模具及产品报价/RFQ for Tooling and Parts
3．1．1.1 Bondlux会发出报价图纸进行询价，供应商应在收到图纸后立即进行详细的可行性分析，如发现图纸及设计要求方面的问题必须在收到图纸后两天内向Bondlux提出，如图纸较复杂的可要求提出宽限。

After receiving Bondlux’s date stamped request for quotation with drawing and spec sheet, Supplier should
immediately conduct a feasibility study. If any problems relating to the drawing and design are discovered,Supplier
must inform Bondlux within 2 days .If the drawing or requirement is complex, an extension of time may be
requested.
3．1．1.2 如有特殊的要求，可要求组织双方工程技术人员进行会议检讨并重新确认设计要求。

If necessary, a meeting among technical staff of both companies may be organized to study and discuss the design
requirements together.
3．1．1.3 供应商在可行性及图纸要求确认后应向Bondlux进行产品及模具报价并确定交付完成日期。

As soon as feasibility and requirements are confirmed, Supplier shall submit the tooling and parts quotation, and
delivery schedule to Bondlux.
3．1．1.4 以上询价应在收到RFQ及图纸后十四天内全部完成并给出报价.
Unless there has been an extension of time, quotation should be delivered within 14 days starting fron the date the
drawing and RFQ were sent to Supplier.
3.1.2 模制样品申请/SRF for Tooling
3．1．2.1在模具及产品报价经批准后，Bondlux将发出“样品需求单（SRF）”及最终批准的开模图纸资料文件供开模制作，其间供应商会收到“模具采购订单”并确认包括价格，完成时间，模具寿命等条款。

After the tooling and parts quotation has been approved, Bondlux will officially release to Supplier a Sample
Request Form(“SRF”) with the final and approved tooling drawing, as well as a Tooling Purchase Order for
confirmation which includes the price, delivery time, tooling life cycle and other terms.
3．1．2.2供应商签署确认模具采购订单即视供应商已了解并有能力满足所有设计要求作出履行承诺。

By signing the Tooling Purchase Order ,Supplier shall be deemed to have understood and promised to premised to
perform the exact design requirements.
3．1．2.3一般Bondlux会在供应商签署模具采购订单后预先支付50%模具款，余款50%在模制样品得到Bondlux的R&D部门确认合格后凭签署的EAF付清余款。

Unless otherwise advised,Bondlux will pay 50% lf the tooling cost after the Tooling Purchase Order is signed by
Supplier.The balance of 50% will be paid after the part sample is approved by Bondlux’s R&D department and the
Engineering Approval Form (“EAF”) released.
3．2 一般标准部品/Standard Parts
3．2．1 Bondlux会发出相关设计规格要求作为打样的参考依据，供应商应收到要求后作充分评估于两个工作日内提供规格书。

Bondlux shall release a spec sheet wit detailed requirements. After evaluation ,Supplier must deliver to Bondlux its
quotation and sample delivery date within two working days.
3．2．2 Bondlux确认规格书后会重新发出样板需求单（SRF），供应商应在收到要求后于两个工作日回复报价及样板交期。

After spec sheet from Supplier is confirmed, Bondlux will issue a formal SRF. Supplier must deliver to Bondlux its
quotation and sample delivery date within two working days of the date of issue of the SRF.
3．3 报价要求/Requirements for Quotation
3．3．1 供应商需提供由负责人签署确认的有效报价单，内容应包括双方部品编号，名称，单价，币别，最小订单量，最小标准包装数量，采购提前期，模具寿命，报价单编号及报价日期等项目，交易条款如未列明，则以原“供
应商资格调查表”所填写的为准。

Supplier shall provide a valid quotation which includes both parties’part mumber, description, unit cost, currency ,minimum order quantity, minimum packaging quantity, purchase lead time ,tooling life cycle, quotation reference number and date of quotation, duly signed by an authorized officer. All information stated in the Supplier Qualification Form shall apply.
3．3．2 价格获Bondlux确认批准生效并进行交易后，Bondlux将根据市场情况和订单需求量每半年或一年进行定期价格检讨。

After the quotation has been approved and a tuansaction entered into, Bondlux will review the prices every 6months or annually, based on market conditions and demand.
3．3．3 如需上调单价的，供应商必须提前通知，未完成订单应不受影响。

If an increase in price is necessary ,Supplier shall give advance notice. Not withstanding ,the price increase shall not affect any open purchase orders.
4．样品确认/Sample Approval
供应商应在约定的时间内按SRF的要求递交样品并附相关支持文件供Bondlux评估确认。

Supplier shall deliver samples in conformance with the SRF and prior to the agreed deadline, together with supporting documents, for Bondlux’s approval.
4．1 五金，塑胶和包装制品，每次送样供应商都应提供完整的《样板检测报告》。

不符合规格要求的样品不应送样，特别是图纸标示的关键尺寸。

For metal, plastic and packing material, delivery lf every sample shall be accompanied by a comprehensive Sample Checking Report. All samples delivered must comply with the specifications,especially the critical dimensions.
其他料件供应商应提供样品检查报告。

For other parts, Supplier shall also furnish the sample test report.
4．2 供应商应按SRF的要求提供足够数量的样品。

Supplier shall deliver the quantity in accordance with the SRF.
4．3 因供应商原因造成样品不合格累计判退三次（含三次）以上，Bondlux将发出“处罚通知”。

Bondlux保留取消模具采购订单的权利，并要求偿还模具款。

罚则如下：
1．第三次判退后，自第二次判退日起至第三次交样日，每工作日按模具价格的1.0%累计处以罚金。

2．之后第N次(N＞3)判退后,自第N-1次判退日起至第N次交样日，每工作日按模具价格的1.5%累计处以罚金。

3．如第N次判合格，自第N-1次判退日起至第N次交样日，每工作日按模具价格的0.5%累计处以罚金。

If the sample is rejected more than 3 times (including the 3rd time)due to the fault of Supplier, Bondlux shall release a PENALTY NOTICE to impose a penalty fee. Bondlux reserves the right to cancel the Tooling Purchase Order and demand a refund. The penalty rules are as follows:
1.For a sample rejected for the 3rd time –a fine of 1.0% lf tooling cost per working day from the 2nd rejection date to
the delivery date of 3rd sample;
2.For a sample rejected for the Nth time (where N＞3)-fine of 1.5% of tooling cost per working day form Nth-1
rejection date to the delivery date of sample for the Nth time;
3.If sample accepted at Nth time –a fine of 0.5%of tooling cost per working day from Nth-1 rejection date to the
delivery date of sample for the Nth time
4．4 最终批准的样品应能代表供应商的批量生产水平。

Bondlux会发出签署的“工程确认单（EAF）”及签署样品留存。

The approved sample represent the standard for mass production. Bondlux shall issue an Engineering Approval Form (EAF) and sign on the approved sample for retention(the golden sample).
4．5 样品确认后，供应商不得进行任何材料及设计规格的改动，如有变更要求，必须取得Bondlux的正式书面确认后方可进行。

如发现未经Bondlux同意而擅自变更的货品，Bondlux有权拒收或退回，造成本公司生产损失的
将要求供应商进行赔偿并处以人民币50,000（伍万元）的罚款。

Supplier cannot make any unauthorized changes to materials or design after the approval. If changes are required, Bondlux’s official approval must be obtained in writing .If any unauthorized changes are discovered, Bondlux has the right to reject or return the parts. Supplier shall compensate Bondlux for any production loss that results plus a penalty fee of 50,000 RMB
5．模具维护/TOOLING Maintenance
Bondlux付费开发，提供的模具，工具，设计图案（统称为模具）归Bondlux所拥有。

All patterns, dies, moulds or other tooling (collectively,”Tooling”) supplied by Bondlux or prepared or obtained by Supplier for and at the cost of Bondlux shall be and remain the property of Bondlux.
5．1 在模具寿命期间，供应商应负责维护模具及维修。

During the life cycle of Tooling,Supplier shall be responsible for all maintenance and repair of Tooling.
5．2 Bondlux有权要求供应商在7个工作日内返还本公司拥有的，状态良好的模具。

如供应商未能按要求返还模具，Bondlux有权:-
(a)向供应商追还模具款，供应商应予以返还；
(b)向供应商追偿模具维修费用，供应商应予以偿还；
(c)以供应商的费用开发新模具。

Bondlux shall have the right to request Supplier to return the Tooling in good repair and condition within 7 working days of notice, at Supplier’s expense. If Supplier fails to return the Tooling accordingly, Bondlux has the right to:-
(a)claim from Supplier the cost of development of the Tooling;
(b)claim from Supplier the cost of repair of the Tooling; or
(c)open a new Tooling at Supplier’s expense.
5．3 此模具仅为Bondlux产品使用，没有Bondlux的书面授权，供应商不可使用该模具为第三方提供产品，同时也不可授权或允许第三方使用该模具。

Supplier shall not use such Tooling, nor shall authorize or knowingly permit it to be used by anyone else for, or in connection with, any purpose other than the supply of parts to Bondlux, unless such use is expressly authorized by Bondlux in writing.
6．批量生产/Mass Production
6．1 当本公司进入批量生产时物料采购部将发出采购订单进入批量采购流程；
Our Material Department will issue Purchase Orders for bulk purchase of Goods.
6．2 供应商的授权人一旦签署采购订单，供应商将受采购订单约束。

所有附加性或注解性的增补、表单或其他附件将构成订单的一部分，与订单一起被视为已被供应商同意和接受。

Supplier shall be bound by a Purchase Order once it is signed by an authorized person. All supplements, sheets or other attachments which may be annexed thereto or referenced therein are part of the Purchase Order and Supplier shall be deemed to have agreed to them by acceptance of the Purchase Order.
6．3 供应商应保证批量生产的产品质量与确认的样品保持一致。

对于质量低于标准的产品为Bondlux造成的损失，供应商应承担责任并负责赔偿，包括收回不合格产品的运输成本。

Supplier shall guarantee that the quality standard of the mass produced parts will always be in accordance with the approved sample. For any loss due to substandard quality of the parts,Supplier shall bear responsibility and pay full compensation which can include the transportation costs for recovering the failed finished products.
6．4 本公司生产损失中的工时损耗因供应商履约瑕疵所损耗的工时计算得出，标准为每小时RMB12.00元/人，即工时损耗=损耗工时*RMB30.00。

Our man-hours cost of production loss shall be calculated based on production man-hours,which is RMB12.00 per hour per head.
i.e.man-hours cost=lost man-hours×RMB30.00
7.检验及测试/Inspection and Testing
7．1 供应商应该自行承担为Bondlux取得正式的承认、允许的文件或订单规格的改变所产生的认证承认的费用。

发货前供应商应该检验产品以满足规格要求；应Bondlux要求，供应商应该提供检验报告、在合理时间内将检测通知Bondlux且Bondlux有权现场监督检验。

Supplier shall at its own cost obtain for Bondlux official approvals/permits/documents or certificates necessary to enable Bondlux to accept delivery including additional documents resulting from changes in the Purchase Order.
Before dispatching the Goods, Supplier shall carefully inspect and test them for compliance with the specifications.
Supplier shall, if requested by Bondlux ,give Bondlux reasonable notice of such tests and Bondlux shall be entitled to be witness such testing.
7．2 Bondlux有权在产品的生产过程和储藏过程中进行检验或测试；如果Bondlux执行检验或测试，则供应商必须应Bondlux的合理要求提供相对应的检验工具和场地；如果Bondlux或其代表的检验或测试结果显示产品不符合订单要求或者生产加工工艺不能达到要求，则Bondlux应该通知供应商，供应商应采取对策生产到满足订单要求的产品。

Bondlux has the right to inspect and test Goods during manufacture, processing or storage. Ir Bondlux exercises this right,Supplier shall provide all such facilities as reasonably required by Bondlux. If as a result of any inspection or test, Bondlux or its representative concludes that the Goods do not comply with the Purchase Order, or are unlikely on completion of manufacture or processing so to comply,we shall inform Supplier accordingly and Supplier shall take action to provide Goods to comply with Purchase Order.
7．3 如果供应商所交货物是易腐烂的，或有限定的使用寿命期限的，或产品的使用寿命周期会受某些因素的不利影响，则供应商应将这些信息以明确的书面形式通知Bondlux。

If the Goods are perishable or have a limited life expectancy or if there are any circumstances adversely affecting the life span of the Goods, Supplier must advise Bondlux in writing of all such information.
8．担保/W arranties
8．1 除法律所明示或默示的所有其他条款外，供应商应保证产品在被Bondlux接收后达到通常的保质期（以产品规格书为准），即产品不仅在工艺和材料方面应无任何缺陷并符合规格书、图纸、确认样品和说明（包括操作规范），而且产品无任何功能缺陷，能达到Bondlux的预期目的。

如果产品是供应商设计的，则供应商要对设计不良负全部责任。

如果产品规格书未就保质期作专门说明，则视为双方约定保质期为Bondlux接收产品之日起的五年。

In addition to other conditions, express or implied by law, Supplier warrants, for the usual warranty period for the Goods (as per the Specifications) after the Goods have been received (“Warranty Period”),that the Goods are free from defects in workmanship and materials, strictly conform to the Specifications, drawings, approved samples and descriptions,including performance specifications, and will be fit and sufficient for Bondlux’s intended purposes and if based on Supplier’s design, will be free from design defects.If no warranty period is specified in the Specifications, the Warranty Period shall be deemed to be 5 years from the date of receipt of the Goods by Bondlux.
8．2 在保质期内产品在正常的使用中被发现或者出现不能满足当初的设计要求、工艺要求、材料要求、或者是因为运输途中损坏，那么供应商应更换该不良品和承担返工费用。

供应商不可以拒绝任何对在保质期内出现的质量问题的索赔，即使索赔是在保质期结束后提出。

If within the Warranty Period any defect in the Goods is discovered or arises under normal use attributable in Bondlux’s opinion to faulty design, materials or workmanship or defect caused by damage in transit, Supplier shall at its expense replace the Goods and reimburse for any rework charges .Supplier cannot reject any claim made for defects arising within the warranty Period even if the claim is made after end of the Warranty Period.
8．3 上面所讲的保质期条款同样适用于更换后的产品和维修后的产品，他们的保质期将从更换或修理日起算。

This Warranty Period shall likewise apply to any replacement or repaired Goods and shall be effective from the date of such of replacement or repair.
9．交货/Delivery
9．1 供应商应该按照订单要求的日期交货，产品的交货日期应该非常关键。

Supplier shall deliver the Goods at the time specified in the Purchase Order. Time of delivery of the Goods shall be of the essence.
9．2 产品应该有合格的包装可确保产品被以良好状态送达Bondlux指定的地点，而交货的费用和风险均由供应商承担。

The Goods ,properly packed and secured in such a manner as to reach their destination in good condition, shall be delivered by Supplier at its own expense and risk to the place designated by Bondlux.
9．3 如果产品或者部分产品没有依照订单按期或如期交货，Bondlux有权自行终止全部或者部分订单。

在此类订单终止情况下，Bondlux有权要求：
If the Goods or any portion thereof are not delivered within the time or times specified in the Purchase Order,Bondlux shall be entitled to terminate the Purchase Order in part or in full, at Bondlux’s discretion. On such termination Bondlux shall be entitled:
（a）退回已交货物，供应商承担退货的风险及其产生的费用，同时有权追加已付货款，并且或者，
（b）向供应商追偿遭受的所有损失和损害，包括利润损失、Bondlux为获取替代产品的额外开支和其他相关成本。

(a) To return at Supplier’s risk and expense any of the Goods already delivered and to recover from Supplier any
monies paid by Bondlux for such Goods; and/or
(b) To recover from Supplier all loss and damages suffered, including loss of profits, additional expenditures
incurred by Bondlux to obtain replacement goods and other related costs.
9．4 在供应商早于订单要求的交货日提前交货的，Bondlux有权保留或者退回收到产品（退回费用由供应商承担），但是保留产品并不代表Bondlux放弃退回提前交货产品的权利，也不代表可以提前付款。

Bondlux may retain or return to Supplier at Supplier’s expense Goods received in advance lf the delivery date specified in the Purchase Order. No such retention shall waive Bondlux’s right to return subsequent shipments of Goods nor shall retention accelerate the time for payment.
9．5 超订单数量交货的产品可能退回，其退货的风险和费用由供应商承担，或者以最低价出售给Bondlux。

Over shipments may be returned at Supplier’s risk and expense or accepted by Bondlux at the lowest price per unit charged by Supplier.
9．6 尽管产品的所有权已经转移到Bondlux一方，但产品在被交付到和被Bondlux接收到之前遭受的一切损失或损害风险应供应商承担。

Notwithstanding that title to the Goods may have passed to Bondlux, the risk of any loss of or damage to the Goods shall be borne by Supplier until the Goods are delivered to and received by Bondlux.
9．7 供应商应以最快的速度免费更换或修理运送中丢失或损坏的产品。

Supplier shall, free of charge and with all possible speed,repair or replace to the satisfaction of Bondlux any Goods damaged or lost in transit.
9．8 Bondlux如果接受迟延交货的产品或者其中一部分，不应视为Bondlux放弃其任何权利，并且Bondlux有权向供应商追偿因产品或其中一部分迟延交货所遭受的所有损失或损害。

If Bondlux accepts late delivery of the Goods or part thereof, Bondlux shall not be deemed to have waived any of its rights and shall be entiled to recover all loss or damages suffered by reason of such late delivery of the goods or part thereof.
Bondlux的要求延期交货后，
be made against Supplier’s correct invoice quoting Bondlux’s purchase Order number, within the
period1after delivery specified in the Purchase Order, or where a delivery is postponed at the request of Bondlux, within the same time period after the date when the goods are delivered to Bondlux.
11．供应商违约/Breach by Supplier
11．1 供应商如果没有满足订单中要求的时间、数量，或者以约定以外的方式履行本约定中的义务，则Bondlux有权选择
(a) 给予供应商一个在Bondlux限定期限内对履约瑕疵予以补救的机会；或者
(b) Bondlux有权选择以书面通知的方式全部或部分取消订单。

Failure by Supplier to perform within the agreed time, to adhere to the agreed quantities, to fulfil or otherwise to perform any of the obligations pursuant to this agreement shall entitle Bondlux, at its option,:-
(a) To give Supplier an opportunity to remedy its failure within a period of time to be fixed by
Bondlux;or
(b) To cancel the Purchase Order at Bondlux’s option wholly or partially without notice of default by
means of a written notice.
11．2 如果供应商没有在Bondlux的限定时间内对履约瑕疵予以补救，Bondlux可以取消订单，取消订单无损于Bondlux就因此遭受的所有损失、损害、成本和费用（包括Bondlux因供应商的履约瑕疵而可能直接或间接遭受的罚金）向供应商提出索赔的权利。

Bondlux may also cancel the Purchase Order in the same manner in the event that Supplier has not remedied its failure within the period of time fixed by Bondlux . Cancellation of the Purchase Order shall not prejudice the right of Bondlux to claim against Supplier for all loss, costs and expenses including fines which Bondlux may incur directly or indirectly as a result of such failure to perform.
12．赔偿/Indemnity
在无损于Bondlux在本约定和法律项下所享有的任何权利或救济的前提下，供应商应赔偿Bondlux所遭受和使Bondlux避免遭受来自第三方就产品提起的任何和所有索赔指控，供应商应赔偿Bondlux因供应商或供应商的分包商违反或不履行本约定项下的陈述、担保和义务而直接或间接遭受的损害、损失和费用（包括律师费）。

Without prejudice to any other rights or remedies available to Bondlux herein or at law, Supplier shall indemnify and hold Bondlux harmless against any and all claims by third parties in connection with the Goods and shall reimburse Bondlux for damages,loss and expenses(including attorneys’fees)arising directly or indirectly from any breach or Supplier or Supplier’s subcontractor of any representations, warranties and obligations under
Bondlux有权不通知供应商而自行终止履行本约定项下的义务或者取消全部或部分订单：
3．债权人或者其他主张权利人占有供应商的任何资产或财产，或者接管人、管理人或类似职位担当人被指定接管供应商的任何资产或财产。

Bondlux shall be entitled at its discretion to suspend the performance of its obligations under these Terms and
Conditions or to cancel the Purchase Order in whole or in part without notice to Supplier in the event that:
1.Supplier becomes insolvent or goes into liquidation;
2.Supplier ceases or threatens to cease to carry on business;or
3. a creditor or other claimant takes possession of, or a receiver, administrator or similar officer is
appointed over any of the property or assets of Supplier.
Bondlux无须因终止本约定向供应商负责。

Bondlux shall not be liable to Supplier by virtue of such termination.
13．2 为方便起见，Bondlux可以书面通知供应商的方式取消全部或部分订单，或者修改订单数量、出货方式、交货
时间、地点等与产品相关的条款。

基于此类通知，Bondlux可能会选择向供应商购买与订单项下产品相关的
可利用并适宜销售的原材料、半成品及成品，基于本条款所作出的此类购买将是供应商因Bondlux撤销订
单可获得的唯一和排他性救济措施。

Bondlux may, for its convenience, cancel the Purchase Order in whole or in part or change the agreed terms
relating to quantities, shipment procedures or times or places of performance in respect of any of the Goods by
notice in writing to Supplier. Upon such notice, Bondlux may, at its option, purchase from Supplier raw materials,
word-in-process and finished goods inventory related to the Goods under Purchase Order, which are useable and in
a merchantable condition. Such purchases made under this clause shall be Supplier’s sole and exclusive recovery
from Bondlux on account of such cancellation.
14．转让/Assignment/Transfer
14．1 无Bondlux的书面同意，供应商不可将全部或者部分订单进行转让。

Supplier shall not without the consent in writing of Bondlux assign or transfer the Purchase Order or any part thereof. 14．2 无Bondlux的书面同意，供应商不可将订单或者部分订单进行分包，但不妨碍供应商将部分订单分包给与其同属同一集团的成员公司。

Bondlux同意分包并不免除供应商在订单项下所负的任何义务。

Supplier shall not without the consent in writing of Bondlux sub-contract the Purchase Order or any part thereof, but this shall not prevent Supplier sub-contracting part of the Purchase Order to any company which is a member of the group to which Supplier belongs. Such consent shall not relieve Supplier of any of its obligations under the Purchase Order.
15．保密/Confidentiality
15．1 订单及其中的内容应作为双方的保密信息，无Bondlux的书面同意前不得以任何理由向第三方泄漏或公布。

The Purchase Order and the subject matter thereof shall be treated as confidential between parties and shall not be disclosed or publicized to any third party for any reason without prior written consent of Bondlux.
15．2 无Bondlux 的书面同意前，供应商不得使用Bondlux 的名称或商标作广告或者宣传。

Supplier shall not use the Bondlux’s name and/or trademarks for advertising or publicity purposes without Bondlux prior written consent.
15．3 供应商不得向任何第三方复制、公开或者使其知悉Bondlux为订单所提供或制作的关于产品的任何图纸、模具、书面的指导书、规格书、信涵、技术资料和任何人类或者机器可识别的信息。

Bondlux保留上述资料的所有权，一经要求，供应商必须负责退还原资料至Bondlux，所产生的费用由供应商承担。

Supplier shall not copy ,publicize or make available to any third party any drawings patterns, tooling of any kind, written instructions, specifications, correspondences, technical papers, any information(whether in human readable or machine readable form ) supplied by Bondlux and /or produced by Bondlux for the purposes of the Purchase Order ,and the same shall remain Bondlux’s property and must be returned to Bondlux on demand at Supplier’s expense.
16．适用条款/Governing Terms
供应商所陈述的条款如与本约定发生冲突，应适用本约定的条款；但是如双方就本交易另行签订了专门的开发或供应合同，应适用该合同的条款。

无双方书面同意，对本约定的任何修改均属无效。

In the event there is any conflict between these Terms and Conditions and any terms set forth by Supplier, these Terms and Conditions shall govern; however,in the event that the parties enter into a specific development or supply contract or supply contract for the transaction, the terms set forth in such contract shall govern. No amendment of any terms set forth herin shall be valid unless agreed in writing by both parties.
17．可分割性/Severability
本约定的任何条款如被法院或其他有权部门认定为全部或部分无效或者不可执行，其他条款和该条款的剩余部分的效力不受影响。

If any of these Terms and conditions is held by any court or other competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Terms and Conditions and the remainder of the provision in
question shall not be affected.
18．放弃/W aiver
Bondlux放弃对供应商某项违约的追究，不应被视为Bondlux放弃对供应商以后相同违约或其他违约的追究。

Any waiver by Bondlux of a breach of any of these Terms and Conditions shall not be considered as a waiver of any subsequent breach of the same or any other term or condition.
19．适用法律和争议解决/Governing law and Dispute Resolution
本约定适用中华人民共和国颁布和施行的法律。

These Terms and Conditions shall be governed by the laws of the People’s Republic of China as published and publicly available.
本约定为中英文版本，中英文如有不同，以中文为准。

These Terms and Conditions are written in both Chinese and English. The Chinese version prevails if there are any inconsistencies.
因本约定产生的或与本约定有关的任何争议应提交东莞仲裁委员会按照该会即时有效的仲裁规则仲裁。

仲裁裁决是终局裁决，对双方具有拘束力。

Any dispute arising fron or in connection with these Terms and Conditions shall be submitted to Dongguan Arbitration Commission for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
20．其他/General
供应商生产和向Bondlux销售产品应遵守所有与产品有关的法律和法规，包括但不限于中国的规管产品生产、环保、劳工、海关和税务的任何法律和法规。

Supplier shall comply with all laws and regulations for the time being in force relating to the manufacture of the Products and the sale of such Products to Bondlux including but not limited to any laws and regulations governing the manufacture of Products in China , environmental protection, employment and labour as well as customs and excise and tax.
