Waste Disposal Contract for High Schools.
This contract is made and entered into this [Date of Contract] by and between [School Name], a public high school located at [School Address], hereinafter referred to as "School," and [Vendor Name], a waste disposal company located at [Vendor Address], hereinafter referred to as "Vendor."
1. Scope of Services.
Vendor shall provide waste disposal services to School in accordance with the terms and conditions of this contract. Such services shall include, but are not limited to:
Collection and removal of solid waste, recyclables, and hazardous materials.
Transportation of waste to approved disposal facilities.
Compliance with all applicable laws and regulations regarding waste disposal.
2. Collection Schedule and Frequency.
Solid waste: [Specify frequency of collection, e.g., weekly, bi-weekly]
Recyclables: [Specify frequency of collection, e.g., monthly]
Hazardous materials: As needed.
3. Waste Containers and Disposal Locations.
Vendor shall provide and maintain appropriate waste containers at the School's designated disposal locations.
School shall be responsible for placing waste in the
designated containers.
4. Disposal Methods and Facilities.
Vendor shall dispose of waste in accordance with the following methods and at the following facilities:
Solid waste: Landfilling at [Landfill Name]
Recyclables: Recycling at [Recycling Facility Name]
Hazardous materials: Disposal at [Licensed Hazardous Waste Facility Name]
5. Environmental Compliance.
Vendor shall comply with all applicable federal, state, and local laws and regulations regarding waste disposal.
Vendor shall provide School with documentation of its environmental compliance upon request.
6. Insurance.
Vendor shall maintain adequate insurance coverage to protect School from liability arising out of Vendor's performance under this contract.
Such coverage shall include, but is not limited to:
General liability.
Pollution liability.
Workers' compensation.
7. Indemnification.
Vendor shall indemnify and hold harmless School from any and all claims, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with Vendor's performance under this contract.
8. Term of Contract.
This contract shall commence on [Start Date] and continue for a period of [Contract Duration], unless terminated earlier in accordance with the terms of this contract.
9. Termination.
Either party may terminate this contract for cause by providing [Notice Period] written notice to the other party.
Cause for termination includes, but is not limited to:
Material breach of this contract by either party.
Failure to comply with applicable laws or regulations.
Insolvency or bankruptcy of either party.
10. Payment.
School shall pay Vendor a monthly fee of [Amount] for the services rendered under this contract.
Payment shall be due within [Payment Terms] of receipt of invoice.
11. Dispute Resolution.
Any disputes arising out of or in connection with this contract shall be resolved through mediation or arbitration in accordance with the rules of the [Dispute Resolution Forum Name].
The prevailing party in any dispute shall be entitled to recover its reasonable attorney's fees and costs.
12. Governing Law.
This contract shall be governed by and construed in accordance with the laws of the State of [State].
13. Entire Agreement.

No other agreements, understandings, or representations, whether oral or written, shall be binding upon the parties unless expressly incorporated into this contract.
14. Amendment.
This contract may be amended only by a written agreement signed by both parties.
15. Assignment.
Neither party may assign this contract without the prior written consent of the other party.
16. Severability.
If any provision of this contract is held to be
invalid or unenforceable, such provision shall be severed from the contract, and the remaining provisions shall remain in full force and effect.
