Accredited Investors
The federal securities laws define the term accredited investor in Rule 501 of Regulation D as:
1. a bank, insurance company, registered investment company, business
development company, or small business investment company;
2.an employee benefit plan, within the meaning of the Employee Retirement
Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in
excess of $5 million;
3. a charitable organization, corporation, or partnership with assets exceeding
$5 million;
4. a director, executive officer, or general partner of the company selling the
securities;
5. a business in which all the equity owners are accredited investors;
6. a natural person who has individual net worth, or joint net worth with the
person抯spouse, that exceeds $1 million at the time of the purchase;
7. a natural person with income exceeding $200,000 in each of the two most
recent years or joint income with a spouse exceeding $300,000 for those
years and a reasonable expectation of the same income level in the current year; or
8. a trust with assets in excess of $5 million, not formed to acquire the
securities offered, whose purchases a sophisticated person makes.
受信投资者
联邦证券法在D规则第501条中对“受信投资者”的定义是：

2.按照雇员退休收入保障法案制定的总资产超过500万美元的，或由银行、保险公司、注册
投资顾问公司做投资决策的雇员福利计划；
3.资产超过500万美元的慈善组织、法人或合伙人；
4.销售该公司股票的董事、行政人员及一般合伙人；
5.所有投资股东都为受信投资者的企业；
6.买股时，个人或其配偶联合净资产超过100万美元的自然人；
7.最近两年个人年收入均超过20万美元且当年收入有望维持当前水平，或最近两年配偶的联
合年收入均超过30万美元且当年收入有望维持当前水平的自然人；
8.资产超过500万美元的信托公司，且其成立动机不是为了收购资深投资者购买的股票。
