TSS China的报价基于以下条款：
1. 除另有说明，此报价的有效期为30天。

在收到书面确认之前，我公司有权修改报价。

2. 公司任何时间都有权修改报价单上的明显错误或笔误。

3. 由罢工、意外事故、天灾或战争等不可抗力因素造成的延期交货，我公司不负责由
此而引起的损害。

4. 付款条款经申请并获得批准后适用。

5. 价格条款是：本公司上海仓库出厂价。

6. 由于交货时间或目的地的不同，应客户要求采用多次发运方式时，我公司有权修改
报价，以便反映流程变动而增加的成本、延期发货期间增加的材料及人工费用。

多次发货需要客户在下采购订单时提出。

7. 实际发货的数量误差允许在 + /-3%之内。

8.交货时间是基于报价时的生产能力和需求计划而定的。

实际交货期在收到你的采购
订单后才能确认。

9.保质期是从卖方发票日起一年之内.本销售不包括所有的默认担保，如默认的商品性
能担保和特定用途的适用性保证等。

依据本合同所出售的所有商品都是正常的产品销售。

卖方对独立个案中由我们推荐的产品适宜性或正确性不承担责任，因此，客户需要自己通过充分的测试来确定个别产品是否满足需求。

10.无论如何，特瑞堡密封系统（中国）有限公司都不对给买方或任何第三方造成的任
何间接损失、偶然损失、特殊损失或衍生损害等负责。

无论如何，特瑞堡密封系统（中国）有限公司造成损害的最大责任为不超过本合同内相关产品的订单金额，无论该损害是在合同的约定之内、侵权（包括疏忽）或者是法律规定的其他方面。

11.本条款和条件受中华人民共和国法律管辖和诠释。

如有任何由本条款引起的争议、
索赔和违约等由双方协商解决.协商不成的，由卖方所在地的法院裁决。

本报价仅接受在以上所述的TSS的销售条款
General Terms and Conditions of Sale-Quotation
Trelleborg Sealing Solutions (China) Co., Ltd

THIS QUOTATION FROM TRELLEBORG SEALING SOLUTIONS (C HINA) IS MADE UPON THE FOLLOWING TERMS AND CONDITIONS.
1.This quotation shall remain in effect for a period of thirty days from the date unless
otherwise specified. The company reserves the right to modify the quote prior to the Company receipt of any written acceptance.
2.The right is expressly reserved to alter the quotation to reflect any stenographical or
clerical errors, at any time.
3.It is expressly understood that unavoidable delays resulting from strikes, accidents,
acts of God or conditions of war may affect delivery schedules. The Company shall not be liable for any damage arising there from.
4.Payment terms are only available after the Company approval.
5.Goods shall be delivered EXW Shanghai Factory(INCOTERM2010).
6.Request by customer for multiple shipments as to time or destination shall be
deemed to permit the Company to change the quotation to reflect the additional cost involved in processing, and any applicable increases in material or labor cost occurring during the period in which the shipments are deferred. Multiple shipments require instructions of deliveries from the customer at the time of placing the purchase order.
7.All order quantities will be shipped within standard tolerance of + /-3%.
8.Lead time based on current production and demand schedules. Actual delivery can
only be confirmed upon receipt of your purchase order.
9.Warranty period is one year from date of sales. All implied warranties including the
implied warranty of merchantability and the implied warranty of fitness for a particular purpose are hereby excluded from this sale. All products sold pursuant to this contract are sold AS IS. The seller accepts no liability as to the suitability or correctness of our recommendations in individual cases; therefore it is vital that customers satisfy themselves as to the suitability of individual products through adequate testing.
10.In no event shall Trelleborg Sealing Solutions (China) Co,. Ltd be liable for any indirect,
incidental, special or consequential damages incurred by Customer or any third party.
In no event shall Trelleborg Sealing Solutions (China) Co., Ltd’s liability for damages exceed the value under this order whether the claim is presented in contract, tort (including negligence) or otherwise at law.
11.These General Terms and Conditions of Sales will be governed by and construed in
accordance with the laws of Peoples Republic of China. Any controversy or claim arising out of or in relation to these General Terms and Conditions of Sales or the breach thereof shall be negotiated by both parties, otherwise shall be settled by the count of location of seller.
This quote is accepted only per Trelleborg Sealing Solutions terms and conditions of sale.。
