退出市场协议书
This Exit Market Agreement (hereinafter referred to as the "Agreement") is made and entered into by and between Party A and Party B, in accordance with the relevant laws and regulations of the People's Republic of China, with the aim of specifying the terms and conditions for Party B's withdrawal from the market and terminating the business cooperation relationship between the two parties.
本退出市场协议书（以下简称“本协议”）由甲方和乙方根据中华人民共和国相关法律法规，为明确乙方退出市场及终止双方业务合作关系的相关条款和条件而签订。

Party A and Party B hereby agree that Party B shall withdraw from the market and terminate the business cooperation relationship with Party A effective from the date specified in this Agreement.
甲、乙双方同意，自本协议规定的日期起，乙方将退出市场并终止与甲方的业务合作关系。

Upon the withdrawal of Party B from the market, all rights and obligations related to the business cooperation between the two parties shall be terminated accordingly.
乙方退出市场后，双方之间的所有业务合作相关权利和义务将相应终止。

Party B shall, within the specified time limit, complete the handling of relevant matters such as the transfer of assets, the settlement of debts and the cancellation of business licenses, in accordance with the requirements of this Agreement and relevant laws and regulations.
乙方应在本协议规定的时限内，按照本协议和相关法律法规的要求，完成资产转让、债务清算、营业执照注销等相关事宜的处理。

Both parties shall maintain confidentiality of the commercial secrets, confidential information, and other sensitive information arising from or related to the business cooperation relationship between the two parties, and shall not disclose or use them for any other purposes without the consent of the other party.
双方应保守因业务合作关系而产生的商业秘密、保密信息及其他敏感信息的机密性，未经对方同意，不得泄露或用于其他目的。

Any disputes arising from or in connection with this Agreement shall be resolved through friendly consultation between the two parties. If no settlement can be reached through consultation, either party may submit the dispute to the court for resolution in accordance with the law.
因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决。

如协商无果，任何一方均可依法向法院提起诉讼解决争议。

This Agreement shall be binding on both parties and shall come into
effect upon the signature or seal of the legal representatives or authorized representatives of both parties.
本协议一经双方法定代表人或授权代表签字或盖章后生效，对双方具有约束力。

Both parties shall abide by the terms and conditions of this Agreement, and shall not violate or terminate this Agreement unilaterally without the consent of the other party.
双方应遵守本协议的各项条款和条件，未经对方同意，不得擅自违反或终止本协议。

In witness whereof, both parties have caused this Agreement to be executed by their respective legal representatives or authorized representatives as of the date first written above.
为证明上述内容，双方已各自授权代表或法定代表人于上述日期签署本协议。
