Exhibition Participation Contract

1. Exhibition Detls
1.1 The exhibition is end [Exhibition Name] and will be held at [Venue Address] from [Start Date] to [End Date].
1.2 The exhibition hours will be from [Opening Time] to [Closing Time] each day.
2. Exhibition Space
2.1 The Organizer agrees to provide the Exhibitor with the exhibition space described as [Space Description] (the "Exhibition Space") at the exhibition venue.
2.2 The Exhibitor shall use the Exhibition Space only for the purpose of exhibiting and promoting the products or services specified in this Contract.
3. Exhibition Fee
3.1 The Exhibitor agrees to pay the Organizer an exhibition fee of [Fee Amount] (the "Exhibition Fee") within [Payment Deadline] after the execution of this Contract.
3.2 The Exhibition Fee is non-refundable except as otherwise provided in this Contract.
4. Exhibitor's Obligations
4.1 The Exhibitor shall set up and decorate the Exhibition Space in accordance with the Organizer's requirements and the exhibition regulations.
4.2 The Exhibitor shall ensure that the exhibited products or services ply with all applicable laws, regulations, and standards.
4.3 The Exhibitor shall staff the Exhibition Space during the exhibition hours and provide professional and courteous service to visitors.
4.4 The Exhibitor shall not sublet or transfer the Exhibition Space to any third party without the prior written consent of the Organizer.
5. Organizer's Obligations
5.1 The Organizer shall provide the Exhibitor with the Exhibition Space in a condition suitable for exhibition.
5.2 The Organizer shall make reasonable efforts to promote the exhibition and attract visitors.
5.3 The Organizer shall provide necessary security and facilities during the exhibition period.
6. Insurance
6.1 The Exhibitor is responsible for obtning insurance coverage for its exhibits, personnel, and equipment during the exhibition period.
6.2 The Organizer shall not be liable for any loss or damage to the Exhibitor's property or any injury to the Exhibitor's personnel except for cases of gross negligence or willful misconduct on the part of the Organizer.
7. Intellectual Property
7.1 The Exhibitor warrants that it has the right to exhibit and promote the products or services displayed at the exhibition and that such exhibition does not infringe the intellectual property rights of any third party.
7.2 The Exhibitor shall indemnify and hold the Organizer harmless from any clms or liabilities arising from any infringement of intellectual property rights.
8. Cancellation and Termination
8.1 If the Exhibitor fls to pay the Exhibition Fee within the specified period, the Organizer has the right to cancel this Contract and reallocate the Exhibition Space.
8.2 Either party may terminate this Contract in the event of a material breach the other party, provided that written notice of the breach and the intention to terminate is given and the breaching party fls to remedy the breach within a reasonable period of time.
9. Force Majeure
Neither party shall be liable for any flure or delay in performing its obligations under this Contract due to force majeure events, such as natural disasters, wars, strikes, or government actions, provided that the affected party promptly notifies the other party of the force majeure event and makes reasonable efforts to resume performance as soon as possible.
10. Confidentiality
Both parties agree to keep confidential all information related to this Contract and the exhibition that is not publicly avlable.
11. Dispute Resolution
Any dispute arising out of or in connection with this Contract shall be resolved through friendly negotiation. If the negotiation fls, the dispute shall be submitted to arbitration in accordance with the rules of [Arbitration Institution]. The arbitration award shall be final and binding on both parties.
12. Governing Law
This Contract shall be governed and construed in accordance with the laws of [Jurisdiction].
13. Entire Agreement
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements.
