Software Project Contract
This Software Project Contract (the "Contract") is made and entered into as
of [date] (the "Effective Date") and between [Client Name] (the "Client") and [Developer Name] (the "Developer").
1. Project Description
The Developer agrees to undertake the development of a software project (the "Project") as described in the attached Project Specification (the "Specification"). The Project shall include the design, development, testing, and delivery of the software in accordance with the requirements and specifications set forth in the Specification.
2. Project Timeline
The Developer shall plete the Project and deliver the software to the Client [delivery date] (the "Delivery Date"). The project timeline is detled in the attached Project Schedule (the "Schedule").
3. Payment Terms

All intellectual property rights in and to any modifications, enhancements, or derivatives of the software made the Client shall belong to the Client.
5. Confidentiality
Both parties agree to mntn the confidentiality of all information related to the Project, including but not limited to the Specification, design documents, source , and test results. This obligation shall survive the termination of this Contract.
6. Warranty and Support
The Developer warrants that the software will conform to the Specification and will be free from defects in material and workmanship for a period of [warranty period] from the Delivery Date. During the warranty period, the Developer shall provide free support and mntenance services to address any issues or bugs in the software.
7. Termination
Either party may terminate this Contract in the event of a material breach the other party. In the event of termination, the parties shall settle any outstanding obligations in accordance with the terms of this Contract.
8. Dispute Resolution
In the event of a dispute arising out of or in connection with this Contract, the parties shall attempt to resolve the dispute through friendly negotiation. If the dispute cannot be resolved through negotiation within [negotiation period], the parties agree to submit the dispute to arbitration in accordance with the rules of [arbitration institution].
9. Governing Law

10. Entire Agreement
