房屋租赁协议
PREMISES LEASE AGREEMENT
业广场,一家依照中华人民共和国(〝中国〞)法律组建并有效存续的有限责任公司,其法定地址在中国陕西省xx市(〝甲方〞),与沃尔玛深国投百货,一家依照中国法律组建并有效存续的有限责任公司,其法定地址在中国广东省深圳市罗湖区洪湖路湖景花园1至3楼(〝乙方〞)(甲方和乙方合称时为〝双方〞),于二零零七年___月____日签订本房屋租赁协议(〝本协议〞)。

THIS PREMISES LEASE AGREEMENT(this 〝Agreement〞) is made and executed on this _______ day of _______, 2006 by and between xx Wanda Commercial Plaza Co., Ltd., a limited liability company duly incorporated and validly existing under the laws of the People’s Republic of China (〝China〞or 〝PRC〞), with its legal address at Road, District, Xi’an City, Shaan’xi Province, China (〝Party A〞), and Wal-Mart SZITIC Stores Co., Ltd., a limited liability company duly incorporated and validly existing under the PRC laws, with its legal address at G/F-2/F, Lakeview Garden, Honghu Road Luohu District, Shenzhen Municipality Guangdong Province, China (〝Party B〞) (Party A and Party B hereinafter collectively referred to as the 〝Parties〞).
双方特此一致达成如下协议:

第2条租赁标的物和房屋
Article 2 LEASEHOLD PROPERTY AND PREMISES
2.1 租赁标的物和房屋Leasehold Property and Premises
甲方和乙方同意按照本协议列明的条款及条件,出租和承租本协议附件一和附件二所示租赁标
的物,该租赁标的物(〝租赁标的物〞)包括:位于陕西省西安市的西安广场中的乙方租赁区域
所在建筑物(〝大厦〞)的地上第一层的部分面积、地下第一层的部分面积和地下第二层的部分
面积的房屋 (总称为〝房屋〞)及位于的停车区(如第6.5条所定义)和沃尔玛室外公共区(如第
6.6条所定义)。

Party A agrees to lease and Party B agrees to rent the Leasehold Property as indicated in Exhibit I and
Exhibit II hereto in accordance with the terms and conditions set forth in this Agreement. The
Leasehold Property (the〝Leasehold Property〞)includes the following space of the building
partly occupied by Party B’s leased area within the Wanda Shopping Plaza (〝Building〞) located at,
Xi’an City, Shaan’xi Province, China: a portion of the area on the Ground Floor, a portion of the area
in Basement One, and a portion of the area in Basement Two, (hereinafter collectively referred to as
the 〝Premises 〞), and the Parking Area (as defined in Article 6.5) in Basement One and the
Wal-Mart’s Outdoor Public Area (as defined in Article 6.6) on the Ground Floor.
如本协议附件二的面积运算表所示,房屋的租用面积总计为一万五千一百六十三平方米
(15,163M2)(〝租用面积〞),其中:A〕房屋地上第一层的租用面积为二百八十六平方米
(286M2); B〕房屋地下第一层的租用面积为商场面积一万四千二百九十一平方米(14,291M2);
C) 房屋地下第二层的租用面积为商场面积五百八十六平方米(586M2)。

(前述租用面积的运算
规那么见本款如下内容)。

租赁标的物的租金将依照租用面积运算。

As shown in the Area List in Exhibit II of this Agreement, the total Leased Area of the Premises rented by Party B is Thirteen Thousand Seven Hundred and Eighty Seven square meters (13,787M2) (〝Leased Area〞), of which consists of, A) Two Hundred Eighty Six square meters (286M2) on the Ground Floor; B) Fourteen Thousand Two Hundred and Ninety One square meters (14,291M2) in Basement One; C) Five Hundred and Eighty Six square meters (586M2) in Basement Two. (The aforesaid Leased Area shall be calculated with the formula described in the following sections of this Article.) The Rent for Leasehold shall be calculated on the basis of the Leased Area.
假设遇有前述租用面积与各部分的实际投影面积(〝实际投影面积〞)的差值超过正负百分之三(±3%)时,甲方须及时书面通知乙方,乙方享有同意或拒绝的选择权。

假如乙方同意,那么乙方按实际投影面积调整租金;假如乙方拒绝,那么甲方须将房屋的投影面积调整成正负百分之三(±3%)幅度内的租用面积方可交付房屋。

双方同意,前述实际投影面积以当地政府房地产治理部门指定的测绘事务所测定的为准。

In the event that the aforesaid Leased Area surpasses ± 3% of the Actual
Projected Area (〝Actual Projected Area〞), Party A must notify Party B in writing promptly. Party
B has the discretion to accept or reject such variance. If Party B agrees to accept the variance, Party B
shall have the right to adjust the Rent according to the Actual Projected Area. If Party B rejects the variance, before the delivery of the Premises, Party A shall rectify the Actual Projected Area to keep the variance of the Leased Area and the Actual Projected Area within the scope of ± 3%. Both Parties agree that the aforesaid Actual Projected Area shall be subject to the final determination of the Survey Firm designated by the local Real Estate Administration Authority.
依照以上甲乙双方同意的租用面积之运算规那么,甲乙双方进一步同意,房屋各部分租赁区域的租用面积如下:
According to the above agreed formula which is set to calculate the Leased Area, the parties further agree that the Leased Area is allocated in different leased areas as follow:
(1)房屋地上第一层的租用面积为二百八十六平方米(286M2),包括自动坡道面积七十八平方米
(78M2),和收货区面积二百零八平方米(208M2);
The total leased area on the Ground Floor is Two Hundred Eighty Six square meters (286M2),
including Seventy Eight square meters (78M2) for travelator area, and Two Hundred and Eight
square meters (208M2) for loading area
(2)房屋地下第一层的租用面积为一万四千二百九十一平方米(14,291M2),包括,商场面积一万
三千五百零一平方米(13,501M2),压缩机房面积九十九平方米(99M2),储油间面积二十三平
方米(23M2),货车停靠区面积一百八十七平方米(187M2),水泵房面积二百三十九平方米
(239M2),发电机房面积一百三十七平方米(137M2),变电所面积一百零五平方米(105M2);
The total leased area in Basement One is Fourteen Thousand Two Hundred and Ninety One square
meters (14,291M2), including Thirteen Thousand Five Hundred and One square meters (13,501M2)
for store area, Ninty Nine square meters (99M2) for compressor room, Twenty Three square meters (23M2) for oil room, One Hundred and Eight Seven square meters (187M2) for truck parking lot, Two Hundred and Thirty Nine square meters (239M2) for pump room, One Hundred and Thirty Seven square meters (137M2), One Hundred and Five square meters (105M2) for substation room.
(3)房屋地下第二层的租用面积为其他设备房面积五百八十六平方米(586M2)。

The total leased area in Basement One is Five Hundred and Eighty Six square meters (586M2) for other E.Q room.
假设遇本条项下的描述与本协议附件一和/或附件二的内容不一致,计租方法和租用面积以附件一和/或附件二的内容为准。

In the event of any inconsistency between the descriptions hereof and the specifications shown in Exhibit I and/or Exhibit II, the specifications as shown in Exhibit I and/or Exhibit II shall prevail for the Rent calculation formula and leased area.
本协议附件一、附件二项下的机电设备房、存货区、装卸货区及货车停靠区为乙方的计租专用区域,停车场和沃尔玛室外公共区系乙方的免费专用区域。

The electric equipment rooms, the storage area, the loading and unloading area, and truck parking as shown in Exhibit I and Exhibit II shall be used exclusively by Party B and Party B shall pay the rent for such exclusive use. Party B is entitled to exclusively use the Parking Area and the Wal-Mart’s Outdoor Public Area as shown in Exhibits I and Exhibit II without any payment.
2.2 房屋的设计和建筑Design and Construction of the Premises
除非双方另有协议并经西安市政府相关部门批准,甲方将自筹资金,按照本协议附件四所规定的要求和规格完成租赁标的物的设计及施工工作。

租赁标的物的工程需按本协议附件四所规定的要求和规格完成,并经乙方验收合格。

甲方应按照中国建设部有关规定,办理工程质量合格的备案手续。

Unless otherwise agreed by the Parties and approved by the relevant authority of Xi’an City, Party A shall, at its sole costs and expenses, complete the design and construction of the Premises in accordance with the requirements and specifications as defined in Exhibit IV hereto. The Leasehold constructed shall meet the requirements and specifications as set forth in Exhibit IV hereto and shall be subject to the inspection of and the acceptance by Party B. Party A shall perform the filing procedure with relevant authority in connection with the inspection and acceptance of construction of the Leasehold in accordance with the regulations of the Ministry of Construction of PRC.
第3条租期
Article 3 TERM
3.1 租期Initial Term
本协议的租期为十五(15)年,自房屋内乙方购物广场开业日起运算(〝租期〞)。

The Initial Term of this Agreement is Fifteen (15) years commencing on the Grand Opening Day of
Party B’s Supercenter within the Premises (〝Initial Term〞).
3.2 续约Renewal
乙方有权按本协议相同的条款和条件〔双方另有约定者除外〕在本协议初始租期届满时续约。

续约次数最多为五(5)次,每次最长续约五(5)年(以下称〝续约期〞)。

每个续约期应从初始租期
或前一续约期终止日的下一日开始运算。

本协议租期应为初始租期加上乙方全部续约期之和
〔以下称〝租期〞〕。

初始租期届满后,假设乙方决定续约,那么自本协议项下第一个续约
期的第一个租约年〔即第十六[16th]个租约年〕的年租金应在第十五(15)个租约年的基础上递增
百分之四(4%)至百分之十(10%),此后,自第十七(17)个租约年起至租期终止,续约期内的年
租金在第十六(16)个租约年年租金的基础上每两(2)年递增百分之四(4%)。

Upon the expiration of the Initial Term, Party B may renew this Agreement with the same provisions
and conditions as stipulated in this Agreement (unless the Parties agree otherwise). Such right may be
exercised Five (5) times at most and the term for each renewal will not exceed Five (5) years (the
〝Extension Period〞). Each Extension Period will begin on the date following the expiration of the
Initial Term or the immediately preceding Extension Period. The 〝Term〞under this Agreement
will refer to the Initial Term and all the Extension Periods thereof (the 〝Term〞). Upon expiration
of the Initial Term, if Party B decides to renew this Agreement, the Rent of the Sixteenth (16th) Lease
Year shall be increased by Four percent (4%) to Ten percent (10%) on the basis of the Rent for the
Fifteenth (15th) Lease Year, consequently, from Seventeenth (17th) Lease Year through the end of the
Term, the annual Rent for the Extension Periods will increase by Four percent (4%) every Two (2)
years on the basis of the Rent for the Sixteenth (16th) Lease Year.
Upon the expiration of the Initial Term, Party B shall have the option to renew this Agreement for
Three (3) times, each time for a period of up to Five (5) years, in the case of offering the same
amount of rent and the same payment method of rent as the third party’s option, Party B may have the
right to renew this Agreement for another Two (2) times, each time for a period up to Five (5) years
(the 〝Extension Period〞). Each Extension Period shall commence on the date following the
expiration of the Initial Term or the immediately preceding Extension Period. The 〝Term〞under
this Agreement shall refer to the Initial Term and any Extension Period thereof. The Rent for the
Premises during each Extension Period under this Agreement shall be determined by the Parties
through consultation on the basis of the then-prevailing market price; in the event that the Parties
agree to increase the Rent, the Rent of the first Lease Year from the first Extension Period to the third
Extension Period shall be increased by Four percent (4%) to Ten percent (10%) on the basis of the
Rent for the Fifteenth (15th) Lease Year or the last Lease Year of the preceding Extension Period,
consequently, the Rent for remaining Lease Years within the corresponding Extension Period shall be
increased by Four percent (4%) every Two (2) years on the basis of the Rent for the first Lease Year
of the corresponding Extension Period; the Rent for the Fourth (4th) Extension Period and the Fifth
(5th) Extension Period shall be determined by the Parties through consultation on the basis of the
then-prevailing market price.
3.3 续约的程序Procedures for Renewal
甲方须在本协议租期或任何续约期届满前至少十二(12)个月前以书面方式通知乙方续约。

甲方
致乙方的续约通知应包括续约期内的租金金额。

假如在租期或任何续约期届满前六(6)个月乙
方仍没有就甲方续约通知给予书面答复,那么甲方应向乙方发出第二次续约通知。

乙方应在本
协议的租期或任何续租期届满前至少三(3)个月,以书面通知甲方是否行使续约选择权。

如乙
方未在租期或任何续约期届满前三(3)个月就甲方第二次续约通知发出任何书面通知,本协议
在租期或当时的续约期期限届满时自动终止,但乙方享有第15.1条所规定的六十(60)日清理时
刻。

Party A shall notify Party B in writing of Party B’s renewal option at least Twelve (12) months prior
to the expiration date of the Initial Term or any Extension Period of this Agreement. The notice
issued by Party A to Party B shall include the amount of the Rent for the Extension Period. In the
event that Party B fails to respond in writing to Party A’s notice on renewal option Six (6) months
prior to expiration of the Initial Term or applicable Extension Term, Party A shall send the second
notice for renewal option to Party B. Party B shall notify Party A in writing whether it will exercise
its option of renewal at least Three (3) months prior to the expiration date of the Initial Term or any
applicable Extension Period of this Agreement. In the event that Party B fails to respond to Part y A’s
second notice of renewal Three (3) months prior to the expiration of the Initial Term or any
applicable Extension Period, this Agreement shall automatically terminate on the expiration date of
the Initial Term or any applicable Extension Period, but Party B shall be entitled to have a Sixty
(60)-day clean-up period after the termination as specified in Article 15.1 of this Agreement.
第4条租金
Article 4 RENT
4.1 免租期Rent-free Period
自本协议第5.2条规定的进场日起,甲方授予乙方四(4)个月的免租期 (〝免租期〞)。

在免租
期内,乙方无须支付租金,并享有本协议项下全部相应的权益包括房屋占有权和使用权。

乙方
进场后所使用的水、电、空调和燃气费用由乙方承担。

Party A shall grant Party B a rent-free period of Four (4) months commencing on the Starting Date of Construction set forth in Article 5.2 of this Agreement (〝Rent-Free Period〞). During the Rent-Free Period, Party B is not required to pay any rent and shall enjoy all the related rights hereunder including the right to take possession of and use the Premises. Party B shall bear all the charges incurred due to its use of water, electricity, air-conditioning and gas after it starts to conduct the construction in the Premises.
4.2 免租期Rent-free Period
自房屋内乙方购物广场开业日起,甲方另授予乙方两(2)个月的免租期(以下称〝免租期〞)。

免租期内,乙方无需向甲方支付租金(如本协议第4.5条所定义)和/或任何治理费,也不承担其他依照中国法律、法规和规章所规定的甲方作为租赁标的物所有人所应承担的任何税费,并可在乙方房屋内正常营业。

Party A agrees to grant to Party B a Rent-free Period of Two (2) months starting from the Grand Opening Day of Party B’s Supercenter within the Premises (the 〝Rent-free Period〞). During the Rent-free Period, Party B shall not be charged by Party A for any Rent (as defined in Article 4.5) and/or any management fee, and all and any other expense and taxes that Party A shall bear as the owner of the Leasehold Property under relevant PRC laws, regulations and Rules, and shall have the right to conduct its business operation within the Premises.
4.2 租金Rent
房屋的租金已包括租金、物业治理费(备注:物业治理费为租用面积每平方米每月人民币贰元、设施系统使用费及按照中国法律应由甲方承担的与房屋相关的其它费用和支出。

双方明确:乙方租用面积内的水〔含空调用水〕、电〔含空调用电〕、燃气费按事实上际用量,单独计量,自行向相关部门缴纳。

房屋内乙方购物广场开业日,为第一个租约年的开始日(〝开始日〞)。

一个〝租约年〞指连续十二(12)个月的期间。

commencement date (〝Commencement Date〞) of the First Lease Year. Each consecutive 12-month period shall constitute a 〝Lease Year〞.
初始租期内租赁标的物内设备房的租金按如下标准运算:
The Rent for E.Q. room within the Leasehold Property during the Initial Term will be calculated as follows:
初始租期内租赁标的物内非设备房面积的租金按如下标准运算:
The Rent for the area of non-E.Q. room within the Leasehold Property during the Initial Term will be calculated as follows:
4.3 租金支付日期及发票Date of Payment of Rent and Invoice
租金应在每月的第十(10)日或之前支付〔遇中国的法定节假日顺延〕。

如租赁起始日不是一个公历月的第一天或租期终止日不是一个公历月的最后一天,那么第一个月或最后一个月的租金
应按实际租赁天数占该月总天数的比例运算,且第一个月的租金应于租赁起始日后的十(10)日内支付。

甲方应在每月第十三(13)日或之前向乙方提供符合中国法律规定和税务行政主管部门要求的合法租金发票,该发票金额应与本协议第4.2条约定的乙方当月应对租金〔不含物业治理费〕金额相同。

The Rent shall be paid on or before the Tenth (10th) day of each month (such day shall be automatically extended in case of an official holiday). In the event that the Commencement Date does not fall on the first day of a month, or the ending date of the Term does not fall on the last day of a month, the rent for the first month or for the last month shall be calculated pro rata on a daily basis for the actual leasing day(s) in that month, and the rent of the first month shall be paid within Ten (10) days following the Commencement Date. Party A shall issue an official leasing invoice, which is valid under PRC law and conforming with the requirements of PRC tax authority, to Party B on or before the Thirteenth (13th) day of each month, and the amount of such invoice shall be equal to that of the Rent that Party B shall pay for such month according to Article 4.2 of this Agreement.
甲乙双方在此确认,甲方向乙方提供符合本第4.3条要求之正式租金发票为本协议项下甲方的重要合同义务。

假设甲方未能在乙方支付下期应对租金前提供符合本第4.3条要求的合法租金发票,甲方同意,乙方在扣除因甲方未能按本条要求向乙方提供合法租金发票而可能使乙方遭受的税务缺失后,将下期应对租金的余额支付给甲方,税务缺失金额运算方式为以甲方未能提供租金发票的租金金额乘以租赁标的物所在地的所得税税率〔〝税务缺失金额〞〕。

假设甲方能在当期公历年终止前〔即12月31日前〕向乙方提供其拖欠的租金发票,那么乙方应在收到前述租金发票后十〔10〕日内将乙方已扣除的相当于税务缺失金额的款项无息退还给甲方,乙方无需向甲方支付任何滞纳金。

如乙方未能在收到租金发票后十〔10〕日内将已扣除的相当于税务缺失的金额退还甲方,应按本协议第4.6的约定向甲方支付滞纳金。

假设甲方未能在当期公历年终止前〔即12月31日前〕向乙方提供其拖欠的租金发票,乙方已扣除的税务缺失金额将被作为违约金,不再退还甲方。

The Parties confirm hereby that Party A’s obligation to provide Party B with a valid leasing invoice under this Article 4.3 is an essential obligation of Party A under this Agreement. In the event that Party A fails to provide a valid leasing invoice satisfying the requirement set forth in Article 4.3 before Party B issues the Rent due and payable for coming month, Party A agrees that Party B is entitled to deduct in advance the tax loss that Party B may suffer from Party A’s failure of providing the valid leasing invoice from the Rent due and payable for coming months and then pay the rest of the Rent due to Party A. The aforementioned tax loss (the 〝Tax Loss〞) shall be calculated as follows: amount of Rent without Party A’s leasing invoice times local inco me tax rate. In the event that Party A provides the outstanding leasing invoice to Party B before the end of the then-current calendar year, that is, December 31st, Party B shall pay to Party A, within Ten (10) days from receiving the outstanding leasing invoice from Party A, the amount equal to Tax Loss already deducted without any interest and Party B shall not be liable for paying any overdue fine for this. Party B shall be liable for overdue fine set forth in Article 4.6 in the event that Party B fails to refund Party A the amount equal to Tax Loss already deducted within Ten (10) days following its receiving the leasing invoice. In the event that Party A fails to provide the leasing invoice to Party B before
the end of the then-current calendar year, that is, December 31st, the Tax Loss deducted by Party B shall turn to be breach fee and shall not be refunded to Party A.
4.4水费、电费、燃气费及其发票
Charges of Water, Electricity, Gas and Related Invoice
甲方最迟应于乙方进场日后三(3)个月内为乙方在供电、供水及燃气经营机构完成单独立户并承担与立户相关的经营机构收费〔假设有该等收费〕。

假设乙方未能依照供电、供水及燃气经营机构要求的时限,向甲方提供单独立户所必需乙方当地税务登记的相关资料,致使甲方未能按本条约定的时限在供电、供水及燃气经营机构为乙方完成单独立户的,在此情形下,甲方不构成违约. 但从乙方向甲方提供单独立户所必需的乙方当地税务登记相关资料之日起,甲方应在合理的时限内为乙方在供电、供水及燃气经营机构办理完成单独立户。

从立户之日起至租期届满,乙方在租用面积内的水(含空调用水)、电(含空调用电)、燃气费按事实上际用量,单独计量,自行向相关经营机构缴纳, 假设因供电、供水及煤气经营机构等第三方缘故,甲方无法办理立户的,那么由甲方向乙方出具正规发票。

Within Three (3) months following Party B’s Starting Date of Construction, Party A shall apply to the relevant electricity, water and gas service suppliers to open an separate account on behalf of Party B and bear all the account application expenses paid to the relevant utility suppliers (if any such fee). In the event that Party B fails to provide Party A with the local taxation registration documentation within the time-limit requested by the aforementioned service suppliers, Party A shall not be considered as a breach of this Agreement since it fails to apply to the aforementioned service suppliers for an separate account on behalf of Party B within the time-limit stipulated in this section, however, Party A shall apply to the aforementioned service suppliers to open an separate account on behalf of Party B within a reasonable time-limit upon receiving the said taxation registration documentations provided by Party B. Starting from the said account open day to the expiration of Term, Party B shall bear all the charges incurred due to the use of electricity, water and gas within the Leased Area and pay directly to the relevant electricity, water and gas suppliers.
假设由于甲方缘故,甲方未能按本条第1款的约定为乙方在供电、供水及燃气经营机构申请到单独立户,且前述公用设施经营机构亦不承诺乙方将水费、电费和燃气费用直截了当向前述公用设施经营机构支付的,那么乙方应将其在租用面积内的水(含空调用水)、电(含空调用电)、燃气费按事实上际用量向甲方支付,甲方至迟应在乙方向甲方支付前述水费、电费和燃气费用前一(1)个工作日向乙方提供金额与乙方应支付的水费、电费、燃气费金额相同的增值税发票。

Where, due to any reason attributed to Party A, Party A fails to open the electricity, water and gas accounts on Party B’s behalf in accordance with the term as set forth in the first paragraph of this Article, and the relevant electricity, water and gas suppliers do not accept that Party B may pay electricity (including electricity for A/C), water (including water for A/C) and gas fees to them directly, Party B may make the payment of electricity fee, water fee and gas fee directly to Party A and in such circumstance, Party A shall provide Party B with VAT invoices for the electricity, water
and gas fees at least One (1) day prior to the date Party B shall make the payment of electricity, water and gas fees.
假设甲方未能依照本条要求提供与乙方应支付的水费、电费、燃气费金额相同的增值税发票,那么甲方同意,乙方在扣除因甲方未能按本条要求向乙方提供增值税发票而可能使乙方遭受的税务缺失后,将应对的水费、电费和燃气费余额支付给甲方,税务缺失金额运算方式为以甲方未能提供水费、电费和燃气费增值税发票的款项金额乘以租赁标的物所在地的增值税税率。

在此情形下,甲方应向乙方提供金额与乙方实际支付的水费、电费、燃气费金额相同的一般发票。

假设甲方不能向乙方开具水费、电费、燃气费一般发票,那么乙方有权在扣除因甲方不能向乙方提供水费、电费、燃气费一般发票而受到的税务缺失〔应对水费、电费、燃气费乘以租赁标的物所在地的所得税税率〕后将应对水费、电费、燃气费的余额支付给甲方。

In the event that Party A fails to provide Party B with the VAT invoices for the electricity, water and gas fees, Party B is entitled to deduct in advance the Tax Loss Party B may suffer due to Party A’s failure of providing the aforementioned VAT invoices. Further, Party B shall then pay the remainder of the electricity, water and gas fees to Party A. The aforementioned Tax Loss shall calculate as follows: amount of Rent without Party A’s VAT invoice times VAT tax rate. In such case, Party A shall provide Party B with common invoices with the amount equal to the electricity fee, water fee and gas fee. In the event that Party A fails to provide the common invoices for the electricity fee, water fee and gas fee, Party B is entitled to deduct in advance the Tax Loss it may suffer due to Party A’s failure of providing the aforementioned common invoices. Further, Party B shall then pay the remainder of the electricity, water and gas fees to Party A. The aforementioned Tax Loss shall calculate as follows: amount of water, electricity and gas fees multiplied by the income tax rate of the locality where the Leasehold Property is located.
假设甲方能在当期公历年终止前〔即12月31日前〕向乙方提供其拖欠的水费、电费和燃气费增值税发票或一般发票,那么乙方应在收到前述水费、电费和燃气费增值税发票或一般发票后十(10)日内将乙方已扣除的相当于相应税务缺失金额的款项无息退还给甲方,乙方无需向甲方支付任何滞纳金。

如超过十(10)日乙方仍未退还的,乙方应按本协议第4.6的约定向甲方支付滞纳金。

假设甲方未能在当期公历年终止前〔即12月31日前〕向乙方提供其拖欠的水费、电费和燃气费增值税发票或一般发票,乙方已扣除的相应税务缺失金额将被作为违约金,不再退还甲方。

In the event that Party A provides the outstanding VAT invoices or common invoices to Party B before the end of the calendar year, that is, December 31st, Party B shall pay to Party A, within Ten (10) days following receiving outstanding VAT invoices or common invoices from Party A, the amount equal to Tax Loss already deducted accordingly without any interest and Party B shall not be liable for paying any overdue fine for this. In the event that Party B fails to pay the amount to Party A within such Ten (10) days, Party B shall pay the overdue fine to Party A set forth in Article 4.6. In the event that Party A fails to provide the VAT invoices or common invoices to Party B before the end of
the then-current calendar year, that is, December 31st, the Tax Loss deducted by Party B shall be breach fee and shall not be refunded to Party A.
4.5配电室服务费支付日期及发票
Date of Payment of Service Fee of Switch Room and Invoice
双方明确,自房屋内乙方购物广场开业日起至租期终止,位于地下第一层的配电室治理和高低压变配电系统的监控由甲方所托付的物业治理公司负责,乙方应每年向甲方所托付的物业治理公司支付服务费人民币贰拾萬圆整(RMB200,000.00)〔〝服务费〞〕,甲方所托付的物业治理公司应向乙方提供服务业发票。

服务费支付日期及甲方提供发票的义务均适用本协议第4.3条关于租金的规定。

The Parties hereby agree that, from the Grand Opening Day of Party B’s Supercenter through the end of the Term, Party A shall be responsible for the monitoring of the High/Low Voltage Switch System and the management of switch room located at Basement One, and Party B shall pay Party A RMB Two Hundred Thousand Yuan Only per year (RMB200,000.00/year) as the service fee (the 〝Service Fee〞), consequently, Party A shall provide service invoice to Party B. The terms of Article 4.3 regarding Rent shall apply to the payment date of the Service Fee and Party A’s obligation of providing service invoice.
4.6 租金和服务费的支付方式Method of Rent and Service Fee Payment
