Processing Contract
This Processing Contract ("Contract") is entered into as of the date of execution both parties, between:
Manufacturer Name, a pany incorporated under the laws of Country of Incorporation, with its registered office at Manufacturer Address ("Manufacturer"), and
Client Name, a pany incorporated under the laws of Country of Incorporation, with its registered office at Client Address ("Client").
WHEREAS, the Client desires to engage the Manufacturer to process certn materials into finished goods according to the specifications provided the Client; and
WHEREAS, the Manufacturer agrees to perform such processing services in accordance with the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants and promises contned herein and for other good and valuable consideration, the receipt and sufficiency of which are here acknowledged, the parties agree as follows:
1. Scope of Work: The Manufacturer shall process the materials provided the Client into finished goods as per the specifications detled in the attached Schedule A ("Work Specifications").
2. Delivery and Acceptance: The Manufacturer shall deliver the finished goods to the Client at the address specified the Client. The Client shall inspect the goods within [number of days] days of delivery and notify the Manufacturer of any defects or non-conformities.
3. Payment Terms: The Client shall pay the Manufacturer for the services rendered as follows: [Payment Terms Detls]. All payments are due within [number of days] days from the date of invoice.
4. Confidentiality: Both parties agree to keep all information related to this Contract and the business of the other party confidential and shall not disclose
such information to any third party without the prior written consent of the disclosing party.
5. Intellectual Property: The Client retns all intellectual property rights in the Work Specifications. The Manufacturer shall not use or reproduce any Work Specifications without the express written consent of the Client.
6. Warranty: The Manufacturer warrants that the finished goods will conform to the Work Specifications and will be free from defects in materials and workmanship for a period of [number of months/years] from the date of delivery.
7. Indemnification: The Manufacturer shall indemnify and hold the Client harmless agnst any and all clms, damages, and expenses arising out of or in connection with the Manufacturer's performance under this Contract.
8. Term and Termination: This Contract shall mence on the date of execution and shall continue until all obligations have been fulfilled both parties. Either party may terminate this Contract upon [number of days] days' written notice to the other party for any material breach not cured within such notice period.
9. Force Majeure: Neither party shall be liable for any flure or delay in performing its obligations under this Contract to the extent such flure or delay is caused circumstances beyond the reasonable control of that party.
10. Governing Law and Jurisdiction: This Contract shall be governed and construed in accordance with the laws of [Governing Law]. Any disputes arising out of or in connection with this Contract shall be resolved the courts of [Jurisdiction].
11. Entire Agreement: This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether written or oral.
12. Amendments: This Contract may be amended only in writing signed both parties.
13. Notices: All notices under this Contract shall be in writing and shall be deemed duly given when delivered personally or sent registered to the addresses set forth above or to such other address as either party may designate in writing.
