The Guarantor's liability under this Guarantee is joint and several with the Borrower and any other guarantors of the Facility. This means that the Creditor may require the Guarantor to pay all or any part of the Borrower's obligations under the Facility, regardless of whether the Creditor has pursued any other guarantor or the Borrower.
4. Demand for Payment.
The Creditor may at any time demand payment from the Guarantor of any amount owed by the Borrower under the Facility. The Guarantor shall pay the amount demanded
within [number] days of receipt of the demand.
5. Default.
The Guarantor shall be in default under this Guarantee if:
The Borrower fails to make any payment under the Facility when due;
The Borrower breaches any other obligation under the Facility; or.
The Guarantor believes that the Borrower is or is likely to be unable to perform its obligations under the Facility.
6. Remedies of Creditor.
Upon the Guarantor's default under this Guarantee, the Creditor may, in addition to exercising any other rights or remedies available to it under law or the Facility documents:
Demand immediate payment from the Guarantor of all amounts owed by the Borrower under the Facility;
Enforce its security interests in any collateral securing the Facility; and.
Commence legal proceedings against the Guarantor to recover any amount owed by the Borrower under the Facility.
7. Miscellaneous.
This Guarantee shall be governed by and construed in accordance with the laws of [applicable jurisdiction].
This Guarantee may not be modified or amended except by a written instrument executed by the Creditor and the Guarantor.
This Guarantee shall be binding upon the Guarantor and its successors and assigns.
