在买卖双方对本合同规定十分明确的情况之下，买方向卖方订购如下产品，双方就有关事宜经友好协商达成一致意见，特签订本合同。本合同一式两份，盖章后买卖双方各执一份。

Based on both buyer and seller clearly understand contract terms, buyer will order following products from seller. Two side conclude this contract according to warm negotiation and reach agreement. The contract total two copies in one form,buyer and seller keep one copy after contract signed.

1. 产品条款（PRODUCT TERMS）：

2.运输条款（DELIVERY TERMS）

A、FOB ( Qingdao )。

B、卖方需要在合同签订后的30天内准备好货物，使之具备海运运输条件。

The seller should prepare cargoes in advance, and make sure cargoes ready for loading on board within 30 days after contract come into force.

C、卖方延迟交货导致买方损失的，按照货款0.3%每日赔偿买家。（不可抗力造成的影响的除外）。

If the seller delay delivery date and cause buyer loss，should compensate buyer with 0.3 percent of amount per day (not includes conditions of force majeure influence)

D、运输包装物卖家不回收，买家自行处理。

Delivery packages will belong to buyer, seller will not recycle.

3.付款条款（PAYMENT TERMS）

A、请选择（Please Choose）[]电汇（T/T）；[]信用证（LC）

选择电汇付款，买家支付合同30%预付款卖家开始备货。买家收到提单拷贝件后三日内付清尾款。

T/T 30% deposit paid after contract signed, 70% balance be paid when the cargoes loading on ocean, and within 5 days after buyer

选择信用证付款，买家需要根据合同及时开出银行信用证，提交给中国银行受理，卖家接收到中国银行的信用证通知之后，备货。卖家收集完材料后，同银行议付。

If choose LC，buyer need to open LC from local famous bank, and submit information to Bank Of China, then prepare cargoes,after loading, seller collect money by negotiation.

4. 纠纷规定（DISPUTE TERMS）

A、合同未尽事宜，买卖双方本着友好协商的原则，共同解决。

Conditions not covered should be solved under principle of friendly negotiation between two sides.

B、履行合同出现纠纷，不能通过协商解决的，买卖双方可以向宁波市象山区人民法院申请裁决。

If disputes happen while contract carrying out, and two sides can not solve disputes in their understanding. they should apply for ruling to Ningbo Xiangshan County People’s Court.

C、对于产品品质和数量有异议的，需要在收货后20天内提出，逾期不提出视为品质数量没问题。

To quality/quantity discrepancy, Buyer should raise problems within 30 days after cargoes received, exceed 30 days, buyer can not raise problems, cargoes should be considered as “No Problems”

D、合同履行期间，因不可抗力导致的合同执行中断属于免责条款，但是受损失一方可以协商合同履约另一方进行适当补偿。

While contract carrying out, contract carrying meet force majeure and can not continue, there should not responsibilities of two sides.However, the loss side can negotiate with the opposite for proper compensation.

5、合同执行（CONTRACT COME INTO FORCE）

A、盖章签署后，该合同即发生法律效力

After signature covered, the contract come into force.

B、合同签署后，买卖双方仍然可以在三日之内提出异议，如果双方未在3日提出异议，视为认同。

After contract come into force，buyer and seller still have three days to raise objection to mend contract. If no any objection raised exceed three days, the contract will be deemed as “come into force”
