Cooperation Agreement

This Agreement, concerning the Clinical trial of Transplantation of Autologous Oral Mucosal Epithelial sheets for treatment of Limbal stem cell deficiency, is made according to the Contract Law of PRC regulations and entered into through equal negotiation by both Parties as the free and full expression of their own wishes to mutual benefits, and to this end both Parties shall abide by this Agreement as following.
Article 1: Party A hereby agree to employ Party B as the technical consultant for the product qulity control and clinic trials. Party B hereby agree to offer technical consultation service to Party A.
Article 2: Party A is responsible for preparing this oral mucosal epithelial sheets and clinical trials in China.
Article 3: Party B is responsible to provide relevant technical and market information abroad and is ready to answer any technical problem frequently asked by Party A. Article 4: Party B hereby agrees that provide any relevant experimental data and previous data and articles in order to apply the research funding. Party B shall not be allowed to disclose any technical information conerned to the third party,or it shall take all the legal consequences.
Article 5: Both parties agree to distribute profits in accordance with the proportion of ** Party A is **% and Party B is ***%.
Article 6: The term of this agreement shall be for *** year, commencing on 日期,and terminating on 日期,unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement.
Article 7: RESOLUTION OF DISPUTES
Any dispute arising out if or in connection with this Agreement, shall be governed
and construed by the laws of the PEOPLE’S REPUBLIC OF CHINA in CHINA, and shall be referred to any finally resolved by Party A District Court, P.R.C.
Article 8：This Agreement is held by both Parties, one for each respectively. Any issue not mentioned in this Agreement shall be settled by both Parties through negotiation.
This Agreement shall take effect from the date of signature.
