销售合同

SALES CONTRACT

双方同意按下列条款由卖方售出下列商品：

The Buyer agrees to buy and the seller agrees to sell the following goods on terms and conditions as set forth below:

装运期限：装船不晚于2008年2月28日，不允许分批和转船。

TIME OF SHIPMENT: Shipment not later than ,2008, with partial shipment and transhipment prohibited.

装运口岸：中国宁波

PORT OF LOADING: NINGBO, CHINA

目的口岸：斯里兰卡科伦坡

PORT OF DESTINATION: COLOMBO, SRILANKA

保险：由卖方负责，按合同总值110%投保一切险和战争险，依据PICC1981年1月1日生效的CIC条款。

INSURANCE:To be covered by the seller for 110% of the invoice value against all risks and war risks, as per THE OCEAN MARINE CARGO CLAUSES OF THE PEOPLE'S INSURANCE COMPANY OF CHINA, dated Jan. 1st, 1981.

付款：买方应开立以卖方为受益人的不可撤销的即期信用证，该信用证必须在2007年12月前开到卖方，信用证的有效期应为上述装船期后第15天，在中国银行杭州支行议付有效。

TERMS OF PAYMENT: The buyer shall open an irrevocable L/C in favor of the seller before said L/C shall be available by draft at sight for full invoice and remain valid for negotiation in BANK OF CHINA, HANGZHOU BRANCH for 15 days after shipment.

装运条件：

TERMS OF SHIPMENT:

1．装运船只由卖方安排，不允许分批和转船。

THE CARRYING VESSEL shall be provided by the sellers, partial shipment and transhipment not allowed.

2．卖方于装运货物后，应向买方发出装船通知。

THE SELLER should send shipping advice to the buyer after shipment.

1．异议：品质异议须于货物到目的口岸之日起30天内提出，数量异议须于货物到目的口岸之日起15日内提出，但须提供经卖方同意的公证行的检验证明。如责任属于卖方者，卖方于收到异议20日内答复买方并提出意见。

DISCREPANCY: In case of quality discrepancy, claim should be lodged by the buyers within 30 days after the arrival of the goods at the port of destination, while for quantity discrepancy, claim should be lodged by the buyers within 15 days after the arrival of the goods at the port of all cases, claims must be accompanied by survey reports of recognized public surveyors agreed to by the sellers. Should the responsibility of the subject under claim be found to rest on the part of the sellers, the sellers shall, within 20 days after receipt of the claim, send their reply to the buyers together with suggestion for settlement.

2．信用证内应明确规定卖方有权可多装或少装所注明的百分数，并按实际装运数量议付。（信用证金额按本销售合同金额增加相应的百分数。）

The covering L/C shall stipulate the sellers option of shipping the indicated percentage more or less than the quantity hereby contracted and be negotiated for the amount covering the value of quantity shipped. (The buyers are requested to establish, the L/C in amount with the indicated percentage over the total value of the order as per this sales contract.)

3．信用证内容须严格符合本销售合同的规定，否则修改信用证的费用由买方负担，卖方并不负因修改信用证而延误装运的责任，并保留因此而发生的一切损失的索赔权。
