(HEREINAFTER SHALL BE REFERRED TO COLLECTIVELY AS “PARTIES” OR SINGULARLY AS “PARTY”).

Cubic Meter（M³）: A measure of Cubage as the cube mass with length,width and height all as one meter.

立方米（M³）：一种相当于一个长宽高都为一米的立方体的体积量度。Commodity: （Origin Country，wood name）

商品：（原产国，木材名称）

Day: Means a Calendar day, unless differently specified.

天：意味着一个日历日，除非具体规定。

Month: Means a Gregorian calendar month.

月：意味着一个日历月。

Calendar quarter: Period of three (3) consecutive months

日历季度：连续三个月的周期

SGS: Societe Generale de Surveillance is the institute, internationally

recognized, that approved all Standards, Tests and Procedures used in

the crude oil and to be referred in the Agreement to the latest revised

edition with amendments in force to date.

SGS：指 Societe Generale de Surveillance的检验公司。根据国际公认的原木，

木材所用的所有检验标准、测试程序，适用当前最新修订的国际标准。

Out-turn: The quantity and quality of the product ascertained, according to the

CIQ procedures, on completion of the discharge operations. The so

determined out-turn quantity and quality is the base on which the

amount will be computed for the payment of the product effectively

delivered to the Buyer.

卸货情况 : 在卸货操作完成的基础上，根据CIQ（中国商检）的流程，确定货物

的数量和质量。这个确定出来的数量和质量将作为买方收到货物应该

支付的货款金额的依据。

Bill of Lading: The official document, issued at the load port after completion of the

loading operations, stating, among other t hings, the ship’s loaded

quantity, expressed in Metric Tons (MT) and Cubic Meter per the

definitions herein. This document has to be signed in original by the

ship’s Master and made out in accordance without the instruction

hereinafter specified in The Agreement.

提货单：在装载操作完成后在装运港签发的正式文件, 除其他外, 说明船舶的装

载量, 根据本文的定义用公制吨 (MT) 和立方米表示。本文件必须由船

长签署原件,

Discharge Port: The safe port designated by the Buyer as final receiving destination. 卸货港：由买方指定的最终收货地－－安全的港口

Banking Day: Any day on which the bank opens for business in jurisdiction where

the SELLER and BUYER are located

银行日：卖方和买方所在地银行任何开门营业的一天。

Latest Loading Date The date mutually accepted by both Seller and Buyer as the date on

which the nominated international Surveyor Company has

ascertained the quantity and quality of the product loaded on

board in container at loading port.

最迟装船日期是卖方和买方双方都接受的最迟日期，为指定的国际调查检验公司

确定了该货物的数量和质量，而这种产品所在的集装箱在装货港

已被装运上船的日期。

Execution Date The date on which the Seller and the Buyer receive their respective

faxed copies of this agreement, or as may be indicated otherwise in

The Agreement.

执行日期是卖方和买方收到本协定的既定副本，或在协议中可以说明的日期

Proof of Product Documentation to be provided by the Seller to the Buyer through Seller

holding bank

Whereas, the parties mutually desire to execute THE AGREEMENT which shall be binding upon, and to the benefit of, the parties, successors and assigns, in accordance with the jurisdictional law of the negotiated and fully executed contract with terms and provisions hereunder agreed upon. 尽管双方相互愿意执行协议，但应根据经谈判的法律和条款的规定，对协议具有约束力，并

1.1.Seller and Buyer, under full corporate authority and responsibility, respectively represent that one part is a lawful owner of the commodity in quantity and quality as hereunder specified, and the other has the full capability to purchase the said commodity.

1.1卖方和买方分别在完全的公司权力和责任授权下，一方是合法的商品的合法所有人，其数量和质量是具体规定的，另一方则具有购买上述商品的全部能力。
