委托事由 Recitals
1. 甲方希望委托乙方代理甲方的会计和税务工作；
Party A wishes to entrust Party B as its accounting and tax agent. 2．乙方接受甲方的委托，根据《企业会计准则》、《中华人民共和国外商投资企业会计制度》、《中华人民共和国会计法》及财政、税务等有关法律、法规的规定，为甲方公司提供代理记账、财税咨询和税务申报代理服务。

Party B agrees to act as Party A 's accounting and tax agent to provide bookkeeping, finance consulting and
tax agency services to Party A in according with the terms and conditions set out in this Accounting Agent
Engagement Agreement (hereinafter refer red to as “ Agreement ” ) under Accounting Law of P.R. China and
relevant rules and regulations.
1. 权限申明 Authority and Jurisdiction
1.1 甲方委托授权乙方完成下述协议条款 2 中所规定内容(以下称“委托项目”)，具体服务内容见合同附件一。

1.2 以上条款规定的委托和授权任何时候都不被视为是本协议双方的合伙关系；
The entrustment and authorization as stated in Article 1.1 above should not at any time be regarded as the partnership relationship between the parties of this Agreement.
1.3 本协议的条款、作用和解释，因本协议引发争议的解决和本协议的执行受中国人民共和国法律约束。

Any articles, effect and interpretation of this Agreement and the settlement of disputes arising from this
Agreement or i ts performance shall be governed by the law of the People 's Republic of China.
2 ．责任范围和委托项目 Responsibilities and Commitments 2.1 甲方责任范围 Party A
1) 建立健全内部控制，保证资产的完整性；
To constitute integrated internal control system and ensure the integrality of account of company assets.
2) 做账材料交接：
Accounting documents handover:
a) 向乙方提供合法、真实、准确、完整的原始凭证和原始凭证相关单据，进行分类编号后交给乙方； To provide legal, true, exact
and whole original vouchers and related supporting documents to Party B which have been sorted and numbered.
b) 负责原始凭证审核； To responsible for audit of its original vouchers.
c) 对于乙方退回不符合会计制度规定要求的凭证应当及时予以更正，补充；
To correct, replenish the accounting documents required when Part B return the unqualified voucher and related supporting documents
timely.
d) 妥善保管所有原始凭证、财务报表及经税务机关审核后的纳税申报表等资料。

To preserve all the original vouchers, finance
statements and taxation sheets.
e) 甲方定期与乙方提供的帐面数额核对 ; 每月必须在当月月底和乙方确定报税事宜。

(包括确认：甲方向乙方告知的开票金额，
抵扣金额等事宜)
To cross check the account balance provided by Part B, and confirm the monthly tax filing issues. ( Including invoiced amount and
deductions etc. )
3) 配备专人负责日常货币的收支和管理并编制货币收支流水账；
To man age the daily in come and expe nses and make mon etary in come and expe nditure accou nt by appo in ted cashier.
4) 每月—号前(逢节假日提前)向乙方提供公司记账所需资料；
To provide all the required docume nts to Party B for bookkeep ing by the third date of the mon th. (The
deadli ne will be adva need accord in gly if the date is a n ati onal holiday.)
5) 积极配合乙方指派的工作人员的工作，由乙方人员验收所提供的相关资料；
To fully cooperate with Party B 's appoiiatedl a lccoeineievant documents should be checked and
accepted by Party B.
6) 按本协议的规定及时足额交纳代理费；
To pay age nt fee to Party B accord ing to the time frame stated in this Agreeme nt.
7) 按时足额缴存纳税款项；
To pay tax accord ing to the time frame stated by tax authority.
8) 如果甲方不能及时、完整、真实提供符合税务要求的做账资料造成的一切后果有甲方自行承担。

同时如果甲方原因造成乙方超岀日常的工作量，甲方将支付相应的额外劳务报酬。

Management of Part A will responsible for truth and completion of accounting and tax information. Part A shall bear all the responsibilities in providing unqualified documents or delaying providing required documents. Additi onal work ing hours caused by Part A will be charged accord in gly.
2.2乙方责任范围 Party B
1) 指派财务专业人员负责交接收取记账所需财务资料；
To collect and take back the required orig inal vouchers for bookkeep ing by Party B 'sappo in ted accou ntant .
2) 复核甲方所提供原始凭证的合规性，并向甲方提供合法、合理性建议；
To che ck Party B 's original vouchers and provedlegitimate and suitable suggestion.
3) 根据甲方提供的原始凭证按照中华人民共和国财政部制定的《企业会计准则》和《中华人民共和国外商投资企业会计制度》及其相关
法律法规开展代理记账业务，编制记账凭证、账簿及会计报表，并合理保证会计处理与原始凭证的一致性；
To provide bookkeep ing age ncy services accord ing to <Accou nti ng Stan dards for Busin ess En terprises>&
< The Foreig n In vestme nt Accou nti ng Stan dards for Bus in ess En terprises of P. R. China > have bee n promulgated by the Mi nistry of Finance of Chi na and releva nt laws and policies. To make accou nting vouchers, accou nti ng books and accou nting stateme nts to en sure the con siste ncy of the accou nting treatment and the original vouchers.
4) 在税务机关规定期限内及时完成各类纳税申报表并在税务机关指定的工作日前完成税务申报工作；
To prepare all the required tax sheets within stated term and report to tax authority according to tax authority 's requirement in time.
5) 在财政和税务部门规定的期限内编制和上交《企业年度会计报表》和《企业所得税年度申报表》及其附表；
To prepare and hand in the <Ann ual Finan cial Stateme nt for Foreig n In vestme nt En terprise of P. R. Chin a>,
<Ann ual In come Tax Liquidati on Accou nt for Foreig n En terprise of P. R. Chi na > etc. which have bee n assigned by financial and tax authorities within the stated term.
6) 年度终了，将甲方该年度的各类账簿、会计月报和税务月报装订成册退还甲方保管
At the end of the year, Party B will give back all the bound accounting books, accounting statements and tax sheets to Party A for fili ng.
7) 协助甲方完成税务机关检查事宜；
To assist Party A in finishing the tax inspection with the tax authority.
8) 协助甲方完成税务机关检查事宜；

3 .费用及付费方式Professional Fees
1）甲方应每月支付代理费
如果零销售额的申报，会计凭证20张以内，月服务费人民币元（大写人民币—整），代理费按季度收

If Party A report zero sales and the original accounting documents less than 20, Party A agrees to pay

2） 本协议签订后，任何一方如需终止本协议，必须提前
30天以书面形式通知对方；

3） 如甲方已经向乙方支付费用用于完成或部分完成任何委托项目后，需要终止本协议的执行，乙方没有义 务将这些费用归还给甲方；
Should Party A termi nate this Agreeme nt after maki ng payme nt to Party B for completi on or part completi on of any of the en trusted items, Party B is un der no obligati on to return any of these payme nts to Party A.
4） 如甲方终止本协议的执行，乙方有权要求甲方支付所有完成或部分完成的委托项目的政府规费和代理费；
Party B has the right to request Party A to pay Party B for all governmental charges and its professional fees for those
en trusted items fully or partly completed by Party B if Party A term in ates this Agreeme nt;
5） 任何由于乙方的错误或疏忽致使不能完成任何委托项目，甲方不必按照条款
3的规定进一步向乙方支付费
用，同时甲方原先支付的费用应该返还给甲方；
In the eve nt that Party B fails to complete any of the en trusted items due to its own fault or n eglige nee,
Party A shall not be required to make any further payment to Party B as stipulated in Article 3 and previous payme nt made by Party A shall be retur ned to Party A accord in gly.
6） 在代理过程中，如果由于中国政府相关部门改变法律或公布新的法规，致使委托项目办理延迟或不能完 成，乙方不承担责任；
Party B shall not be held liable if during the process of agency services, amendments to the law or new regulations are promulgated by the Chinese authorities, causing delay or non-completion of the items of entrustments laid out in Article 2.2. 7） 协议期将近届满时，如需续约，双方应于协议到期前
30天内，就甲方的实际经营状况及实际需要，适当
调整委托服务项目和代理费用，并签订新的协议。

While the expire date of this Agreeme nt is approach in g, if Party A n eeds to renew the en gageme nt, both parties can n egotiate and adjust en trusted items and age nt fee based on Party A the n sig n a new Agreeme nt in 30 days adva nee. 5 .违约责任
Breach liability
1） 任何由于违反条款 2中所规定的责任和义务而造成的后果，由违约方承担违约责任。

Any liabilities arising as result of breach of responsibility described in Article 2, should be owned by the party resp on sible for the breach. 2） 乙方并不承担以上免费服务事项的任何责任。

Party B shall not be responsible for any consequential liabilities for its free services stated in Article 2.3 in case Party A acted con trary to the advice give n by Party B. 6 .保密条款
Confidentiality
乙方对在代理过程中知悉的甲方的业务情况、公司状况及商业秘密负有保密责任。

除法律另有规定者外，未 经甲方书面同意，乙方不
得将甲方提供的资料泄露给第三方。

如本协议因故终止，本条款一直有效。

Party B should keep con fide ntial all of Party A ss status, cbmpboyi^ormati on and bus in ess secret
which have bee n known duri ng the process of age nt services. Party B can not leak Party A secret to the third party without Party A 's written approval, unless otherwise stated by Chinese laws. Th
article is always effective if this Agreeme nt is termi nated because of some reas ons.
7 .争议 Dispute Resolution
因本协议引发的任何争议，可以提交上海市仲裁委员会，按该会的仲裁程序进行仲裁。

Any un resolved disputes aris ing from or in cide ntal to this Agreeme nt shall be submitted to the Shan ghai
Municipal Arbitration Commission for arbitration in accordance with its rules of procedure.
8 .协议真实性Authenticity of Agreement
本协议一式两份，甲、乙双方各执一份，具有同等法律效力。

This Agreement contains two original copies; these copies are held by both parties. Both the signed copies
of this Agreeme nt are legally bou nding and equally authe ntic.
